Counsel, Corporate (M&A) — New York

Experienced corporate counsel role in a major New York office advising on complex domestic and cross-border transactions. You will work on M&A, private equity, financing and corporate reorganizations, preparing and negotiating transactional documentation and advising on global regulatory and securities matters.

The position requires active participation in strategic deal structuring and negotiation of bespoke investment instruments across international matters. Hybrid flexibility: up to two days remote per week within the NYC metro area.

NY bar eligibility is required; this is a senior associate/counsel-level position within a large, internationally active firm.

• J.D. or LL.M. degree
• Approximately 3 years' international transactional experience (M&A, private equity, complex financings)
• Experience drafting and negotiating purchase agreements, shareholder agreements, certificates of designation and financing agreements
• Demonstrated experience structuring and negotiating bespoke investment instruments and cross-border transactions
• Eligible for or admitted to practice in New York
