Apply in confidence →Senior counsel role focused on leading and executing complex cross-border corporate transactions, including carve-outs, spin-offs, post-acquisition integrations, legal-entity rationalizations and other multinational transactional matters.
The role requires drafting and negotiating principal transaction documents (stock and asset purchase agreements and ancillary agreements), managing cross-practice and international teams to achieve successful closings, and synthesizing comments from clients, local counsel and other stakeholders. Strong use of project-management tools and deal technology is expected.
- Juris Doctor (JD) or equivalent foreign law degree/LLM
- Admission to the New York bar
- Approximately 5 years' post-qualified experience at a global law firm, with demonstrable experience advising on and coordinating complex cross-border transactions
- Proven experience leading cross-border deals as the deal lead or senior transaction counsel
- Strong drafting and negotiation skills on complex transaction documents and ancillary agreements; experience collaborating with tax advisors and other stakeholders
- Comfort using deal project-management tools and transaction technologies
