Lawyer (m/f/d) – M&A, Private Equity & Corporate Law

We are looking for a lawyer to join our corporate team in Hamburg or Berlin, supporting clients on complex transactions from first discussions through signing and closing. You will work on national and international M&A deals, private equity investments, and demanding corporate law mandates in an environment that encourages you to take ownership and grow into a trusted advisor.

We support you on your path to becoming an independent legal professional – whether you are a junior lawyer after the second state examination or bring relevant professional experience. Our goal is for you to develop into a direct point of contact for our often international clients, with increasing responsibility and visibility, and to offer you a genuine partnership perspective in a firm focused on long-term careers.

Your responsibilities

• Advise buyers, sellers, investors, and founder teams on national and cross-border acquisitions, carve-outs, and joint ventures across the full M&A lifecycle – from structuring and due diligence to contract negotiations and closing.
• Support private equity funds and their portfolio companies on acquisitions and exits, negotiating share purchase agreements, shareholders' agreements, and management incentive arrangements – predominantly in English and in an international context.
• Advise on corporate structuring and reorganizations, including mergers, demergers, conversions, and cross-border seat transfers, as well as shareholders' meetings, capital measures, and corporate governance topics.
• Work closely with our international best-friend firms and cooperation partners, advising clients ranging from start-ups to listed corporations.

Your profile

• Both state examinations in law with above-average results, ideally with a focus on business law and supplemented by an LL.M. or doctorate.
• Relevant professional experience in an M&A, private equity, or corporate law practice, or a strong start as a junior lawyer directly after the legal clerkship.
• Very good written and spoken English – ideally evidenced by time abroad or an LL.M. – and native-level German. English is essential for our international mandates.
