- Identify opportunities to apply AI, automation, and emerging technologies to M&A and private equity matters, including public and private acquisitions, mergers, carve-outs, spinoffs, joint ventures, minority and growth investments, sponsor transactions, and related matter types—informed by a strong understanding of transactional practice and lawyer workflows.
- Evaluate, prototype, and implement AI-assisted tools, document automation solutions, prompt libraries, and technology-enabled workflows to enhance efficiency, consistency, and scalability.
- Participate in technology pilots and assessments, including AI-driven research, drafting, knowledge extraction, data, due diligence, and market analytics platforms.

- Capture feedback from lawyers and stakeholders to support continuous improvement of knowledge management products, processes, and technology adoption.
- Transactional Knowledge Systems
- Support ongoing enhancement of our M&A and private equity drafting resources by integrating evolving legal developments, market terms, and transaction structures into model documents, guidance materials, and related content—with a focus on modernizing how such resources are organized, maintained, and leveraged.
- Use AI-assisted tools and structured review mechanisms to analyze, compare, and refine M&A and private equity precedents and drafting materials against internal standards, public company filings, and evolving market practice.
- Help build and maintain scalable precedent and knowledge infrastructure that improves consistency, promotes knowledge reuse, and supports document automation and legal technology initiatives.
- Serve as a trusted internal resource for M&A and private equity lawyers, providing practical legal judgment and guidance while translating substantive expertise into effective knowledge and technology solutions.

- Exceptional verbal and written communication skills, with the ability to collaborate effectively with attorneys, technologists, and administrative professionals.
- Strong initiative and critical-thinking skills, with the ability to exercise independent judgment in a fast-paced, evolving environment.
- Creative and strategic thinker who is open to experimentation, iteration, and multiple approaches to complex problems.
- Strong organizational and time-management skills, with the ability to manage multiple priorities and deadlines concurrently.
- Commitment to knowledge-sharing, efficiency, and excellence in legal work, with a focus on client service and business impact.
- Ability to build and maintain strong working relationships across practice groups and departments.
Experience:
