Our client, a leading global law firm, seeks an associate attorney to join its Global Equity Services/Compensation practice in San Francisco, Palo Alto, Los Angeles, Chicago, or New York.

The practice provides holistic, one-stop counsel on all aspects of share-based or other incentive programs, executive and director compensation arrangements, employee benefits, pensions, and global mobility programs. The team advises on tax and regulatory issues for compensation arrangements offered domestically in the U.S. and/or globally to employees, consultants, or other service providers.

The ideal candidate will have 3+ years of experience designing, implementing, and maintaining global incentive and compensation arrangements (particularly share-based plans), drafting correspondence, memoranda, legal opinions, and other client documents, and advising on legal/regulatory/tax matters for cross-border M&A, spin-offs, divestitures, IPOs, and redomestications. Strong academic credentials, excellent communication and writing skills, and knowledge of U.S. and non-U.S. securities, tax, currency, employment, and related laws are required. Candidates with U.S. domestic executive compensation experience or a strong global tax/employment law background are also welcome. Major law firm experience is a plus. Admission to the bar in the state of employment is required.

Juris Doctor (JD) degree from an accredited law school
3+ years of experience in executive compensation and employee benefits, with a focus on global equity programs
Experience drafting plan documents, award agreements, and related corporate governance materials
Knowledge of Internal Revenue Code Section 409A, Section 162(m), and global tax/regulatory issues affecting equity compensation
Strong analytical, drafting, and communication skills
Admission to the bar in the state of employment (or ability to obtain promptly)
Experience with cross-border M&A, spin-offs, or IPO equity compensation matters preferred
