We are seeking an experienced resource attorney to support our market-leading Private Equity practice. This role does not involve client work or billable hours; rather, you will enable our deal attorneys to work more efficiently by managing know-how, templates, and internal resources, and by driving innovation and training initiatives.

Responsibilities include:

  • Managing M&A/PE experience data and input, working with the M&A resource attorney and knowledge management team.
  • Drafting and revising template documents; curating and organizing the PE group's forms, precedents, and know-how; cross-checking overlays with other practice groups.
  • Monitoring legal and regulatory developments affecting the PE practice and core industry verticals (software/SaaS, fintech, telecom, education); preparing summaries and alerts.
  • Developing and maintaining the internal PE practice page.
  • Coordinating with the legal education team to create associate and firmwide training content.
  • Partnering with the PE/M&A marketing team on strategy, content, and pitch materials.
  • Collaborating with the quantitative analyst group, other resource attorneys, and the innovation team on AI-enabled workflows and best practices.
  • Handling day-to-day requests for precedents and resources; participating in broader knowledge management and practice innovation projects.

Skills and experience:

  • Licensed attorney with 7+ years of experience in a US private equity corporate/transactional practice.
  • Solid grounding in private equity, including M&A, portfolio company management and related regulatory issues, partnership-based equity compensation and related tax matters (including profits interests), acquisition financing (including mid-market LBOs), and general corporate/alternative entity matters.
  • Excellent drafting, communication, and organizational skills.
  • Strong presentation skills; ability to engage and train others.
  • Self-starter with strong teamwork, judgment, and attention to detail.
