Senior/Managing Associate - Emerging Companies/Venture Capital

The Group

Our Emerging Companies & Venture Capital (ECVC) Group sits within our market-leading Corporate Group. We advise on a broad range of transactions, providing specialist and strategic advice to emerging companies and investors. Our work spans mergers and acquisitions, investments, joint ventures, early-stage financings (including SEIS/EIS and angel investments), later-stage investments, and exits. We have a strong reputation for guiding entrepreneurs and startups through the full investment lifecycle, alongside an impressive investor-facing practice.

The Role

We are seeking a senior or managing associate (approximately 6–8+ PQE) to join our ECVC Group. The successful candidate will lead and manage complex venture capital and corporate transactions, act as a trusted adviser to founders, entrepreneurs, and investors, and contribute to the strategic growth of the group. Responsibilities include:

• Leading and managing venture capital and corporate transactions, including early-stage financings, later-stage investments, and exits/M&A.
• Structuring and negotiating investment rounds, including drafting and negotiating subscription agreements, shareholders’ agreements, and term sheets.
• Providing ongoing corporate and commercial advice to venture-backed companies on governance, fundraising, and employee incentives.
• Advising VC funds and institutional investors on portfolio investments and exits.
• Supervising and mentoring junior lawyers, managing deal teams, and ensuring high-quality delivery.
• Playing an active role in business development, building relationships with clients, intermediaries, and the wider venture capital community.
• Contributing to thought leadership, marketing initiatives, and the strategic growth of the ECVC Group.

We are looking for strong technical skills combined with interpersonal acumen, pragmatism, commercial sense, and an entrepreneurial spirit. A commitment to continuous learning and development is essential.

• Qualified lawyer with approximately 6–8+ years’ PQE in venture capital and corporate law.
• Strong experience leading venture capital transactions, including early-stage financings, later-stage investments, and M&A.
• Excellent drafting and negotiation skills across key transaction documents.
• Ability to provide strategic, commercially focused advice to founders, entrepreneurs, and investors.
• Leadership and mentoring skills, with experience supervising junior lawyers.
• Proactive business development mindset and a strong network within the venture capital community.
