Fractional general counsel rates and models: what they cost and when they pay
Hourly, retainer or embedded. Day rates in the US and the UK, the break-even against a full-time hire, and the point at which a fractional seat should become a permanent one.
A fractional general counsel costs a day rate, a monthly retainer or an hourly bill. The model matters more than the number.
The same senior lawyer can be priced three ways. Each fits a different shape of work, and only one of them puts a named officer in the leadership team.
Hourly, retainer or embedded: how each is priced and who it fits
Fractional is a pricing label, not a job description. The structure decides who owns the work.
A company with no in-house lawyer has three ways to buy senior legal judgment short of a permanent hire. They overlap in the marketing and differ sharply in the contract.
Hourly: a project, not a function
Hourly billing prices the lawyer’s time against a defined task: a financing, a commercial template, an employment dispute. Next Era Legal’s 2026 pricing guide puts outside-counsel hourly rates at $400 to $1,500 and up, and legal-staffing providers at $150 to $350 and up. Hourly works when the work is episodic. It fails when the work is continuous, because every question becomes a billable decision and executives stop asking. The first general counsel guide calls this the signal to move: outside spend rising faster than the work justifies.
Retainer: a bounded workload at a predictable price
A monthly retainer buys a defined scope: contract review, a capped number of hours, a board-pack preparation, a response-time commitment. Next Era Legal’s tiers run from $1,500 to $2,500 a month for the lightest scope, $3,000 to $4,500 for a growing company, $5,000 to $15,000 for a mid-market company with real volume, and $15,000 and above for an enterprise scope. The UK range on fractional-csuite, last verified 21 April 2026, is £4,000 to £15,000 a month. Retainers give finance a fixed line. They also create a ceiling: the lawyer is paid for a scope, not for the business, and the scope tends to be the only thing they own.
Embedded: a named officer for set days
The embedded model prices a cadence, usually two or three days a week, at a day rate. The person attends leadership meetings, owns the board pack, signs off on commercial paper and answers the regulator’s question. On Sartori & Partners closed engagements in 2026 that is $2,800 to $4,500 a day in the US and £1,800 to £3,200 in the UK. This is the model on the fractional general counsel service, and the one that converts cleanly into a permanent seat. Across 60+ interim and fractional engagements since 2017, the median start is 7 days from first call.
Hourly
Per-task billing. Best for a financing, a dispute or a one-off template. Breaks down when the work is continuous.
Retainer
Monthly fee for a defined scope and response time. Best for steady, bounded work. The lawyer owns the scope, not the function.
Embedded
Two or three days a week at a day rate. Best for a company that needs an officer, a board presence and one owner of risk.
Fractional general counsel rates in 2026, United States and United Kingdom
Sources disagree because they describe different people. Marketplace and subscription ranges price mid-seniority counsel. Closed-engagement bands price former GCs and deputies.
| Engagement | US day rate | UK day rate | Typical cadence |
|---|---|---|---|
| Fractional GC (2-3 days/week) | $2,800-$4,500 | £1,800-£3,200 | 2-3 days/week |
| First-GC fractional (sub-$100m revenue) | $2,200-$3,400 | £1,500-£2,400 | 1-2 days/week |
| Interim GC (defined gap) | $1,800-$3,200 | £1,400-£2,400 | Full-time cover |
Day rates, not salaries. Do not annualize them into a first-GC cash band without saying so.

The UK marketplace range of £900 to £1,500 a day is below the closed-engagement band of £1,800 to £3,200. The difference is who is on the other side: a general counsel who has run a function at a venture-backed or regulated company commands the upper band.

Two cautions apply to every rate on this page. First, a rate is not a cost: a $3,000 day is cheap when the person owns the board pack and the regulator relationship, and expensive when they are drafting templates. Second, a fractional day rate covers fewer hours than it appears to. Preparation, travel to the board and responding between days are either inside the rate or billed on top; ask which.
A day rate buys a named officer for a set cadence. An hourly rate buys answers to the questions someone thought to ask.
Five things that move a fractional GC rate up or down
The spread inside each band is larger than the gap between the bands. Five factors explain most of it.
- Seniority and prior title. A former general counsel or deputy prices above a senior associate who has gone in-house. The closed-engagement bands above are for the former.
- Sector and regulation. Fintech, health, insurance and other regulated businesses pay the upper end because the lawyer carries licence and regulator exposure.
- Cadence. One day a week prices higher per day than three. A committed quarter prices lower per day than an open-ended arrangement.
- Scope of ownership. Board pack, equity administration and a regulator relationship cost more than contract review.
- Geography and time zone. US coastal markets and London sit at the upper end. A lawyer who can sit in your time zone on your board day is worth a premium.
The first-GC fractional band is the lowest of the three in the closed-engagement table because the brief is narrower: companies under $100 million revenue with a team of zero or one lawyer and standing commercial, employment and board paper. Team-size medians move with revenue, from 0 to 1 lawyer at Seed to Series A, one at Series B to C, and 2 to 4 at $50 to $250 million revenue. The sequencing is in building in-house legal teams.
Fractional versus full-time general counsel: the break-even is 2.6 to 4 days a week
The arithmetic is short. A fractional seat is cheaper than a hire until the cadence approaches full-time, and the crossover arrives sooner than most boards assume.
Next Era Legal puts the annual cost of a full-time general counsel at $400,000 to $600,000 and up. For scale, the U.S. Bureau of Labor Statistics reported a median annual wage for all lawyers of $159,670 in May 2025, with the 90th percentile above $351,600; a general counsel sits well above that line. Use $400,000 as the lower comparator. It is the one most favorable to fractional.
Take the US first-GC fractional band of $2,200 to $3,400 a day and 46 working weeks a year, allowing for holidays and board gaps.
| Cadence | Days a year | Annual cost, US | Against $400,000 full-time |
|---|---|---|---|
| 1 day a week | 46 | $101,200-$156,400 | 25-39% of the cost |
| 2 days a week | 92 | $202,400-$312,800 | 51-78% of the cost |
| 3 days a week | 138 | $303,600-$469,200 | 76-117% of the cost |
| 4 days a week | 184 | $404,800-$625,600 | 101-156% of the cost |
Break-even against $400,000: 118 days a year at $3,400 (2.6 days a week) and 182 days at $2,200 (4.0 days a week). Against $600,000: 3.8 to 5.9 days a week.

Three readings follow. At one or two days a week, fractional costs half or less of a hire, which is the case for it. At three days it is already close to a hire. At four days it costs more, and the company still does not have a named officer on the org chart, equity in the outcome or a person who is in the building on the hard day.
The UK arithmetic is shorter. Fractional-csuite puts annual UK engagement cost at £50,000 to £250,000 for one to two days a week. On the closed-engagement first-GC band of £1,500 to £2,400, two days a week over 46 weeks is £138,000 to £220,800. No UK full-time comparator is sourced here; take it from our general counsel salary guide and add employer costs.
What the maths leaves out
Break-even measures cost. It says nothing about value. A fractional GC is cheaper on cost and weaker on continuity: context rebuilt each week, no standing presence on an unplanned day, and a bench that belongs to someone else. A full-time GC is dearer and owns the outcome. Fractional also has a hidden cost when it runs too long: the company keeps paying a day rate for a function it has already outgrown.
When a fractional GC should become the first full-time general counsel
Fractional is often the right first move and the wrong last one. Five triggers mean the seat should be permanent.
A Chief Executive at a Series C payments company in San Francisco described the sequence on our desk: “We thought we needed a full-time GC. They said fractional for two quarters, then a permanent search. Both were right. The fractional counsel started in a week.” Of the 60+ interim and fractional engagements counted since 2017, about one in four turned into a retained search, after a median of seven months.
Who fills the permanent seat matters. The fractional GC is sometimes the right person and sometimes the wrong one: a two-day generalist is not always a five-day officer. A retained search on the first general counsel brief tests that against the market rather than by default. The practical guide to scoping the role, the reporting line and the first 90 days is hiring your first general counsel. A full-time cover for a defined gap, such as parental leave, is a different instrument: see interim versus permanent in-house counsel.
On this desk the conversion is written into the engagement letter. Days billed on the fractional engagement are credited against a later retained fee for the same seat. Retained terms are a fee of 25 to 30 percent of the hire’s total first-year compensation, with a retainer of 30 percent of the fee at engagement, and a replacement guarantee of 12 months. Across 52 General Counsel and Chief Legal Officer searches since 2017, the median accepted offer is 11 weeks, range 8 to 16, and the shortlist arrives in 24 days, so start the search before the fractional seat is under strain, not after.
Seven terms to settle before you sign a fractional GC letter
Most disputes over a fractional engagement are about scope and availability, not about the rate.
- Cadence and days. Which days, and what happens when a board date falls on another day.
- Response time. A two-hour reply between days is a different product from a next-day one.
- Inside or on top of the rate. Preparation, board attendance, travel and out-of-hours calls.
- Authority. Who can sign, who instructs outside counsel and up to what spend.
- Conflicts and exclusivity. Whether the lawyer holds other fractional seats in the same sector.
- Insurance. Professional indemnity cover, and whether the company’s D&O policy extends to a part-time officer.
- Conversion and notice. Notice period, and whether days billed credit against a later permanent search.
The brief is a cadence, not a job description copied from a listed company. The fractional general counsel service page sets out how we brief it, from mandate blueprint to a start date, and what the credit looks like in the letter.

How much does a fractional general counsel cost?
On Sartori & Partners closed engagements in 2026, a US fractional GC at two to three days a week bills $2,800 to $4,500 a day and a UK one £1,800 to £3,200. A first-GC fractional seat at a company under $100 million revenue runs $2,200 to $3,400 a day in the US and £1,500 to £2,400 in the UK. Published monthly retainers are lower: $5,000 to $15,000 a month in the US for mid-market companies (Next Era Legal pricing guide, retrieved September 2026) and £4,000 to £15,000 in the UK (fractional-csuite, verified April 2026).
Is a fractional general counsel billed hourly or on retainer?
Three structures exist. Hourly billing suits a single project. A monthly retainer suits a steady, bounded workload. A day-rate or embedded cadence, typically two or three days a week, suits a company that needs a named officer on the leadership team. The right one follows the shape of the work, not the size of the company.
When is a fractional GC cheaper than a full-time GC?
Below roughly 2.6 to 4 days a week. Against a full-time general counsel costing $400,000 a year (Next Era Legal, retrieved September 2026), a US first-GC fractional seat at $2,200 to $3,400 a day reaches the same annual cost at 2.6 to 4.0 days a week over 46 working weeks. Above that, the fractional cadence costs as much as a hire and carries less ownership.
When should a fractional GC convert to a permanent general counsel?
When the board needs a named officer, when the cadence has crept past three days a week, when a regulator or investor asks who owns the legal function, or when a financing or expansion needs a five-day presence. See first general counsel search and hiring your first general counsel.
Are fractional GC rates in the UK lower than in the US?
Published UK day rates are lower: £900 to £1,500 a day for senior fractional counsel, with £1,500 to £2,000 or more for Magic Circle alumni (fractional-csuite, verified April 2026). Sartori & Partners closed engagements for GC-grade counsel at venture-backed and regulated companies sit higher, at £1,800 to £3,200. The gap is seniority and sector, not geography alone.
Do fractional days count toward a later permanent search?
On this desk, yes. Days billed on a fractional engagement are credited against a later retained fee for the same seat. Retained terms are a fee of 25 to 30 percent of first-year total compensation, with a retainer of 30 percent of the fee at engagement. See fractional general counsel.
