Lawyer salary in Delaware 2026: the Wilmington table versus the New York lockstep

Two Wilmington houses published a $220,000 first-year in 2026. The New York lockstep sits $15,000 higher. This page is for the Delaware lawyer who earns that figure and the general counsel who has to decide which table to write.

A Delaware hire priced off New York lockstep is the wrong product.

The dated Wilmington table is $220,000. The New York lockstep is $235,000. The cost of copying the second onto a Delaware-bar seat is not $15,000. It is a credential the company did not buy.

A company searching for lawyer salary Delaware in 2026 usually copies the New York lockstep and calls it a market match. Richards, Layton & Finger publishes a $220,000 first-year on its careers page; Morris, Nichols, Arsht & Tunnell announced the same figure on 20 July 2026. Across 1,675 structured interviews with New York associates and counsel, 87 of the 214 respondents sitting as general counsel, chief legal officer or head of legal at companies that buy Delaware corporate work, over a 24-month window, told Sartori their last Delaware-bar hire was first priced off the New York lockstep.

Lens 01 · Wilmington table The published Delaware-bar first-year in 2026 is $220,000.

Richards Layton lists $220,000 on its careers page; Morris Nichols announced the same raise on 20 July 2026, with summer pay at $4,230 a week. That is the Wilmington corporate-bar product. It is not a statewide median. Write the Wilmington table for a Delaware-bar seat.

02 The two tables

The two tables behind lawyer salary Delaware in 2026

The associate who earns the Wilmington figure and the general counsel who pays it are reading two published instruments. Only one of them is a Delaware-bar product.

The $15,000 gap is a product gap, not a discount. Richards Layton, a single-office Wilmington house of approximately 180 lawyers with a partner-to-associate ratio of about 1:1, publishes $220,000 as associate starting salary and $4,230 a week for summers. Morris Nichols announced “an increase in the starting salary for first-year associates to $220,000 and a more generous pay scale across all class years” on 20 July 2026, and restates the weekly summer equivalent on its law-students page. Neither firm published the rest of the class-year ladder on the pages. Treat $220,000 as the dated first-year cell, not as an invented eight-rung scale.

Bloomberg Law, on 2 June 2026, reported that Milbank’s associate pay scale would range from $235,000 to $455,000, a $10,000 to $20,000 lift by seniority, with McDermott Will & Schulte matching the same day. David Lat, in Bloomberg Law commentary on 17 June 2026, restated the updated scale as $235,000 for first-years through $455,000 for eighth-years, adopted by more than a dozen firms. Above the Law’s scorecard of 5 June 2026 treated 1 July 2026 as the presumed effective date. That is the New York-origin lockstep a buyer copies when pricing a Delaware hire off “the scale.”

The 2024 Wilmington floor that this table replaced was $210,000. Delaware Business Now, on 23 April 2024, reported Richards Layton, Potter Anderson and Young Conaway raising starting associate salaries to $210,000; Delaware Business Times the same day put Potter Anderson’s prior starting salary at $190,000. Potter Anderson and Young Conaway had not published a 2026 first-year on the firm pages. Their 2024 cell is history, not a 2026 number. NALP’s 2025 U.S. Associate Salary Survey, as of 1 January 2025, put the national first-year median at $200,000 and the 701-plus median at $215,000; National Jurist, on 2 June 2025, named six of 19 reported cities at a $225,000 median first-year, including New York City. Wilmington is not one of NALP’s 19 cities.

Bloomberg Law, on 18 November 2025, reported Cravath paying annual bonuses on a seniority-based scale starting at $20,000 for first-year associates and ranging up to $115,000, plus special bonuses of $6,000 to $25,000, and framed the then-prevailing starting salary as $225,000. That is the bonus grid a buyer copies when matching a New York-scale seat. It is not a Wilmington bonus table. Neither Richards Layton nor Morris Nichols published a 2026 bonus grid on the pages. A general counsel who adds the Cravath year-end to the Wilmington first-year is mixing two products.

Delaware-bar productNational associate product

  1. Wilmington table A dated first-year at the single-office corporate houses that actually write Delaware opinions and stand up in Chancery. Credential gate is the Delaware exam plus a clerkship.
  2. National-firm Wilmington office The same Chancery product sold from a matching-firm payroll. If that office already pays New York lockstep, the Wilmington floor underprices the seat. If it does not, the lockstep overpays it.
  3. New York lockstep A national matching-firm ladder keyed to class year. Right price for a matching-firm associate. Wrong price for a Wilmington house, a Rule 55.1 in-house seat, or a Deputy Attorney General.

Adding a $20,000 2025 year-end and a $6,000 special, the grid Bloomberg Law reported on 18 November 2025, to the new $235,000 New York first-year produces an all-in illustration. It is not a Wilmington bonus scale. Neither Richards Layton nor Morris Nichols published a 2026 bonus grid on the pages.

03 Who sits on which payroll

Attorney salary Wilmington sits on more than one ledger.

Wilmington houses, national-firm Delaware offices, operating-company legal departments, and the Department of Justice pay Delaware lawyers from instruments that do not share a raise date.

Sartori maps roughly 67,000 lawyers in New York. That file records admission, employer and practice among the origination desks that buy Delaware counsel. It is not a census of the Delaware Bar. The American Bar Association’s 2025 National Lawyer Population Survey counted 3,326 resident-active Delaware attorneys, up from 3,058 in 2024, with 2025 data as of 31 December 2024; an ABA news release of 8 December 2025 named Delaware among states with over 5 percent year-on-year growth. The Delaware State Bar Association president, in the September 2025 Bar Journal, put current active members of the Delaware Bar at 4,039, of whom more than 3,000 were DSBA members. BLS wage-and-salary employment was a third series: 2,830 lawyers in May 2023. Resident-active, Bar-active including non-residents, and wage-and-salary employment are three counts. They are not interchangeable.

Firm-side buyers of the $220,000 table are the single-office Wilmington corporate houses. Richards Layton lists one Wilmington location and open 2026 seats in Corporate Litigation and Court of Chancery Practice (minimum two years) and Corporate Trust & Agency Services (three or more years), with Delaware bar “not required” at hire and the exam required at the first opportunity. The same careers page listed a 2026 summer class of 22 (15 second-years, 7 first-years) against 14 in 2025, plus a Fall 2027 entry-level class. That is one house’s published slate, not a statewide opening count. Morris Nichols, on 4 June 2026, announced Chambers USA 2026 Band 1 rankings across Bankruptcy/Restructuring, Chancery, Corporate M&A and Alternative Entities, and Intellectual Property, its 18th consecutive year of top-tier recognition in those four cores, with 28 attorneys ranked. Potter Anderson’s careers page describes six Chambers-ranked departments and a 2025 Law360 Delaware regional-powerhouse call-out. Young Conaway’s practice map is corporate litigation and counseling, bankruptcy, intellectual property, and business and tax. Skadden’s Wilmington office at One Rodney Square sells the same Chancery product from a national platform; Chambers USA 2026 listed the firm Band 1 in Delaware Chancery, per the firm’s 4 June 2026 release. A published 2026 salary for that office was not on the pages. Do not invent one.

The general counsel who pays a matching figure sits somewhere else: in a bank, a chemical, a biopharma, or a public legal desk. In-house titles that actually appear on employer-type postings in this geo are Senior Counsel in a global biopharma legal group reporting to a deputy general counsel; Director of Corporate Governance Counsel at a Delaware-headquartered biopharma; Compliance Counsel and Senior IP Counsel at a chemical manufacturer; and Vice President Legal on a global bank’s credit-card and strategic-transactions desks. Delaware Business Times, on 24 January 2025, put one global bank at 11,300 Delaware employees. That is employer-size landscape, not a legal-headcount. Funds and sponsors that form Delaware LPs and LLCs typically buy the Wilmington firm-side product as outside counsel. They do not hire a Wilmington general counsel to replace it.

The associate on a Wilmington corporate-bar payroll after July 2026 is already earning the published $220,000 first-year. The open question is which credential still attaches.

  • Delaware-bar associates sit in Wilmington and staff Court of Chancery, District of Delaware patent, or Bankruptcy Court matters as local counsel, often beside out-of-state co-counsel. The exam plus a 12-week clerkship is the gate, not a nice-to-have.
  • In-house counsel at a Wilmington campus may sit on Rule 55.1 and never appear. That lawyer earns a company band, not the Wilmington table. A general counsel who wants Delaware opinions in-house is buying the other credential.
  • Public lawyers on the DAG I–V ladder, and Chancery clerks (up to 21 seats for the 2027–28 term, applications due 1 May 2026), earn a different instrument. Pricing either off $220,000 is a category error.

The general counsel, chief legal officer or head of legal matching that hire is writing against a 2026 department budget, not against a Wilmington firm’s lockstep.

  • Operating companies in banks, chemicals and biopharma employ lawyers in Wilmington and buy the firm-side Chancery product as outside counsel. The W-2 and the invoice are two ledgers.
  • Formation clients — funds, sponsors, out-of-state deal teams — pay the Wilmington houses. They are not hiring a Delaware general counsel to replace that spend.
  • A true-up is a committee vote. Matching the Wilmington table is one decision. Copying New York lockstep because “that is the scale” is another. The second one is where Delaware-bar company-side searches stall.
Which table prices a 2026 Delaware hire, by the situation the general counsel or the lawyer is actually in. Neighbouring states are named only as the destination of some large reincorporations, not as a pay table.

04 What prices the seat

The Wilmington table is paid from the franchise, not from Cravath's memo.

Formations rebounded in calendar 2025. The Court of Chancery civil docket still rose after the legislative reset. Neither series sets associate pay. Both series tell a general counsel which product the $220,000 seat is for.

The Delaware Division of Corporations’ 2025 Annual Report counted 2,287,728 active business entities at year-end 2025, up from 2,157,482 at year-end 2024 and 2,070,347 at year-end 2023. New formations in calendar 2025 were 334,461, a more than 15 percent increase over 289,810 in 2024 (298,165 in 2023). The 2025 mix was LLCs 235,393 (70.4 percent), corporations 74,716 (22.3 percent), LPs and LLPs 21,189 (6.3 percent) and statutory trusts 3,163 (0.9 percent). General-fund revenue for fiscal 2025 was $2,050.4 million (business-entity taxes $1,846.5 million; fees $171.4 million; UCC fees $32.5 million), after $2,006.5 million in FY2024 and a FY2023 peak of $2,058.5 million. UCC transactions in calendar 2025 were 765,136, up from 679,141 in 2024. That filing engine feeds Delaware corporate counseling, opinions, alternative-entity work and Chancery — not a job-board count of lawyer ads.

The Court of Chancery recorded 1,404 civil filings in FY2025, up 6.1 percent from 1,323 in FY2024, and 1,466 civil dispositions, up 21.5 percent from 1,207. Ten-year civil filings ran 1,356 in FY2016, a trough of 959 in FY2018, then 1,404 in FY2025. Estates filings were 3,478; miscellaneous 292; total filings 5,174. The nationally watched corporate docket is the civil slice, not the estates bulk. The U.S. Bankruptcy Court for the District of Delaware, in Judicial Business 2025, reported the largest numeric growth in adversary proceedings of any district: an increase of 2,206 filings, up 659 percent, a series the Administrative Office ties to chapter 11 cases filed about two years earlier. Nationwide chapter 11 filings in FY2025 were 8,937, down 0.8 percent. The bankruptcy desk is cyclical. The Chancery civil desk did not shrink with the 2025 statute cycle.

Senate Bill 21, signed by Governor Matt Meyer the night of 25–26 March 2025 after a 20–0 Senate vote on 13 March and a 32–7 House vote on 25 March, rewrote DGCL §§ 144 and 220. The Governor’s release framed the franchise as more than one-third of the state budget at roughly $2.2 billion. Cadwalader, on 31 March 2025, recorded the new sections as effective on signing, retroactive except for completed or pending actions and § 220 demands made on or before 17 February 2025. The Delaware Supreme Court, in Rutledge v. Clearway Energy Group LLC, No. 248, 2025 (27 February 2026), unanimously held that those § 144 safe harbors do not strip the Court of Chancery of equitable jurisdiction. Skadden, on 2 March 2026, called amended Section 144 “indisputably the law of Delaware.” Hiring consequence: more counseling and process-design work on controller transactions and books-and-records, not a disappearance of Chancery associates. The docket still has to decide whether the safe harbor was satisfied.

Senate Bill 313, signed 17 July 2024 and effective 1 August 2024, was the earlier “market practice” package after Moelis, Activision and Crispo — stockholder-agreement rights, merger-agreement mechanics, lost-premium damages. The Delaware Supreme Court reversed Moelis on 20 January 2026 on voidability and laches; SB 313 had carved out pending proceedings, so the appeal was not mooted. Counseling and opinions seats absorbed that amendment work. None of these statutes set associate pay. The Wilmington $220,000 first-year and the New York $235,000–$455,000 lockstep moved on firm announcements in June–July 2026, after Rutledge and after the formation rebound.

Governor Meyer signed the annual technical package on 30 June 2025, effective 1 August 2025: intra-corporate forum clauses aligned with Salzberg (Delaware courts cannot be excluded; no fee-shifting in charter or bylaws for intra-corporate claims), registered agents barred from operating solely from virtual offices, and annual reports required to disclose the nature of business. Saul Ewing, on 9 July 2025, restated that package. It loads registered-agent, opinions and entity-maintenance desks. It is not a Chancery-trial driver, and it does not move the $220,000 table.

New Delaware entity formations, calendar years 2023–2025, from the Division of Corporations 2025 Annual Report. Flow, not stock; the year-end entity count is a separate cell in the prose above.

Analysis Group, DExit Trends, updated 1 September 2026.

Analysis Group, updated 1 September 2026, counted 33 public companies with market cap of at least $250 million reincorporating from Delaware and five reincorporating into Delaware from 1 January 2024 through 1 July 2026 — a net exit of 27. The first half of 2026 saw twelve large leavers, seven to Texas and five to Nevada, including Dell Technologies on 26 June 2026. Tesla reincorporated on 13 June 2024. The Division of Corporations 2025 report still prints “nearly 70 percent U.S. IPOs” against 81.4 percent in the 2024 report, while total entities and formations rose. Analysis Group separately put Delaware’s share of U.S. IPOs (non-SPAC, above $250 million) at 87 percent in the first half of 2026, from a five-year low of 77 percent in 2025. Those are different IPO prints. Neither of them is a lawyer salary. The seat that still pays the Wilmington table is the Delaware-bar lawyer who can appear on that docket and sign the conversion opinion. Texas and Nevada took some large names. They did not take the formation series.

We will not pay New York lockstep for a seat that never stands up in Chancery.
A chief legal officer at a chemical manufacturer
05 The credential split

Full Delaware admission and Rule 55.1 are not the same hire.

The cost of pricing the wrong corporate-bar seat starts with the credential. A general counsel who skips this question is writing a number onto a product the company does not own.

Full admission to the Delaware Bar, as the Board of Bar Examiners states, requires an ABA-accredited J.D., a passing written Delaware Bar Examination (scaled score at least 143), an MPRE of 85 or above, character and fitness, and a 12-week clerkship. July 2026 results were scheduled for release late afternoon 1 October 2026, with a December admission ceremony on 9 December 2026. Limited-permission tracks exist for in-house counsel, military spouses, foreign legal consultants and certain public programs. They do not make the holder a Member of the Delaware Bar. Richards Layton’s 2026 Chancery and corporate-trust postings require the exam at the first opportunity if the hire is not already admitted. A New York-admitted lockstep associate is not a substitute for that seat.

Supreme Court Rule 55.1, amended by order of 14 July 2025 together with Rule 6 and DLRPC 5.5 after an advisory committee established 4 November 2024 and comments invited 26 March 2025, lets a lawyer admitted and in good standing in another U.S. jurisdiction obtain a certificate to provide legal services solely to a non-governmental employer whose business is other than the practice of law, with an office or systematic and continuous presence in Delaware. The holder “is not a Member of the Delaware Bar.” Application is due within 30 days of beginning employment. The Supreme Court’s 22 October 2024 construction of the rule (No. 79, 2024) held the certificate unavailable where the employer’s business is the provision of legal services, and read “employed in this state” as an office or other systematic and continuous presence. There is no public census of certificate holders in the research for this page. Do not treat the rule as a headcount.

A chief legal officer at a chemical manufacturer with a Wilmington campus, in that same cohort and over the same 24-month window, told Sartori, “We will not pay New York lockstep for a seat that never stands up in Chancery.” A head of legal at a global bank’s Wilmington credit-card desk, in the same cohort, described a Vice President Legal hire who sat on Rule 55.1 and bought Delaware opinions from the firm-side panel rather than bringing the credential in-house. Those are two different company problems sharing one city and one published $220,000 table.

National OEWS, May 2023, put lawyers in Management of Companies and Enterprises at an annual mean of $237,370, against legal-services lawyers at $182,020. That is a national industry cell, not a Wilmington in-house band. It sits $17,370 above the Wilmington first-year firm table and $2,370 above the New York lockstep floor. A general counsel who treats that national mean as a Wilmington lockstep is reading the wrong cut. Bureau of Labor Statistics also ranked Delaware third among states by mean lawyer wage in May 2023, behind the District of Columbia at $238,990 and California at $213,860, and ahead of New York at $208,480, with a location quotient of 1.25 and 6.03 lawyer jobs per 1,000 — fifth by concentration. The Philadelphia-Camden-Wilmington PA-NJ-DE-MD metro diluted the same occupation to a $173,590 mean across 19,190 lawyers. Statewide OEWS runs the opposite direction from first-year lockstep. That inversion is the trap.

06 What a wrong seat costs

The first offer written to New York lockstep is the offer that gets rewritten.

The files that ran long stalled on which table, not on shortlist quality.

Sartori & Partners runs a continuous research program over nearly 1.5 million lawyer profiles mapped globally, with quarterly market surveys running since 2019. We have worked the New York associate line for more than 10 years. Over the trailing three years we closed 33 associate searches with a 94 percent completion rate, a median of 11 working days from offer to signature, and a typical timeline of 6 to 12 weeks. Counter-offer incidence on this line is 37 percent.

Of those 33 closed associate searches over three years, 12 were Delaware-bar Chancery, corporate-counseling or Wilmington in-house seats — a general counsel, chief legal officer or head of legal buying a Delaware-admitted lawyer onto the payroll, or a Wilmington house filling a Chancery class. Of those 12, 9 were company-side. Eight of those 9 first offers were written to then-current New York lockstep rather than to the Wilmington published table. Five of those 8 required a rewritten offer before signature. Median rewrite sat inside the 11-day window. The shortlist was not the delay. The first number was.

Four of the 12 Delaware-bar files ran past twelve weeks. Three of those four stalled on the company’s compensation committee refusing to drop from New York lockstep to the Wilmington table, or refusing to treat Delaware bar admission plus the 12-week clerkship as a hard gate. Sartori closed those files. We closed them late, and the delay was the company’s, not the market’s. That is the finding that does not flatter the method: a clean shortlist does not rescue an offer written to the wrong table. Five of the 12 drew a counter from the incumbent Wilmington house.

Sartori’s quarterly survey since 2019, in the 2026 second-quarter in-house wave, recorded 52 of 81 general counsel whose companies have a Delaware entity on the books saying they would match New York lockstep for a Wilmington in-house seat that never appears in Chancery. That read sits next to the 87 of 214 in-house respondents in the interview cohort who described their last Delaware-bar hire as first priced off New York lockstep. The survey asks what the company intends to do. The cohort records what the last offer actually said.

Write the live tableLose the first choice

  1. Name the product Chancery appearance, Delaware opinion, Rule 55.1 advice, or public ladder. The credential decides the table before the number is written.
  2. Write the live table Wilmington first-year for a Delaware-bar seat; New York lockstep only if the office already pays it; a company band for a certificate that never appears. This is the vote that stalls the file.
  3. Take the counter A 37 percent counter-offer line means the incumbent Wilmington house still has a move. A company that copied New York lockstep discovers that here, not in the term sheet.

Two composites from that book, described by category only. A PE-backed industrial platform hired a year-three Chancery associate onto an in-house opinions seat after July 2026. The first offer matched the $235,000 New York first-year and was silent on Delaware admission. On working day eight the company rewrote it to the $220,000 Wilmington table, required the exam at the first opportunity, and added a signing amount equal to the $15,000 gap. Signature came on working day eleven. The file closed in week nine, inside the 6-to-12-week envelope. The candidate never saw a second firm. The committee saw a second number.

A global biopharma’s Wilmington commercial legal desk opened a Senior Counsel seat against a committee that had copied New York lockstep because “that is what lawyers cost.” The first-choice candidate was a Pennsylvania-admitted lawyer who would sit on Rule 55.1 and never appear in Chancery. The desk did not need the Delaware exam. It dropped the lockstep match, hired on the certificate, and kept Delaware opinions on the firm-side panel. The company kept its budget. It did not hire a Chancery lawyer. That is a legitimate outcome. It is not a match to $220,000.

Wilmington first-year is the RLF careers page and the Morris Nichols announcement of 20 July 2026. New York lockstep is Bloomberg Law, 2 June 2026, effective 1 July 2026. Public cash is the DOJ posting. Formation and docket figures are the Division of Corporations and the AOC. Sartori interview, telemetry and survey figures are internal; the owner reviews them by hand.

Compensation figures are market instruments, not an offer. Individual Wilmington houses pay the published first-year; matching-firm offices may already be on New York lockstep; public employers pay the posted ladder; in-house cash is a committee decision on a credential. Potter Anderson and Young Conaway 2026 first-year figures are omitted because they were not on the firm pages. Lawyer salary in Delaware 2026: common questions

What is a typical lawyer salary Delaware in 2026?

The published Wilmington first-year is $220,000 at two corporate houses as of July 2026. Richards, Layton & Finger lists that figure on its careers page; Morris, Nichols, Arsht & Tunnell announced the same raise on 20 July 2026. Bloomberg Law, on 2 June 2026, put the New York lockstep first-year at $235,000. A Deputy Attorney General I in New Castle County was posted at $87,458. Bureau of Labor Statistics May 2023 OEWS put Delaware lawyers at an annual mean of $212,360 — an occupation mix, not a first-year lockstep. Those are different products, not a spread around one median.

How does lawyer salary Wilmington compare with the New York lockstep?

It sits $15,000 below the New York first-year floor on the published 2026 tables. The Wilmington figure is the Delaware-bar Chancery and corporate-counseling product. The $235,000–$455,000 ladder Bloomberg Law reported on 2 June 2026 is the national matching-firm product, effective 1 July 2026. Copying either number onto the other seat is the pricing error this page is about. See the national class-year ladder for lockstep as a market scale, and lawyer salary in New York 2026 for the New York window; this page is the Delaware table.

What should a general counsel pay for in-house counsel in Wilmington in 2026?

There is no published Wilmington in-house lockstep; the only dated wage cell is the national OEWS mean of $237,370 for lawyers in management of companies (May 2023, BLS). That national industry cut sits $17,370 above the Wilmington first-year firm table and $2,370 above the New York lockstep floor. A Rule 55.1 in-house lawyer who never appears in the Court of Chancery is not the $220,000 Delaware-bar product. A chief legal officer who needs Delaware opinions in-house is. Our in-house counsel recruiting desk prices that split before the offer goes out.

Does an in-house Wilmington seat require Delaware bar admission?

No: a Rule 55.1 certificate, amended 14 July 2025, lets an out-of-state lawyer advise a Delaware employer without Bar membership. The holder is not a Member of the Delaware Bar and cannot appear in the Court of Chancery or sign a Delaware opinion the way a fully admitted lawyer can. Full admission still requires an ABA-accredited J.D., a written Delaware Bar Examination, character and fitness, the MPRE, and a 12-week clerkship, per the Board of Bar Examiners. Richards Layton’s 2026 Chancery and corporate-trust postings require the exam at the first opportunity if the hire is not already admitted.

How long does a Delaware-bar associate search take, and what does a counter-offer do to the clock?

Sartori’s associate line typically fills in 6 to 12 weeks, with a median of 11 working days from offer to signature and a 37 percent counter-offer incidence. Of 12 Delaware-bar files inside 33 closed associate searches over three years, 4 ran past twelve weeks; 3 of those 4 stalled on whether the company would drop the New York lockstep and write the Wilmington table. Completion on the line is 94 percent. The delay is usually the table, not the shortlist.

Did DExit change what Delaware corporate-bar lawyers earn in 2026?

No published 2026 salary table moved on DExit: the Wilmington $220,000 first-year was announced in July 2026. Analysis Group, updated 1 September 2026, counted a net exit of 27 large public companies from Delaware from 1 January 2024 through 1 July 2026. The Division of Corporations still recorded 334,461 new formations in calendar 2025, up 15.4 percent from 289,810 in 2024, and Court of Chancery civil filings rose to 1,404 in FY2025. Texas and Nevada took some large leavers. The franchise that prices the Wilmington table did not disappear with them.
