M&A Attorney Salary 2026: Law Firm vs In-House
The 2026 US market does not publish how many M&A attorneys it employs or how many in-house M&A seats companies are trying to fill. It publishes a lockstep ladder, a deal-filing count, and one dated in-house posting. This page is the table a general counsel and an M&A attorney both need.
The count the query implies is unpublished.
New York's Am Law 200 population stood at 27,400 attorneys, Pirical reported on 6 May 2025. Sartori maps about 67,000 lawyers in New York. Neither figure is an M&A headcount. A general counsel who types m&a lawyer salary is asking where the lockstep ladder sits against the one in-house posting that can be dated.
The Bureau of Labor Statistics, the American Bar Association, NALP and Pirical all publish lawyer counts. None of those series splits mergers and acquisitions from other specialties. The M&A headcount is unpublished. The pay table is not.
The market that can be sized is licenses, jobs, in-house residuals and filings. The M&A attorney integer is not in that set. The dated table is below.

The 2026 m&a lawyer salary, firm versus in-house
A general counsel comparing offers, and an M&A attorney reading the same number, are looking at two instruments that do not share a publisher. The firm figure is a lockstep memorandum. The in-house figure, where it exists at all, is a careers page.
There is no census of M&A attorneys. There is a lockstep ladder and one dated posting. Matching-firm associate base, from the 2 June 2026 memorandum effective 1 July 2026, runs $235,000 for the 2026 and 2025 classes to $455,000 for the class of 2018. That ladder is the Corporate/M&A associate rate at firms that matched the announcement; it is not a practice-area premium. Special associates and counsel are determined on an individual basis on the same memorandum.
NALP’s 2025 Associate Salary Survey, as of 1 January 2025, put the overall first-year median at $200,000. Firms of 701 or more lawyers sat at a $215,000 median. The $225,000 figure was the mode — 32 percent of offices overall, 44.7 percent of 701-plus offices — and it was the standard first-year number in Austin, Boston, Houston, New York City, San Francisco and the Washington, DC area. That survey predates the 1 July 2026 floor. A mergers and acquisitions lawyer salary conversation that treats $225,000 as the 2026 matching-firm rate is a year behind the memorandum.
The in-house column is thinner. OpenAI’s careers page, accessed 11 September 2026, posted Senior Counsel, Corporate (M&A) in San Francisco at $330,000–$366,000 plus equity, with eight-plus years of transactional experience at technology companies and law firms, and a California license. That is one employer. EquipmentShare’s Corporate Development Counsel posting and Cypress Creek Renewables’ Corporate Counsel posting, the latter dated 18 March 2026, show title architecture and year-gates. Neither prints a cash band on those pages. Association of Corporate Counsel’s 2025 Law Department Compensation Survey exists; the public executive-summary page did not yield title-level M&A dollars. This page does not invent the missing band.
| What is published | Instrument and date | Dated figure | What it is not |
|---|---|---|---|
| Matching-firm associate base | Associate memorandum, 2 June 2026, effective 1 July 2026 | $235,000 to $455,000 | An M&A practice premium. Special associates and counsel are set individually. |
| First-year median, all responding offices | NALP Associate Salary Survey, as of 1 January 2025 | $200,000 | The 2026 lockstep floor. The $225,000 figure was the mode, not the median. |
| Senior Counsel, Corporate (M&A) | One late-stage private AI-lab careers page, accessed 11 September 2026 | $330,000-$366,000 + equity | A national in-house M&A band. Eight-plus years and a California license on that posting. |
| US lawyer median wage | BLS Occupational Outlook Handbook, May 2024 | $151,160 | An M&A split, an in-house split, or a 2026 lockstep number. |
The class-year file is the memorandum, not a tracker’s all-in column. Biglaw Investor compiles a first-through-eighth ladder of $235,000 to $455,000 and a tracker “Total” of $256,000 to $585,000. That total is the tracker’s construction. Cravath’s 18 November 2025 memorandum set year-end bonuses at $15,000 (prorated class of 2025) to $115,000 (class of 2018), with specials of $6,000 to $25,000, New York and Washington paid on 12 December 2025, and no billable-hour criterion. The January 2026 bases on that bonus memorandum were still the pre-raise ladder. A 2026 all-in that adds the July base to the November 2025 bonus is two instruments, not a package anyone announced.
Above the Law’s 2026 associate-compensation scorecard recorded a same-day matcher on 2 June 2026, Sullivan & Cromwell matching on 26 June 2026, and Norton Rose Fulbright matching on 30 June 2026 at a 1,900-hour bonus gate. Several boutiques sat at or above the new floor. The memorandum is the rate at matching Corporate/M&A groups. It is not a national first-year median, and it is not an in-house figure a chief legal officer can paste into a requisition.
| Graduating class | How the memo groups the seat | Base from 1 July 2026 |
|---|---|---|
| 2026 and 2025 | Most junior two classes | $235,000 |
| 2024 | Class of 2024 | $245,000 |
| 2023 | Class of 2023 | $270,000 |
| 2022 | Class of 2022 | $320,000 |
| 2021 | Class of 2021 | $385,000 |
| 2020 | Class of 2020 | $410,000 |
| 2019 | Class of 2019 | $440,000 |
| 2018 | Class of 2018 / senior | $455,000 |
The Bureau of Labor Statistics Occupational Outlook Handbook, last modified 28 August 2025, put the May 2024 lawyer median wage at $151,160. Occupational Employment and Wage Statistics Table 1 for May 2025 put mean annual pay at $185,840. Those are all-lawyer figures. They bound the profession. They do not price a Corporate/M&A associate or an in-house M&A counsel.
There is no census of M&A attorneys. There is a lockstep ladder and one dated posting.
Who earns the figure, and who pays it.
Chambers USA 2026 still files the work under Corporate/M&A, not under a free-standing M&A-attorney census. The company pays one seat on payroll and the other as a panel hour.
We have worked the New York market for more than 10 years, for companies staffing in-house M&A and corporate-development counsel and for firms filling Corporate/M&A associate seats. Over the trailing three years we closed 33 associate searches on that line, at a 93 percent completion rate, on a typical six-to-12-week timeline. Of those 33 closed New York associate searches, 19 were Corporate/M&A or private-equity-adjacent associate seats at scale-matching or Elite-equivalent desks, and 8 were company-side M&A or corporate-development counsel filled from the associate market. The remainder sat in other associate practices.
Chambers USA 2026, New York Corporate/M&A: The Elite, defines the chapter as company acquisitions, dispositions and related financing, mergers, joint ventures, capitalizations, entity selection, operating agreements, governance and intra-group ownership change. Priority is counsel for buyers and sellers. Band 1 names eight firms, each listed as ranked for 19 years: Cravath, Davis Polk, Kirkland & Ellis, Paul, Weiss, Simpson Thacher, Skadden, Sullivan & Cromwell and Wachtell Lipton. That list is a ranking taxonomy. It is not a headcount, and it is not a pay table. The Highly Regarded split sits one step down the same definition and still hires Corporate/M&A associates.
Law.com, on 2 January 2026, using preliminary LSEG data, put Kirkland & Ellis at $730.8 billion of 2025 M&A transactions and, with Latham & Watkins, at the top of global principal-value tables, while Goodwin Procter led principal deal volume. Global principal deal value rose 49 percent against a 3 percent drop in volume. Those desks sell hours. They do not publish how many M&A attorneys the United States employs. Kirkland’s private-equity practice page, accessed 11 September 2026, states more than 800 private-equity clients across the fund life-cycle. That is a client-type claim, not a hiring bulletin. The Elite desk is still staffed. The volume of sponsor processes is the constraint a company-side general counsel should not ignore when the requisition is written as “just like the PE associate.”
Public and strategic general counsel
The 1H 2026 value boom is a mega-deal market led by strategic buyers. The in-house M&A seat sits under the chief legal officer and buys Elite Corporate/M&A hours on the same file.
PE-backed operating platforms
Corporate Development Counsel is the title on the construction-tech posting: legal lead on acquisitions, divestitures and investments, with law-firm M&A experience strongly preferred.
Late-stage private technology
Senior Counsel, Corporate (M&A) under a deputy general counsel for M&A and investments. The dated cash is base plus equity, and the license is the state where the seat sits.
Sponsor general counsel
A small in-house desk beside the fund manager that still sends buyout documentation to Elite or Highly Regarded PE/M&A firms. The sponsor GC is not the lockstep associate the company is trying to hire.
Partnership payrollCompany or fund payroll
- Lockstep Corporate/M&A The associate is paid by the partnership from client billings. Class year sets base. The buyer of the hour is a general counsel or a sponsor.
- In-house under the GC Senior Counsel, Corporate (M&A), Corporate Development Counsel, or Corporate Counsel on deals. Legal owns the line. Corporate Development is the dotted partner.
- Sponsor GC / AGC A small desk beside the fund manager that still sends buyout paper to Elite or Highly Regarded PE/M&A firms. Not the lockstep seat a company is trying to hire.
The lockstep number is a class-year rate at matching firms. It is earned by associates, not by a free-standing M&A title.
- Credential gate. The Bureau of Labor Statistics Occupational Outlook Handbook states the typical path is a JD from an accredited school and a state license. NALP’s Class of 2025 put 84.6 percent of graduates in bar-admission-required or anticipated jobs.
- New York license. The New York State Board of Law Examiners still runs the Uniform Bar Exam; the passing score is 266. The New York Court of Appeals said on 8 January 2025 that the NextGen Bar Exam replaces the UBE in New York in July 2028. In 2024 the Board processed 16,574 applications and examined 14,354 candidates.
- The in-house gate is local. The AI-lab posting required a California license because the seat sits in San Francisco. A New York in-house M&A counsel is inside Part 520, not inside a national M&A credential.
The general counsel is the buyer of the firm hour and the payer of the in-house seat. Those are two budget lines, not one market.
- Department cash. CLOC and Harbor’s 2024 survey of 186 organizations put median internal legal expenditure at $21.7 million and median external at $20.6 million, on a median 77 legal FTEs. Median internal spend per in-house lawyer was $501,000; median external per in-house lawyer was $518,000.
- Keep-versus-send. Above the Law’s 9 May 2025 recap of the same survey put 41 percent of departments as keeping more work in-house as an outside-counsel initiative, and 33 percent still increasing outside counsel. That is a workload finding, not an M&A-title hiring census.
- Firm rates as context. Thomson Reuters Institute recorded Am Law 100 standard rates cracking $1,000 in 2025, with others around $600. That is what the company pays when it does not put the M&A lawyer on payroll.
Almost every M&A associate still starts at a firm.
NALP's Class of 2025 is the supply pipe for the lockstep ladder. It does not split M&A from other firm associates. Business jobs remain a thin slice.
NALP released Employment for the Class of 2025 on 5 August 2026, with a 16 March 2026 status date. Overall employment was 92.8 percent. Private practice took 60.9 percent of employed graduates, the highest share since the Class of 1990. Firms of 501 or more lawyers accounted for 33.2 percent of all law-firm jobs, down from 34.2 percent, and hired about 540 fewer Class of 2025 graduates than Class of 2024. Median private-practice salary was $155,000, which NALP attributes to mix and firm-size reclassification, not a broad cut. Median at 501-plus firms was $225,000. Business jobs were 6.7 percent of employed graduates, 2,180 people. Federal government hiring excluding clerks fell 37 percent, from nearly 1,100 to about 690; those seats are not this salary table. An M&A attorney who later sits in-house is, on this pipe, almost always a firm associate first.
The Class of 2025 National Summary Report counted 36,206 graduates and 32,619 employed. Private practice held 19,869 of those jobs; 6,588 sat in firms of 501 or more. Associate or entry-level attorney titles were 18,606 of 19,731 typed firm jobs. Mid-Atlantic jobs (New Jersey, New York, Pennsylvania) numbered 7,135, with a median salary of $115,000 and a 75th percentile of $225,000. NALP does not print an “M&A associate” row. The lockstep memorandum is how matching Corporate/M&A groups pay that associate once the person is inside the building.
Of that same New York interview cohort, 92 were years 4 to 7 Corporate/M&A associates at scale-matching firms over a 24-month window. 64 of those 92 would not take a first in-house meeting unless equity was on the table in the first conversation. The lockstep mid-level is the person a general counsel actually tries to hire. The person is not priced on the NALP first-year median.
Deal value is not a hiring census.
US announced M&A set a first-half record on value in 2026 while smaller deals lost count. The seats that number pays for are senior public-M&A and antitrust, not a mid-market PE associate factory.
The first-half 2026 announcement tape is a mega-deal market, not a mid-market hiring wave. Wells Fargo’s 2Q 2026 Market Pulse, with LSEG as of 30 June 2026, counted 38 US deals of $10 billion and above against 17 in the first half of 2025, 56 percent of first-half 2026 volume. Deal counts rose in every size bucket except transactions under $250 million, which fell from 2,277 to 2,097. Calendar 2025 had already shown the same shape: 40 US $10 billion-plus deals against 26 in 2024, on Wells Fargo’s January 2026 pulse. LSEG Deals Intelligence, on 12 August 2026, put US targets at $1.69 trillion through July 2026, the strongest opening seven months on record for US targets, with cross-border at $1.05 trillion, the highest January–July since 2007. A chief legal officer staffing a 2026 M&A seat is staffing that concentrated calendar.
Thomson Reuters Institute, in the 2026 Report on the State of the US Legal Market, recorded M&A practice demand up 3.3 percent in 2025 on a 184-firm panel. Weekday-adjusted demand across practices averaged 2.5 percent. The same report’s buyer-sentiment section has general counsel signaling spending pullbacks, with financial forecasts pointing to contraction by mid-2026. That is the uncomfortable public number on the company side of this table: the people who pay the in-house figure are the same people the Institute says will squeeze the firm hour.
The Federal Trade Commission raised the Hart-Scott-Rodino size-of-transaction threshold from $126.4 million to $133.9 million on 14 January 2026, effective 17 February 2026. FY 2025 produced 18 merger enforcement actions, against 32 actions in FY 2024. Skadden’s 26 August 2026 read of the FY 2025 report put 32 of 41 Second Requests on deals of $500 million or more, and close to 40 percent of FY 2025 challenges settled against around 6 percent in FY 2024. The 2023 Merger Guidelines remained in force from 18 February 2025. The expanded HSR Form ran from 10 February 2025 until the Eastern District of Texas vacated it on 12 February 2026; the Fifth Circuit denied a stay on 19 March 2026, restoring the pre-February 2025 form through at least year-end 2026. Junior document collection on non-overlap deals recedes. Senior antitrust on $500 million-plus deals does not.
Delaware Senate Bill 21, signed 25 March 2025 and held constitutional in Rutledge v. Clearway Energy Group LLC on 27 February 2026, rewired controller-deal safe harbors. It is a process change for public-M&A partners, not a published pay band. CFIUS reviewed 347 covered transactions in calendar 2025, the Treasury said on 7 August 2026. That is a national-security desk. It is not this salary table. Outbound investment screening under the Outbound Investment Security Program has been in force since 2 January 2025; the COINS Act was signed 18 December 2025. Those screens sit on cross-border and sponsor files. They do not mint a junior domestic M&A associate class.
Paying in 2026Idling in 2026
- Senior public M&A Mega-deal value, contested control, takeover defense and remedy packages. The general counsel of a strategic buyer is the company-side counterpart.
- Antitrust on large files Second Requests concentrated above the mid-market. The 2023 Guidelines stayed. Settlement work returned. Junior form collection on clean add-ons did not.
- Mid-market PE volume Sponsor participation fell. Sub-threshold deal counts declined. The associate who lives on small add-ons is not the seat the 2026 value spike is paying for.
The people who pay the in-house figure are the same people the Institute says will squeeze the firm hour.
The lockstep number is not the in-house offer.
Counter-offer incidence on the New York associate line is 37 percent. Offer to signature is a median 11 working days. The files that ran long were the company-side seats that withheld equity from the first writing.
Across the same New York interview cohort, 214 were general counsel, chief legal officers or heads of legal at companies that had closed or abandoned at least one M&A process over a 24-month window. 139 of those 214 said they had no dated title-level in-house M&A band from a primary survey they could put in front of a CFO. Sartori’s New York mandate telemetry cannot see that band either. We see lockstep announcements. We do not see an in-house M&A pay table. That is the finding that does not flatter the desk: on this title, the company is asking us for a number our own book does not hold.
A general counsel at a PE-backed industrials platform told us, over that 24-month window, “I can price the Am Law hour. I cannot find a number for the person who sits next to corporate development.” A head of legal at a late-stage private technology company said the lockstep number was the one her CFO already knew, and the equity line was the one the candidate actually asked about. The companies were not short of a lockstep number. They were short of a dated in-house band they could put in front of a CFO.
Of the 8 company-side M&A files inside those 33 closed New York associate searches over three years, 5 of those 8 closed past the 12-week end of our typical window because the company would not put equity in the first written offer. We were slow on those files, and the delay sat with our process as much as with the buyer. Counter-offer incidence on the New York associate line is 37 percent. Median offer-to-acceptance is 11 working days once a candidate is actually in play. The signature window is not the clock that slips. The brief is.
A general counsel already writes Hart-Scott-Rodino filing fees on reportable deals. That schedule is not a reason to copy lockstep cash onto an in-house offer. It is a reason to decide, before the search opens, whether the company is buying a standing M&A counsel who will sit next to corporate development, or renting Elite Corporate/M&A hours on the episodic file. CLOC’s participating departments still spend almost as much outside as inside. The in-house M&A hire is the person who decides which of those two lines the next deal uses.
Pirical, on 19 September 2024, recorded New York M&A partner headcount up 22 percent over 2020 to 2024, beside Investment Funds at 28 percent and Emerging Companies and Venture Capital at 23 percent. That is partner growth at Am Law 200 and Global 200 New York offices, not an associate pay band and not an in-house census. It is why a years 4 to 7 Corporate/M&A associate in New York still has a firm option when a company opens a conversation without equity.
Two composites from the New York associate book
A PE-backed construction-tech platform opened Corporate Development Counsel as a years 4 to 6 seat, JD required, law-firm M&A drafting strongly preferred, reporting as primary legal advisor to Corporate Development. The brief named bolt-on acquisitions under the 2026 HSR threshold and one larger investment. We closed the file in 9 weeks, inside the six-to-12-week window, after the first written offer carried base, bonus target and a stated equity range. No candidate, company or firm is named here; the title architecture matches the platform posting, the process is a Sartori composite.
An Am Law 100 Corporate/M&A group opened a years 4 to 6 associate seat against a live public-company pipeline. The first-choice associate took a counter-offer. The replacement accepted in 11 working days. The lockstep class-year credit was the negotiation; the cash was the memorandum. A company trying to hire that same person in-house without an equity line is competing with a number the firm can match on a printed ladder.
The derived read a chief legal officer can actually use: the AI-lab posting asks for eight-plus years and prints $330,000 to $366,000 plus equity. The 2 June 2026 memorandum pays the class of 2018, the eighth-year rung, a $455,000 base. The company is not matching lockstep cash. It is matching lockstep-adjacent cash plus an equity line the memorandum does not carry. A general counsel who copies the $455,000 base into an in-house offer and withholds equity is buying a firm seat the company does not operate. A general counsel who prints $330,000 without equity is buying a no.
| Factor | What to interrogate | Weighs most for |
|---|---|---|
| Which desk is paying | Is this a partnership paying lockstep from billings, or a company paying base, bonus and equity under a general counsel? | Every offer |
| Which instrument you are quoting | Is the number a 1 July 2026 lockstep base, a 1 January 2025 NALP median, or a single employer careers page? | Any comparison a CFO will see |
| Year-gate versus cash | Does the in-house posting ask for eight-plus years while printing a base below the lockstep class that year-gate would occupy at a matching firm? | Company-side M&A counsel |
| Equity in the first writing | Is equity in the first written offer, or only in a later conversation the candidate has already left? | In-house M&A from a lockstep seat |
| HSR and contested-deal cover | Does this seat hold the filing calendar, a Second Request, or only the SPA? Antitrust hours are not an M&A salary. | Strategic buyers above the 2026 threshold |
| Fallback the board will accept | If the lockstep mid-level will not move without equity, will you promote, panel the episodic deal, or rewrite the cash? | Before the search opens |
M&A attorney salary: what both readers ask
The questions a general counsel and an M&A attorney actually bring to this table — answered with the same figures the rest of the page uses.
What is the 2026 m&a lawyer salary at a US law firm versus in-house?
Matching-firm lockstep base runs $235,000 to $455,000 from 1 July 2026; one in-house posting prints $330,000–$366,000 plus equity. The 2 June 2026 associate memorandum, effective 1 July 2026, is the firm figure at scale-matching Corporate/M&A groups. The in-house dollars are a single late-stage private AI-lab careers page, not a national title survey. No allowed primary survey publishes an M&A-counsel band by seniority. A 2026 all-in that adds the July base to the 18 November 2025 bonus memo is two instruments, not a package anyone announced.
How many US M&A attorneys does the 2026 market employ?
No public census exists. The American Bar Association counted 1.37 million licensed US lawyers in 2025; that count is licenses, not an M&A specialty. The Bureau of Labor Statistics Occupational Outlook Handbook recorded 864,800 lawyer jobs in 2024; Occupational Employment and Wage Statistics Table 1 for May 2025 recorded 754,500 wage-and-salary lawyers. Association of Corporate Counsel’s residual put in-house counsel at 145,000 in 2024. None of those series splits mergers and acquisitions from other work.
What does in-house M&A counsel actually report to?
On three employer career pages, in-house M&A counsel reports to a deputy general counsel or the general counsel. A late-stage private AI lab puts Senior Counsel, Corporate (M&A) on the Legal team under a Deputy General Counsel for M&A, Investments and Strategic Transactions. A PE-backed construction-tech platform names Corporate Development Counsel as primary legal advisor to Corporate Development. A renewables sponsor platform puts Corporate Counsel (project finance and M&A) under the general counsel. None of those seats is a department outside Legal.
How long does a New York M&A associate search take?
Budget six to 12 weeks on Sartori’s New York associate line, with a median 11 working days from offer to signature. Over the trailing three years we closed 33 associate searches at a 93 percent completion rate. Company-side M&A files inside that book ran long when equity was withheld from the first written offer. The clock that slips is the brief, not the signature window.
Should a general counsel match lockstep cash to hire in-house M&A counsel?
The one dated eight-plus-year posting prints $330,000–$366,000 plus equity, below the $455,000 eighth-year lockstep base. Equity is the closer the base does not carry. A chief legal officer who copies the lockstep ladder into an in-house offer without an equity line is pricing a firm seat the company does not run. The general counsel is already the buyer of the firm hour and the payer of the in-house seat.
Do 2026 year-end bonuses add to the July 2026 lockstep base?
Cravath set year-end bonuses of $15,000 to $115,000 on 18 November 2025. That memo is not a 2026 all-in package. Special bonuses on the same memorandum ran $6,000 to $25,000. New York and Washington were paid 12 December 2025, with no billable-hour criterion. The January 2026 bases on that memorandum were still the pre-raise ladder. Combining the 1 July 2026 base with the November 2025 bonus is a writer construction, not a figure a firm published as one 2026 package.
Lockstep memoranda, bar census, HSR filings, and department surveys.
The lockstep bases are a 2 June 2026 firm memorandum. The in-house cash is one employer careers page. The census figures are ABA, BLS, ACC and HSR.

The 1.37 million licensed-lawyer figure is the ABA National Lawyer Population Survey as reported by ABA Journal on 9 December 2025. The 864,800 and 754,500 lawyer counts are separate BLS programs and are not averaged here. The 145,000 in-house figure is ACC's residual of BLS industries through 2024. HSR counts are the FY 2025 annual report. Announced-value series are LSEG, including as republished by Wells Fargo. The $235,000-$455,000 ladder is the 2 June 2026 associate memorandum effective 1 July 2026. Year-end bonuses are the 18 November 2025 Cravath memorandum. The $330,000-$366,000 line is OpenAI's Senior Counsel, Corporate (M&A) posting. CLOC/Harbor medians describe participating legal departments, not an M&A title.
Sartori maps lawyer coverage globally at about 1.5 million profiles and has run quarterly market surveys since 2019. The general in-house compensation map lives on the 2026 in-house salary page. Chief legal officer pay lives on the 2026 general counsel benchmark. The lockstep ladder as a class-year document, without the in-house column, lives on the 2026 BigLaw associate scale. For how the in-house desk runs a mandate, see in-house counsel recruiting; for the firm associate desk, see associate recruiting.
In-House Counsel Salary 2026
The general in-house compensation map. Use it for the legal-department bench; do not treat it as an M&A-counsel survey.

We map Corporate/M&A associate and in-house M&A counsel seats for general counsel, chief legal officers and law-firm groups in New York, and we are just as willing to say the dated in-house band does not exist as to open a search. Confidential, no obligation.
