The 2026 of-counsel window: pay cut or needed seat
From 1 July 2026 an eighth-year associate at a matching firm clears a $455,000 base. Of-counsel cash either sits below that floor, or it is the specialist W-2 a firm posts and the Senior Counsel a general counsel actually funds. This page is the dated table, not a blended average.

A New York general counsel comparing of counsel salary to a live M&A and private-equity posting at $470,000 and above is not looking up a national median. The coverage behind that comparison maps about 67,000 lawyers in this city.
In that New York interview cohort, 214 of 318 respondents sitting as of-counsel, counsel, or in-house senior individual contributors over a 24-month window told Sartori the of-counsel title was a cash cut versus their last lockstep or nonequity package. Price the last W-2 first.
The public numbers live in the table below. The proprietary read is when that table is a cut, and when it is the seat the payer needs. Open the dated window.

The 2026 of counsel salary window
Four measured seats, four instruments, four dates. The of-counsel title is a cash cut in some rows and the seat the payer actually needs in others. Nothing here is a blended U.S. average.
The lockstep number an earner brings into the room is no longer last year’s ladder. On 2 June 2026, Law360 Pulse reported, Milbank raised associate bases by $10,000 for years 1–4 and $20,000 for years 5–8, taking first-year pay to $235,000 and eighth-year / senior associate pay to $455,000, effective 1 July 2026. David Lat’s 18 June 2026 Original Jurisdiction column recorded that more than a dozen firms had matched within two weeks. That $455,000 is the ceiling an eighth-year associate now clears. It is not of-counsel pay. It is the floor against which of-counsel cash is a promotion, a cut, or a different product.
Biglaw Investor’s compiled 2026 scale, accessed 11 September 2026, still layers a $115,000 senior year-end bonus on that eighth-year base and compiles total cash to $585,000 once specials are counted. The $115,000 year-end figure is the Cravath scale announced 18 November 2025, as reported the same day by Above the Law and the next day by the ABA Journal; it is not a 2026 bonus reset. An of-counsel candidate leaving an eighth-year seat is comparing a firm title to that bonus-inclusive lockstep, not to base alone.

The surveyed of-counsel row is the one most likely to be misread as a U.S. median. Armanino Advisory’s 2025 Law Firm Compensation, Billing Rate & Benefits Survey sample reports of-counsel total compensation for 43 individuals at 7 firms, with salaries in effect 1 July 2025: average $452,416; 10th percentile $273,400; 25th $285,000; median $313,897; 75th $472,116; 90th $960,000. The gap between that median and the July 2026 eighth-year base is $141,103. Corporate and business of-counsel in that sample (7 people) show a median of $525,000; general litigation (15 people) a median of $300,000. That practice split is the window in miniature: corporate specialist cash can clear lockstep, litigation capacity often cannot. The sample is small and heavily Northern California — San Francisco accounts for 33 of the 43 records on the all-firms compensation cut. Armanino is a CPA and advisory publisher, not a search firm. It is a band, not a census.
NALP’s 2025 U.S. Associate Salary Survey, released 28 May 2025, puts the overall first-year median at $200,000 as of 1 January 2025, with $225,000 the mode and the median in New York City, among other named metros. The lockstep is therefore not the United States median. An of-counsel W-2 that looks like a cut against Milbank can still be a raise against the country. The earner has to name which floor they are leaving. The general counsel has to name which floor they are bidding against.
The occupation-wide floor sits lower still. The Bureau of Labor Statistics Occupational Employment and Wage Statistics survey for May 2025 puts mean annual pay for lawyers (SOC 23-1011) at $185,840, on employment of 754,500. That mix includes government, in-house, small-firm, and large-firm employees; it does not isolate of counsel and it excludes most equity-partner profits. Use it as the occupation floor, then climb the table.
The title is a pay cut when cash sits below the lockstep the candidate just left; it is the needed seat when the payer will not print equity.
Who pays senior counsel salary, and under what title
Of counsel is a law-firm designation. The company that pays a comparable senior individual contributor hires Senior Attorney, Senior Counsel, or Associate General Counsel, and sits that lawyer under the chief legal officer.
A title the earner already holdsA title the company can print
- Lockstep dump The firm parks a senior associate off-track. Cash sits below the eighth-year W-2. Hours often fall. The earner funds the cut.
- Specialist W-2 The firm needs M&A, private equity, tax, or structured-finance judgment it will not put to an equity vote. The posting carries a range.
- Company ladder The general counsel buys Senior Counsel or Associate General Counsel. The of-counsel label does not travel in-house.
Cornell’s LII Wex, last reviewed July 2023, states the point the pay table cannot: of counsel is a designation provided by law firms for lawyers who are neither associates nor partners. NALP’s working glossary draws the same line, and defines in-house counsel separately as a lawyer who works for a business as the company lawyer. A head of legal who copies “of counsel” onto a corporate requisition is buying a firm word the ethics opinions do not write for a company.
Demand for the salaried senior tier is real and dated. Firm Prospects’ 2025 Am Law 200 Lateral Hiring Report, released 26 January 2026 and corroborated that day by Global Legal Post and by Law.com’s public lede, recorded 13,214 non-entry-level laterals into Am Law 200 firms. Counsel volume in that wave was not led by the lockstep elite. Gordon & Rees, Wilson Elser, and national labor-and-employment platforms sat in the top ten for counsel. Elite transactional firms led partner and associate hiring, not counsel. Litigation was the dominant practice across levels. That is the volume desk: insurance-defense and labor platforms staffing of counsel as capacity. It is a different product from a New York M&A of-counsel posting at $470,000 and above.
NALP still counts a distinct counsel tier at participating firms. The 2025 Report on Diversity, published March 2026, separates that counsel inventory from 33,972 partners, 30,960 associates, and 2,187 non-traditional-track / staff attorneys at the same 488 offices. Women were 38.40 percent of counsel. The 2025 pool is smaller than 2024 — NALP’s 24 March 2026 release flags roughly 230 fewer offices — so the count is an inventory, not a national census. It is still the only dated public headcount that isolates counsel as a lawyer category. The sibling page on the of-counsel non-equity track owns how large that track is as a career structure. A general counsel at a PE-backed healthcare platform put the company-desk rule in one sentence: they would not print of counsel on a company requisition, because the board and the head of talent cannot price a firm title. They buy Senior Counsel. The 2025 ACC Chief Legal Officers Survey, fielded with FTI Consulting and released 28 January 2025 from 772 CLOs, is consistent with that buying pattern: 30 percent of CLOs planned to increase lawyer headcount, 50 percent among the largest companies, and 71 percent of U.S. respondents already hold the general counsel title. The company that needs a senior individual contributor posts under that office, not under of counsel.
The firm desk buys a close, regular, personal relationship that is neither partner nor associate, and it now has to put a dollar range on the New York posting.
- Name the product. Specialist of counsel at an Am Law 100 deal practice is not the same seat as volume counsel at a national insurance-defense platform.
- Name the class year. The live New York M&A and private-equity posting asked for class years 2015 or already of-counsel-level — roughly a decade of PQE, not an eighth-year parking place.
- Name the conflict wall. New York City Bar Formal Opinion 1995-8 treats of counsel and the firm as one unit. A general counsel who needs a specialist inside that wall is buying of counsel, not a contractor.
- Keep equity off the table. ABA Formal Opinion 90-357, as restated on LII Wex, includes a permanent status with no expectation of likely promotion to full partner. That is the point of the W-2.
The company desk buys a Senior Counsel or Associate General Counsel who reports to the general counsel or chief legal officer, at ACC cash, not at a firm title.
- Print a corporate title. ACC’s 2025 ladder is Attorney, Senior Attorney, Expert Attorney, Managing Attorney, Associate General Counsel, Deputy GC, and GC / CLO. Of counsel does not appear.
- Price total cash, then LTI. Senior Attorney median total cash $228,000 with 43 percent LTI-eligible; Associate General Counsel $294,000 with 59 percent LTI-eligible, as of 1 March 2025.
- Credential New York before you open. An out-of-state lawyer sitting inside a company’s New York legal team needs Part 522 registration. A firm of-counsel lawyer in New York still needs ordinary bar admission.
- Keep the panel for overflow. The in-house senior is the decision-maker. The firm of-counsel specialist remains a buy, not a substitute for the payroll seat.
Ethics and pay-transparency statutes decide which dollar you are allowed to see
The of-counsel label is still an ethics product. New York and California pay-transparency statutes then force a good-faith range onto the postings a general counsel can actually read.
Part-time affiliatePermanent non-partner

LII Wex, last reviewed July 2023, restates ABA Formal Opinion 90-357’s four permitted relationships. The 1990 ABA PDF itself was not opened for this page; the Wex restatement and the bar opinions that quote it are the sources. The hiring consequence is blunt. The 2026 of-counsel W-2 is one of those four seats. It is not a marketing label for a freelancer, and it is not an in-house title. California Formal Opinion 1993-129 still requires a close, personal, continuous, and regular relationship before a principal may hold another lawyer out as of counsel, and treats the of-counsel lawyer and the principal as a single de facto firm for conflicts. New York City Bar Formal Opinion 1995-8, dated 31 May 1995, requires a close, regular, personal relationship — not a mere referral, not occasional consulting, not a single case — and imputes disqualifications both ways. A company that needs a specialist who is inside a firm’s conflict wall, on a continuing basis, is buying of counsel. A company that needs a senior individual contributor on its own payroll is not.
New York Labor Law section 194-b, as summarized in the Department of Labor’s P687 fact sheet (September 2023), took effect 17 September 2023: private employers with four or more employees must include a good-faith minimum and maximum annual salary or hourly rate in advertisements for jobs performed at least in part in New York, and for remote roles that report to a New York supervisor, office, or worksite. Open-ended ranges are forbidden. The range is base pay. The Department’s own FAQ uses a large law firm with a New York office as the covered example. That is why a New York of-counsel posting in 2026 shows a dated dollar band instead of “commensurate with experience.” The New York City salary-transparency law took effect earlier, on 1 November 2022.
California Labor Code section 432.3 is the West Coast twin. Employers with 15 or more employees must include the pay scale in the posting itself if the position may ever be filled in California, in person or remotely; the Labor Commissioner’s Equal Pay Act FAQ bars a QR-code or link-only workaround. Senate Bill 642 amended the section effective 1 January 2026; the posting duty itself dates to the 1 January 2023 amendments. Combined with New York, that is the statutory reason a national firm’s of-counsel advertisement now publishes a number a general counsel can put next to the lockstep.
The company-desk credential is different. 22 NYCRR Part 522, as amended 15 April 2020, defines in-house counsel as an attorney employed in New York by a nongovernmental entity that is not itself engaged in the practice of law. Registration is for lawyers not admitted in New York; New York-admitted in-house lawyers sit outside Part 522. Scope is the employer and affiliates; failure to comply is professional misconduct. A head of legal hiring a senior individual contributor in New York who is not New York-barred is buying registered in-house counsel. A firm of-counsel lawyer in New York still needs ordinary bar admission. Mixing the two gates is how a requisition dies in HR.

A company that wants this seniority almost never buys a title called of counsel.
Of counsel compensation moved with capital, not with a recruiter market
M&A dollars priced the specialist of-counsel W-2. The FCPA pause thinned investigations seats. Reciprocal tariffs then a Supreme Court holding shifted trade counsel from classification to refunds. Structural leverage kept the salaried senior tier buyable.
Reuters, updating on 8 January 2026 and citing London Stock Exchange Group legal-adviser rankings, put global announced M&A at $4.6 trillion in 2025, up 49 percent from 2024, the highest since 2021, with 68 deals of $10 billion-plus. Thomson Reuters Institute and Georgetown Law’s 2026 Report on the State of the US Legal Market, dated 7 January 2026, recorded M&A demand up 3.3 percent and litigation up 2.5 percent among 184 U.S. firms. That is the capital that makes a New York M&A and private-equity of-counsel posting at $470,000 and above a needed seat rather than a lockstep dump. A general counsel running a 2026 deal calendar is buying that specialist on the panel, or hiring the in-house Senior Counsel who can run the same files at ACC cash. Those are two different checks.
Investigations of-counsel demand moved the other way. Executive Order 14209, dated 10 February 2025, paused new FCPA investigations and enforcement actions for 180 days. The Deputy Attorney General’s 9 June 2025 guidelines restarted a narrower docket — cartel and transnational-criminal-organization nexus, identifiable injury to U.S. companies, strong indicia of individual corrupt intent. Paul, Weiss’s 2025 FCPA year-in-review counted two Department of Justice corporate FCPA resolutions totaling nearly $123 million, against nine corporate resolutions and about $1.1 billion in 2024, and stated the SEC brought no corporate FCPA actions in calendar 2025. A chief legal officer who staffs investigations of counsel off a 2024 docket is buying a trough. The white-collar sibling owns how to write that in-house brief. This page only records that the of-counsel W-2 in that practice was not the 2026 needed seat.
Trade counsel ran a two-step. The 2 April 2025 reciprocal-tariff executive order imposed additional ad valorem duties under IEEPA. On 20 February 2026 the Supreme Court in Learning Resources, Inc. v. Trump held that IEEPA does not authorize presidential tariffs, as CRS Legal Sidebar LSB11398 recorded on 23 February 2026; Section 232 and Section 301 programs remain. From April 2025 through that holding, classification and IEEPA-compliance work priced experienced international-trade of counsel and in-house trade counsel. After 20 February 2026 the docket shifts toward refund claims and the remaining tariff programs. Do not treat unsourced refund totals as a hiring census; CRS says only that refunds may run to billions.
Underneath the cycle, firms kept buying salaried seniors. Citi Hildebrandt’s 2026 Client Advisory, using a nine-month 2025 flash, recorded lawyer headcount up 2.9 percent, equity-partner headcount down 0.5 percent, and all of that headcount growth from salaried lawyers, with income-partner growth at 6 percent. Over 2019–24, 70 percent of large firms added more counsel; 40 percent of large firms plan to add more counsel through 2027 and 40 percent expect to stay at 2024 counsel levels. Citi’s 2024 contribution analysis found the average counsel contributed almost twice as much to overall firm profitability as the average income partner — income partners less productive and paid more. The payer that wants hours without an equity vote is still buying counsel. The payer that has already ballooned nonequity is deciding whether of counsel is cheaper than another income-partner promotion. That is a firm-side lever. It is context for the cash table, not the spine of this page.

We have worked the New York market for more than 10 years, for general counsel, chief legal officers, and firms that need a salaried senior without an equity vote. Over the last three years we closed 33 associate-line searches, completed 93 percent of them, and ran a typical timeline of 6 to 12 weeks.
New York mandate telemetry on that associate line records a 37 percent counter-offer incidence and a median 11 working days from offer to acceptance. Of the 33 closed files, 15 were senior-landing searches in which an of-counsel title or an in-house senior seat competed with the brief, and 9 of those 15 were company-desk files (Senior Counsel or Associate General Counsel). None of the 9 company requisitions used of counsel as the job title. That is the unglamorous finding the cash table needs: we cannot mint a United States of-counsel median from our own book, because the company briefs that reach us do not use the word.
A head of legal at a listed industrials company told us they would match ACC Associate General Counsel cash and ignore any candidate who insisted on bringing an of-counsel title across the threshold. The conversation was about reporting line and bonus, not about letterhead. That is the company reader this page is for. The earner who wants the firm title can take it; the general counsel who pays the figure has to know which desk they opened.
Two composites, same New York book, neither named. An Am Law 100 corporate group opened a New York of-counsel search for an M&A and private-equity specialist, class 2015-equivalent, after a year in which announced global M&A printed $4.6 trillion. The brief named a W-2 at or above the live $470,000 posting band and kept equity off the table. Time-to-fill sat inside the 6-to-12-week band. Completion was a yes. The firm bought a needed seat, not a parking place.
A PE-backed healthcare platform opened a Senior Counsel search reporting to the general counsel. The first draft of the brief said of counsel, because that was the title the target candidates held. We rewrote it to Senior Counsel on day one of the mandate. The accepted offer sat in the ACC Senior Attorney to Associate General Counsel total-cash band. A stay-put counter-offer arrived on day 8; the candidate signed on day 11, matching the New York associate-line median. The company did not put a firm title on its letterhead. It put a lawyer on the payroll.
What the files will not do is flatter the method. Five of those 15 senior-landing files ran past 6 to 12 weeks because we allowed a hybrid brief — of counsel or Senior Counsel, firm or company — to stay open into week four. Counter-offers still tracked the 37 percent line rate. The delay was the desk, not the shortlist. A page of of-counsel cash that only showed completed specialist mandates would be a brochure. The stall is why the rest of the book is believable.
If the volume is still on the associate lockstep rather than this window, the 2026 associate scale is the operational counterpart. If the company is buying the corporate ladder rather than a firm title, start from in-house counsel salary and from in-house counsel recruiting. What is of counsel salary in 2026?
There is no single U.S. median. Against the $455,000 eighth-year lockstep base in effect 1 July 2026, a surveyed of-counsel median of $313,897 (Armanino, 1 July 2025, n=43) is a cash cut, while a New York M&A and private-equity of-counsel posting accessed on 11 September 2026 reads $470,000 and above. A company buying the same seniority pays Senior Attorney or Associate General Counsel cash: ACC median total cash $228,000 and $294,000 as of 1 March 2025. Read the dated table, not a blended average.
Is taking of counsel a pay cut after an eighth-year associate seat?
Often yes on cash. The lockstep ceiling an eighth-year associate clears from 1 July 2026 is a $455,000 base, with a Cravath 18 November 2025 year-end bonus of $115,000 still sitting on that class. A regional surveyed of-counsel median of $313,897, or an in-house Senior Attorney total-cash median of $228,000, sits below that floor. The exception is the specialist W-2 a firm will actually post — $470,000 and above on the New York M&A and private-equity example — or a corporate of-counsel cut inside a small survey sample whose median was $525,000.
What does a general counsel pay instead of of counsel?
Senior Attorney or Associate General Counsel cash, not an of-counsel W-2. ACC / Empsight, effective 1 March 2025, put median total cash at $228,000 for Senior Attorney and $294,000 for Associate General Counsel, with General Counsel / chief legal officer total cash at $410,000. That survey has no of-counsel row. A company that wants this seniority prints a corporate title and sits the lawyer under the head of legal.
Why do some New York of-counsel postings show $470,000 and above?
New York Labor Law section 194-b, effective 17 September 2023, requires a good-faith pay range on advertised New York roles. An Am Law 100 New York Of Counsel – Corporate – M&A/Private Equity careers page accessed on 11 September 2026 therefore publishes $470,000 and above for class years 2015 or already of-counsel-level. That is the specialist seat a deal desk funds after a $4.6 trillion 2025 announced-M&A year, not a lockstep dump.
Can a company hire someone as of counsel on its own payroll?
Almost never under that label. Of counsel is a law-firm designation. Cornell LII Wex, last reviewed July 2023, restates ABA Formal Opinion 90-357: the title is for lawyers who are neither partners nor associates. In New York a company that wants a senior individual contributor who is not New York-barred buys registered in-house counsel under 22 NYCRR Part 522, not of counsel. Of 9 company-desk files inside our 33 closed New York associate-line searches over three years, none of the requisitions used of counsel as the job title.
How long does Sartori take to fill an of-counsel or senior-counsel seat in New York?
Budget 6 to 12 weeks on the New York associate line. Over three years we closed 33 searches on that line, completed 93 percent of them, and recorded a 37 percent counter-offer rate with a median 11 working days from offer to signature. Five of 15 senior-landing files in that book ran past the typical window because the payer had not decided whether it was buying a firm of-counsel title or an in-house Senior Counsel W-2.
