Private Equity Attorney Salary 2026: Law Firm vs In-House
Two readers, one 2026 question: what a US private-equity attorney earns, and when a general counsel should hire that seat instead of refreshing an Am Law PE panel.
The 2026 bid is a table, not a vibe.
Companies pricing a private equity lawyer salary in 2026 are weighing a printed PE-platform ladder against an in-house cash package. Sartori maps roughly 67,000 lawyers in New York. The work those lawyers do is national. The dated table on this page is the bid a general counsel actually writes.
NALP’s 2025 U.S. Associate Salary Survey, as of 1 January 2025 across 437 responding offices, put the overall first-year median at $200,000 and the modal figure at $225,000. The matching-firm floor that took effect 1 July 2026 is $235,000. The gap the in-house bid must clear just moved.
Firm cash, in-house cash, and the hours behind both. The table is below.
| Seat | 2026 cash | What it is | Who pays | Source |

The fifth-year PE-platform paycheck already clears the national AGC median. A general counsel who refreshes a Kirkland, Latham or Simpson panel at 2025 Am Law 100 standard rates is buying hours that now print in four figures; the in-house column is what those hours cost once they sit on payroll. Full class-year mechanics live on our 2026 BigLaw associate salary scale; this table is the PE bid, not a reprint of that ladder.

Where a private equity lawyer salary actually sits
One machine is a lockstep W-2. The other is a title, a revenue band, and an LTI target. A general counsel who conflates them writes a spec no candidate can sign.
The Association of Corporate Counsel and Empsight published the 2025 Law Department Compensation Survey on 16 September 2025, from 1,632 self-reported US in-house respondents, data effective 1 March 2025. Short-term incentive eligibility runs from 83 percent at Attorney to 96 percent at GC/CLO; the GC/CLO median STI target is 35 percent of base, with median STI cash of $91,000. Long-term incentive eligibility at GC/CLO is 63 percent, with a median LTI target of $134,000 and median total-target direct compensation of $503,000. The 90th percentile of that total-target package is $1.46 million. Those instruments, not a printed lockstep, are what a chief legal officer is actually paid.
The same ACC survey splits the GC title by scope, which is the portco versus sponsor distinction a head of legal actually writes. A single-lawyer general counsel sits at a $234,000 median base and $255,000 median total cash. A division or subsidiary general counsel sits at $279,000 / $341,000. Attorney median base is $148,000; Senior Attorney $201,000; AGC base $245,000; Deputy GC $280,000 / $368,000 total cash; GC/CLO median base $330,000. AGC median base is 36 percent higher and total compensation 75 percent higher at $5 billion-plus organizations than at companies under $1 billion; Attorneys at those large companies see a 27 percent median-base premium and a 35 percent total-compensation premium. Long-term incentive eligibility sits above 50 percent at $5 billion-plus organizations and around 30 percent at smaller ones. Securities, antitrust and bankruptcy or creditor specialties, the survey notes, tend to pay higher than IT, corporate contracts and entertainment — the PE/M&A and HSR hours this seat actually holds.
NALP’s 28 May 2025 press release on the 2025 U.S. Associate Salary Survey also recorded a $215,000 first-year median at firms of 701-plus lawyers, and 87 percent of the 437 responding offices came from firms of more than 250 lawyers. New York City, Austin, Boston, Houston, San Francisco and the Washington, DC area already had a $225,000 first-year median as of 1 January 2025. The 1 July 2026 matching floor did not invent a New York premium; it raised a floor those offices were already sitting on.
Norton Rose Fulbright matched the $235,000 to $455,000 band effective 1 July 2026, Above the Law reported the same day, for associates billing 1,900 hours. That is one large-firm matcher’s published 2026 bases, not a PE-only shop. Not every PE-adjacent platform printed the new floor; price the shop on the invoice.
The Bureau of Labor Statistics Occupational Employment and Wage Statistics for May 2025, released 15 May 2026, put the mean annual wage for US lawyers (SOC 23-1011) at $185,840 on employment of 754,500. The ACC Attorney median total cash of $160,000 sits below that occupational mean because OEWS mixes every covered employer; matching PE-platform associates sit far above it. Neither series is PE-specialty pay. The all-practice in-house map, for seats this page does not price, is our 2026 in-house counsel salary guide.
Who pays that seat is not one employer.
A US private-equity attorney is paid by a law firm, a sponsor, or a portfolio company. The general counsel who pays the figure is usually sitting in the second or third of those, staring at the first.
The panel that billsThe payroll that replaces it
- Am Law PE platform Private Equity, Investment Funds, Private Equity Finance. The sponsor and sometimes the portco pay as clients. The lawyer is on the firm’s lockstep.
- Sponsor Legal & Compliance Chief legal officer, GC Americas, managing director in Legal & Compliance. The adviser pays W-2 cash; listed shops add equity and performance-fee vehicles.
- Portfolio-company GC First or scale-up general counsel reporting to the CEO and the financial sponsor. The cheaper 2026 bid against a panel refresh lives here.
Kirkland & Ellis’s private-equity practice page, accessed 11 September 2026, states it serves more than 800 private-equity clients and holds PEI Awards 2025 Law Firm of the Year in the Americas for Transactions. Its Investment Funds page claims more than 620 dedicated funds attorneys, more than 70 dedicated secondaries attorneys, and, since January 2022, more than 1,100 unique sponsors on over 1,300 funds with capital commitments in excess of $1.73 trillion. Latham & Watkins’s private-equity page claims annually steering more than 500 deals representing more than half a trillion US dollars. Weil states approximately 300 lawyers dedicated exclusively to private equity and more than 300 private-equity clients worldwide, including eight of the ten largest global private-equity funds as ranked by PEI 300 2026. Simpson Thacher records Law360 Private Equity Practice Group of the Year from 2011 through 2025. These are the panels a head of legal is still buying — and the lockstep employers a PE associate is still paid by.
Debevoise & Plimpton’s private-equity page, accessed 11 September 2026, cites Chambers Global 2025 as a leading firm for global-wide PE and a proprietary fund-terms database built from decades of sponsor-side and buy-side fund formation; the Debevoise & Plimpton Private Equity Report has circulated to more than 24,000 private-equity professionals since 2000. Davis Polk’s private-equity page describes work across the entire life cycle for private-equity firms, large sponsors affiliated with financial institutions, sovereign wealth funds, leading LP, secondary and growth-equity investors, and venture capital firms. Simpson Thacher’s lifecycle page lists clients as financial sponsors, their funds and their portfolio companies, management, investors, lenders, underwriters and boards, including middle-market funds, independent boutiques and university or foundation LPs. The buyer on the invoice is not always the name on the fund.
Above the Law, reprinting the 2026 Am Law 100 on 15 April 2026, put Kirkland profits per equity partner at $11.121 million, Latham at $8.654 million and Simpson Thacher at $8.569 million. Am Law 100 PEP rose 14 percent in 2025. That is firmwide PEP, not a PE-partner draw. The gross-revenue bars below are the economic height of the panel a general counsel is deciding whether to refresh.
| Buyer | Labels that hire | Who writes the check |
|---|---|---|
| Am Law PE platform | Private Equity; Investment Funds / Fund Formation; Liquidity Solutions; Private Equity Finance; adjacent HSR, tax, executive compensation | Sponsor (and sometimes the portco) as outside counsel |
| SEC-registered PE sponsor | Chief Legal Officer; GC Americas; Managing Director, Legal & Compliance; funds-product counsel | The adviser / management company; NEOs may sit in carry vehicles |
| PE-backed portfolio company | General Counsel / CLO; in-house M&A counsel; Director-level compliance reporting to the GC | The portco payroll, with the sponsor in the reporting line |
Sponsor careers hubs make the split visible. Blackstone, Apollo, KKR and Bain Capital all recruit Legal & Compliance onto the adviser; Bain Capital’s careers page separates open roles at the firm from open roles at portfolio companies. A PE-backed multi-site collision platform (100-plus US locations) posted a General Counsel / Chief Legal Officer seat on its own careers page requiring a JD from an accredited law school, an active US license in good standing, and 5 to 10 years of corporate and transactional law, including prior M&A at a leading corporate law firm or an acquisitive PE-backed organization. The posting charges that lawyer with building the legal function for an acquisitive growth strategy and with managing external counsel so as to control legal spend. That is the cheaper-bid spec, written by the employer.
New York remains the default bar for PE-platform work. The New York State Board of Law Examiners still routes most applicants through an ABA-JD under Court of Appeals Part 520, with NYLC, NYLE, MPRE and UBE as the admission sequence. In-house PE and portco general counsel still need an active US license in good standing; New York in-house registration is a separate status for lawyers admitted elsewhere, not a substitute for the Am Law PE associate who must be admitted in the office jurisdiction. The New York City Bar Association’s Committee on Private Investment Funds, in a 25 April 2022 comment letter, describes its membership as lawyers from firms and as counsel and compliance professionals to advisers — the professional home of both sides of this table. Association membership is approximately 24,000.
Law.com / The American Lawyer, 4 September 2026, reported Simpson Thacher expanding a partner lift from Weil to at least six, with PE-platform partner laterals among Davis Polk, Ropes & Gray, Kirkland and Dechert in the same week’s related rails. That is partner-level demand among the firms in the revenue bars, not in-house cash. It tells a chief legal officer the panel is still bidding for PE origination. It is not this page’s pay table.
Matching the seat in-house is the cheaper 2026 bid versus a panel refresh.
A general counsel facing four-figure Am Law 100 standard rates can now price an in-house PE and M&A lawyer against a known W-2. The hours that buy the seat are fewer than most boards assume.
Thomson Reuters Institute and Georgetown Law’s 2026 Report on the State of the US Legal Market, published January 2026, recorded average Am Law 100 lawyer standard rates cracking the $1,000 barrier in 2025, with everyone else averaging around $600. The same report found general counsel shifting work to firms charging, in many cases, 40 percent less; talent costs up 8.2 percent versus 2024; and average firm profit up 13.0 percent. It also stated that the largest Am Law firms, supercharged by explosive growth in private-equity work, are concentrating on PE-driven transactions that command astronomical fees. Reuters restated the profit, demand and compensation-cost figures on 7 January 2026.
Matching the seat in-house is the cheaper 2026 bid versus a panel refresh once displaced panel hours, at that four-figure standard rate, exceed the in-house cash package. An ACC AGC median total cash of $294,000 equals 294 hours of $1,000-rate work. An ACC Attorney median total cash of $160,000 equals 160 hours. A GC/CLO median total cash of $410,000 equals 410 hours. A large-company CLO total-target package exceeding $1 million equals more than 1,000 hours. None of those is a billed-hour census. They are the hours a head of legal has to stop sending out before the in-house seat has paid for itself.
Attorney median total cash as hours

ACC 2025 survey; Thomson Reuters Institute, January 2026 ↗That arithmetic does not retire the panel. Megadeal antitrust, fund formation, GP-led secondaries and a controller take-private still belong at a Kirkland, Latham, Simpson, Weil, Debevoise or Davis Polk desk. What it does retire, for a PE-backed platform running add-ons, is the habit of sending every purchase agreement, every entity record and every HSR first-cut to a four-figure hourly. Thomson Reuters Institute also recorded technology spending up nearly 10 percent in 2025 and a structural conflict between that investment and hourly billing; Reuters, 7 January 2026, restated the point that general counsel may stop needing outside firms for entire categories of work if they combine Big Law alumni with those tools. Routine PE-adjacent work — NDAs, add-on diligence checklists, entity hygiene after the BOI wind-down — is the category. The 5-to-10-year PE/M&A lawyer on ACC AGC cash is the person who owns it.
Across 216 in-house respondents sitting in sponsor Legal & Compliance or PE-backed portfolio legal seats, inside Sartori’s New York interview cohort, over a 24-month window, 58 percent named panel-rate inflation — not a shortage of PE associates — as the reason their board opened an in-house PE/M&A seat rather than a panel refresh. A chief legal officer at a PE-backed multi-site services platform told us the panel’s blended rate had crossed what the board would approve for add-on volume, and that the first in-house M&A lawyer was priced as a substitute for that volume, not as a trophy hire. That is the buyer’s question this page is for.
Matching the seat in-house is the cheaper 2026 bid versus a panel refresh.
2026 subtracts paperwork and reallocates the hours that remain.
A capital-cycle rebound is colliding with a two-year subtraction of Biden-era private-fund and HSR paperwork. The general counsel who staffs last year’s rulebook will hire the wrong seat.
Rules that did not stickHours that still print
- Vacated funds rulebook Quarterly-statement and preferential-treatment FTEs that the 2023 Private Fund Adviser Rules would have required were never created. Advisers Act registration and Form PF remain.
- HSR form unwind Day-one filing hours fell back toward the pre-February 2025 form. Second Requests on $1 billion-plus PE deals still need senior antitrust.
- Take-privates and retail funds Delaware safe harbors are constitutional. Registered interval funds, BDCs and GP-led secondaries still hire. That is the 2026 desk.
The US Court of Appeals for the Fifth Circuit, in National Association of Private Fund Managers v. SEC, No. 23-60471 (5 June 2024), vacated the Commission’s 2023 Private Fund Adviser Rules in full. The SEC announced the CFR list of vacated sections on 31 October 2024; technical amendments dated 8 November 2024 state the court’s vacatur was effective 5 June 2024. A general counsel at a New York-headquartered alternative-asset manager told us the funds-regulatory build they staffed in late 2023 for that rulebook was wound down after the vacatur, and they were not replacing those FTEs. Adviser-led secondaries deals still need fairness-opinion and LP-process lawyers; that is market practice, not the vacated rule.
The expanded HSR Form went live on 10 February 2025. The Eastern District of Texas vacated it on 12 February 2026 in Chamber of Commerce v. FTC, No. 6:25-cv-9-JDK; the Fifth Circuit denied the FTC’s stay on 19 March 2026, and filers went back to the pre-February 2025 form. Skadden, 26 August 2026, restates that sequence and notes agencies may still request the extra documents in the waiting period. Day-one HSR preparation hours fall. Second-Request teams on megadeals do not. The FTC/DOJ 48th HSR Report for fiscal 2025, released 2 July 2026, recorded 3,851 filings, 31.8 percent of reported transactions valued above $1 billion, 41 Second Requests (about 2.1 percent of 1,944 adjusted transactions) and 18 merger enforcement actions, down from 32 in FY2024. Skadden separately recorded that about 40 percent of FY2025 challenges settled, against about 6 percent in FY2024. PE megadeal antitrust remains a live seat; the volume of Second-Request teams is lower than FY2024.
The 2026 size-of-transaction threshold rose to $133.9 million, effective 17 February 2026, the FTC’s Competition Matters note of 20 January 2026 confirms. A $130 million add-on that would have been reportable before that date is not, if it closes on or after it — a small cut in mid-market portco add-on HSR work. Mega PE take-privates remain reportable. Serial-acquisition antitrust is still a PE-specific docket: the FTC’s 17 January 2025 consent with a PE sponsor in the US anesthesia roll-up, and its 23 April 2026 agreement in principle with the portfolio platform, are the prior-approval and notice regimes a healthcare-roll-up general counsel now staffs.
Delaware Senate Bill 21, signed 25 March 2025, recoded DGCL § 144 safe harbors for controller and going-private transactions. The Delaware Supreme Court, in Rutledge v. Clearway Energy Group LLC, No. 248, 2025 (27 February 2026), upheld the statute. 2026 PE going-private teams can rely on the statute rather than only MFW common law. Senior PE M&A and Delaware counsel still design the committee vote; litigation volume against cleaned controller deals should fall. The constitutional cloud is gone.
The capital cycle underneath those rules is a megadeal rebound, not a broad mid-market hiring boom. PitchBook’s 2025 Annual US PE Breakdown, updated 27 January 2026, counted 150 transactions exceeding $1 billion contributing $567.8 billion, and dry powder at $1.1 trillion, against that year’s US PE deal-value print. The same report’s news write-up counted more than 9,000 US PE deals, US PE exits of $738 billion (up 93 percent year on year), and mega-exits at 78 percent of exit value; the Electronic Arts take-private, cited at $55 billion, is the scale of file that still belongs on the panel. Preqin’s US Buyouts 2026 put 2025 US buyout aggregate deal value at $376 billion, more than 30 percent above full-year 2024, exit value at $263 billion (best since 2021; 5.4 percent above the three-year trailing average), US-focused buyout fundraising at $101 billion after $63 billion in 2024 and $104 billion in 2023, a five-year overhang of companies held five-plus years at $989 billion, and US-buyout-focused continuation-fund capital almost doubled to $24 billion on a 20 percent rise in fund count. KPMG’s Q2’26 Pulse, data as of 30 June 2026, put H1 2026 US PE investment at $545.1 billion on 3,926 deals against 9,350 deals in all of 2025 — value holds, count drops. Junior PE-associate headcount tracks deal count less than megadeal staffing. Portco general counsel sitting in that overhang hire in-house M&A for add-ons and dual-track exits rather than a full panel refresh.
Preqin’s 31 March 2026 press release put North America-focused private-capital fundraising at $861 billion in 2025, from $762 billion in 2024, and regional private-capital AUM at $8.46 trillion by mid-2025, from $8.23 trillion at end-2024. Bain & Company’s Global Private Equity Report 2026 recorded global investments of $904 billion, up 44 percent versus 2024, on deal count down 6 percent to 3,018, with average disclosed deal size at a record $1.2 billion; 13 deals of $10 billion-plus accounted for $274 billion of the 2025 gain, 11 of those in the United States. Global buyout dry powder stood at $1.3 trillion as of the second quarter of 2025 on Preqin’s note in that report, against 32,000 unsold companies worth $3.8 trillion, with distributions as a percentage of NAV below 15 percent for four years. That inventory is why a PE-backed platform still needs an in-house M&A lawyer in 2026 even when the panel is not being refreshed.
SEC Private Fund Statistics for 2025 Q4 put private-equity-fund gross asset value at $9.334 trillion. Kirkland’s 1 February 2024 funds announcement, adding a registered-funds partner team for interval funds, tender-offer funds, BDCs and ETFs aimed at high-net-worth and retail investors, is the 2024 overlay that is still hiring in 2026 as traditional PE fundraising prints its weakest year since 2020 on PitchBook’s series. The FOMC cut the funds target range to 4 to 4-1/4 percent on 17 September 2025 and, in the 29 July 2026 minutes, held 3-1/2 to 3-3/4 percent — cheaper leveraged finance, not a 2021-style associate surge. FinCEN’s beneficial-ownership final rule, published 14 August 2026, permanently exempts US companies and US persons; the 2024 BOI programs PE funds counsel stood up for Delaware holdcos can be wound down. Remaining CTA work is foreign reporting companies, not the core US PE-attorney seat.
Freeze the cash before you open the seat.
Sartori has worked the New York associate market for more than 10 years. Over the trailing three years we closed 33 associate searches at a 93 percent completion rate, on a typical timeline of 6 to 12 weeks. The PE-adjacent files inside that book are where the 2026 bid is won or lost.
Keep sending hours outPut the lawyer on payroll
- Refresh the panel Right for megadeal antitrust, fund formation and a controller take-private. Wrong as a standing answer to add-on volume at four-figure rates.
- Hire an in-house AGC The 5-to-10-year PE/M&A lawyer on ACC AGC cash. Owns add-ons, entity work and the first cut of HSR. The cheaper 2026 bid.
- Hire the first GC A PE-backed platform with no legal function. Reporting line to the CEO and the sponsor. Cash is the ACC GC band, not the listed-sponsor SCT.
Of 33 closed New York associate searches over three years, 14 were PE-platform seats — Private Equity, Investment Funds, or PE-portco in-house conversions — at years 3 to 7. Nine of those 14 closed inside the 6-to-12-week envelope. Five ran past 12 weeks because the hiring general counsel would not freeze a cash number until the outside-counsel budget closed. We cannot fill a seat whose cash is still a residual of the panel. That is the number on this page that does not flatter the method: five of those 14 files waited on a budget decision we do not control. Companies that opened a fifth-year PE-platform spec on ACC Attorney cash were told the seat would not fill; we do not run a search whose cash and whose hours cannot meet.
Counter-offer incidence on the New York associate line is 37 percent; median offer-to-acceptance is 11 working days. PE-platform files run on that same line. A head of talent at a PE-backed healthcare platform who waits until the offer letter to discover the candidate’s firm will match a year-end bonus is buying the 37 percent, not negotiating it. Quarterly surveys running since 2019 are the instrument behind that counter-offer print; mandate telemetry is the instrument behind the 14-file cut. Sartori maps nearly 1.5 million lawyer profiles globally.
The ACC 2025 survey measured a 16 percent median-base premium and an 18 percent total-cash premium for in-house Attorneys with prior law-firm experience, and a 21 percent base / 13 percent total-cash premium at CLO. A PE-backed platform that writes “leading corporate law firm” into the spec is paying for that premium whether it admits it or not. What our own data cannot see, and what no primary publisher prints, is PE-fund carry for non-named-executive fund counsel. The listed-sponsor CLO total in the table is equity-dominant for a reason; mid-level fund counsel is a W-2 conversation until a proxy says otherwise.
Two composites from that PE-adjacent book, described by category only. A PE-backed multi-site services platform hired its first in-house M&A counsel, years 5 to 8, on ACC AGC cash, against a competing year-end conversation at an Am Law PE desk; the file closed in 11 weeks once the board froze a number rather than a “competitive band.” A New York Investment Funds associate search at years 4 to 6, for a PE-platform funds desk adding registered-product hours, closed inside eight weeks on the matching 2026 base; the complication was 1940 Act hours, not cash. A third file, a PE-platform associate seat at years 3 to 5, was withdrawn at week 16 after the sponsor general counsel declined to price the hire against the panel. That withdrawn file is why the five-of-fourteen figure exists.
The service view of the in-house side of this book sits on our in-house counsel recruiting page; the associate line that produced the 33 closed files sits on associate recruiting. Companies building a legal function from nothing, rather than adding a PE/M&A seat to an existing one, should start with the first general counsel guide. PE demand that is not pay — why the practice stays sought — lives on a sibling page and is not this table.
Your exposure is a panel invoice that has already crossed four figures, not a shortage of PE associates. Freeze the cash against the ACC band that matches the seat, then open the search.
- Write two numbers. The in-house cash (title + revenue band) and the hours you will stop sending to the PE panel. If the second number cannot be named, the first will slip.
- Do not hire a CLO on Attorney cash. A 5-to-10-year PE/M&A spec on $160,000 total cash is how PE-adjacent files stall. The AGC median is the bid.
- Keep megadeals on the panel. Fund formation, GP-led secondaries and a controller take-private are not the cheaper in-house bid. Add-on volume is.
- Budget the 37 percent. New York associate-line counter-offers arrive. A matching-firm year-end bonus is the usual instrument, not a competing GC title.
- Decide sponsorship of the rulebook. If you are still staffing vacated Private Fund Adviser Rules or the old expanded HSR Form, you are hiring last year’s hours.
Your 2026 matching-firm W-2 is the high-cash column. The in-house move is a title, an LTI, and a reporting line to a CEO and a sponsor — not a lockstep step-up.
- Price the title, not the word PE. Sponsor Legal & Compliance and a portco GC are different cash tables. The listed-sponsor CLO total is not your offer.
- Carry is not a mid-level fact. If it is not in a proxy, do not spend it. Ask what is W-2, what is STI, and what is a target that has never paid.
- The 11-day window is real. Matching-firm counter-offers arrive fast. An in-house process that cannot produce a number in that window loses you to the bonus cycle.
- 1940 Act hours travel. Registered retail PE products are the 2024 overlay still hiring in 2026. Buyout-only hours are not the whole funds desk.
- Explore on a no-names basis. The PE-platform bench is small and talks. Our in-house counsel candidate page is the confidential route.
Private-equity attorney pay in 2026: questions from both sides of the table
What is a private equity lawyer salary at a US law firm versus in-house in 2026?
A matching PE-platform associate earns a $235,000 to $455,000 2026 base; a US in-house associate general counsel sits at a $294,000 median total cash. Bloomberg Law reported the Milbank/market raise on 2 June 2026, effective 1 July 2026. The Association of Corporate Counsel’s 2025 survey, data effective 1 March 2025, put Attorney / AGC / GC-CLO median total cash at $160,000 / $294,000 / $410,000. A 2026 fifth-year all-in of $490,000 on the Biglaw Investor tracker already exceeds that AGC median. There is no primary PE-specialty wage series; those two published machines are the bid.
When is hiring a PE attorney in-house cheaper than refreshing the panel?
When displaced Am Law 100 hours at the 2025 standard rate that cracked $1,000 exceed the in-house cash package — 294 hours at the AGC median of $294,000. Thomson Reuters Institute’s January 2026 legal-market report recorded that rate print and found general counsel already shifting work to firms charging, in many cases, 40 percent less. A PE-backed platform running a 2026 add-on program is the seat that arithmetic was built for. Megadeal antitrust, fund formation and GP-led secondaries still belong on the panel.
What does a PE-backed portfolio-company general counsel need to have been?
A typical 2026 spec asks for a JD, an active US license, and 5 to 10 years of transactional M&A. One PE-backed multi-site services platform wrote those gates on its own careers page, with the lawyer reporting to the CEO and the financial sponsor and charged with controlling legal spend. New York-centered PE-platform seats still run through Court of Appeals Part 520: an ABA-JD and admission in the office jurisdiction. Prior law-firm experience carried a 16 to 21 percent in-house cash premium in the ACC 2025 survey.
Did the SEC Private Fund Adviser Rules increase funds-counsel hiring in 2026?
No. The Fifth Circuit vacated those rules on 5 June 2024, so the quarterly-statement and preferential-treatment build-out never became standing headcount. The Commission implemented the vacatur in the CFR in October–November 2024. A joint SEC/CFTC Form PF proposal dated 20 April 2026 would, if adopted, lift the filing threshold from $150 million to $1 billion — a mid-market cut, not a mega-sponsor one, and not yet law. Adviser-led secondaries deals still need process lawyers; that is market practice, not the vacated rule.
What cash does a listed PE-sponsor chief legal officer actually take home?
One NYSE-listed PE sponsor disclosed a 2025 chief-legal-officer total of $14,285,087 on a $650,000 base. Apollo Global Management’s 2026 DEF 14A is the source; stock awards and other compensation dominate the 2025 line. That is a named-executive package, not a mid-level fund-counsel salary. The ACC 2025 GC/CLO median total cash is $410,000, with median total-target direct compensation of $503,000 and a 90th percentile of $1.46 million. Equity and performance-fee instruments, not W-2 cash, make the listed-sponsor seat.
How long does Sartori take to fill a New York PE-adjacent associate seat?
The typical timeline is 6 to 12 weeks, with a 93 percent completion rate across 33 closed New York associate searches over three years. Median offer-to-acceptance on that associate line is 11 working days; counter-offer incidence is 37 percent. Of the 14 PE-platform files inside those 33, five ran past 12 weeks because the hiring general counsel would not freeze a cash number until the panel budget closed. Budget the cash before you open the search, not after.
Firm scales, in-house surveys, and the 2026 PE filing stack
Matching-firm bases come from firm announcements and the lockstep trackers that compile them. In-house medians come from the ACC/Empsight survey. Deal, fund and filing counts come from PitchBook, Preqin, the SEC and the FTC. Sartori figures come from the New York research program.

Lockstep figures are all-practice matching-firm bases, not a PE-specialty wage. ACC figures are all-industry self-reported US in-house medians, data effective 1 March 2025. The listed-sponsor CLO total is one named-executive Summary Compensation Table, equity-dominant. Form PF counts registered advisers at or above $150 million private-fund AUM. PitchBook US PE deal value is an estimated series. Preqin US buyout value is a narrower buyout cut than PitchBook all-PE. The April 2026 Form PF threshold change is a proposal.
