What firms and companies pay a 2026 securities lawyer
Two published grids sit under an SEC calendar the issuer already has. Under-price either grid and the 10-K, the S-1 and the bond take-down still file — just without the lawyer you thought you had hired.
Under-price the 2026 seat, and the SEC calendar still runs.
Pick a class year at a lockstep firm or a title inside a general counsel’s office — a 2026 securities attorney salary is one of those two published grids, read against an SEC calendar the company already has. Sartori maps roughly 67,000 lawyers in New York; the capital-markets and disclosure seats sit inside that file, not on a separate securities register.
| Paying grid | Floor | Median / mid rung | Upper published | As of |
|---|---|---|---|---|
| Lockstep associate base | $235,000 | $385,000 | $455,000 | 1 July 2026 (Milbank / matches) |
| ACC in-house Attorney | $148,000 base | $160,000 total cash | $230,000 90th TC | 1 March 2025 |
| ACC GC / Chief Legal Officer | $330,000 base | $410,000 total cash | $764,000 90th TC | 1 March 2025 |
Above the Law reported the Milbank reset on 2 June 2026. The Association of Corporate Counsel and Empsight published the in-house title cash from a 1,632-respondent U.S. survey with data as of 1 March 2025. Those are published grids on different dates, not a blended securities wage.
The Commission’s FY2025 addendum, dated 7 April 2026, records 303 standalone actions — 29 percent below FY2024’s 431, as NYU and Debevoise restated on 22 April 2026. The 10-K still files. Fewer filed cases. Same reporting clock.
The cost of under-pricing is a filing that still happens, staffed by the panel or by nobody. The calendar is broken out below.

The 2026 securities attorney salary is two published grids.
On 2 June 2026, Milbank reset the lockstep associate base. ACC / Empsight, with data as of 1 March 2025, still holds the in-house title ladder. A securities lawyer earns one of those rungs. A general counsel pays one of them.
Above the Law reported on 2 June 2026 that Milbank raised associate bases by $10,000 to $20,000 by class year, effective 1 July 2026, with the new scale starting at $235,000. The running scorecard first published on 5 June 2026 records the matched ceiling at $455,000 for the Class of 2018, and lists subsequent matches at the same $235,000 / $455,000 grid, including McDermott (2 June), Quinn Emanuel (4 June), Seward & Kissel (9 June) — a finance and capital-markets firm — and Sullivan & Cromwell (26 June). Biglaw Investor’s 2026 class-year table, accessed 11 September 2026, fills the rungs in between: $245,000, $270,000, $320,000, $385,000, $410,000, $440,000. That grid is a U.S. associate scale, not a securities-practice premium. The lockstep mechanics that turn one announcement into a national rate sit on our BigLaw associate salary scale for 2026; this page keeps the dollars because they are what a capital-markets associate walks away from.
The last published year-end bonus scale is older than the base raise. Cravath announced year-end plus special bonuses on 18 November 2025; the ABA Journal recap the next day prints year-end figures from $15,000 (Class of 2025) to $115,000 (Class of 2018), with specials stacked on top. The June 2026 base raise did not rewrite that bonus memo. As of 11 September 2026, 2026 year-end bonuses had not been announced. Treat the bonus column below as the 2025 season paid to the then-equivalent class, not as a 2026 promise.
| Class year | Seniority | 2026 base | 2025 year-end bonus |
|---|---|---|---|
| Class of 2026 | 1st year | $235,000 | $15,000 |
| Class of 2025 | 2nd year | $245,000 | $20,000 |
| Class of 2024 | 3rd year | $270,000 | $30,000 |
| Class of 2023 | 4th year | $320,000 | $57,500 |
| Class of 2022 | 5th year | $385,000 | $75,000 |
| Class of 2021 | 6th year | $410,000 | $90,000 |
| Class of 2020 | 7th year | $440,000 | $105,000 |
| Class of 2019+ | 8th year & senior | $455,000 | $115,000 |
The 2025 Cravath memo also stacked special bonuses of $6,000 to $25,000 by class; those dollars are in the ABA Journal transcription of 19 November 2025 and are not added into the table. A tracker “total” column that sums base, year-end and special is a construct, not a firm memo.

O*NET national wage table, BLS 2025 ↗NALP’s first-year median of $200,000 as of 1 January 2025, from the 28 May 2025 release (437 offices), sits $35,000 below the 2026 lockstep first-year base. ACC Attorney median total cash of $160,000 as of 1 March 2025 sits below that NALP first-year median. NALP’s eighth-year median of $330,000, as the ABA Journal reported on 29 May 2025, sits $125,000 below the 2026 lockstep eighth-year base of $455,000. The June 2026 raise is a top-of-market move, not a national wage. There is no 2026 securities-only salary series, only two published grids and a calendar. Six of 19 analyzed cities already had a $225,000 first-year median on 1 January 2025; NALP names them: Austin, Boston, Houston, New York City, San Francisco, and the Washington, DC area. New York is on that list; it is not a separate securities market.
There is no 2026 securities-only salary series, only two published grids and a calendar.
Four desks pay a securities lawyer. Most issuers do not staff a securities department.
The paycheck is paid from four desks, not from one job titled securities. A general counsel who posts that title as a department is usually buying an Exchange Act reporting skill inside the GC office.

- Capital markets Issuer counsel and underwriter counsel on IPOs, follow-ons, IG and high-yield debt, converts, PIPEs. Two firms on every IPO.
- GC office Corporate secretary, disclosure counsel, AGC-corporate. Exchange Act reporting taught to sitting general counsel, not a standalone department.
- Bank legal Investment Banking Legal, Global Markets Legal, Asset Management Legal. Experienced laterals from private practice, not campus 3Ls.
- Agencies SEC Enforcement and Corporation Finance, FINRA Enforcement, NYAG Investor Protection, NASAA members, DOJ market-fraud unit.
Renaissance Capital’s 1Q26 IPO law-firm leaderboard, published 15 April 2026, states that every IPO needs at least two law firms — one for the issuer and one for the underwriters — and counted 35 IPOs and 89 legal engagements in that quarter. The Business Law Prof Blog’s midyear 2026 compilation, dated 31 July 2026, puts Latham and Davis Polk together at about 60 percent of operating-company IPO participation in the first half, issuer or underwriter; SPAC IPO counsel sat at a different boutique pair. Davis Polk’s own 7 July 2026 announcement restates Bloomberg legal-adviser rankings and says the firm advised on more than $107 billion of H1 2026 IPO volume. Cooley’s capital-markets page, accessed 11 September 2026, states that 280-plus public companies use the firm as principal corporate governance and securities counsel — the ongoing retainer after the IPO, not the offering day. Those are landscape facts about who staffs the offering. No public source publishes a headcount of U.S. securities attorneys.
Inside the issuer, the seat is a general counsel skill. ACC’s 2026 Securities Law + Disclosure seminar flyer (February 2026; program 14–16 July 2026, New York) lists the in-house curriculum as public-company reporting under the Securities Exchange Act of 1934, benefits and compensation, insider trading and beneficial-ownership reporting, and the annual-meeting proxy statement. Testimonials on that flyer, cited here by employer type only, come from a chief legal officer and corporate secretary at a Nasdaq-listed biopharmaceutical issuer, a general counsel and secretary at a global commercial real-estate services company, and a deputy general counsel preparing for an IPO at a private industrial manufacturer. The flyer’s premise is that many sitting general counsel and chief legal officers are not career securities lawyers and buy the curriculum to own the SEC calendar.
Bank legal is a different buyer. Goldman Sachs’s Careers in Legal page, accessed 11 September 2026, splits the department into Investment Banking Legal, Global Markets Legal, Asset Management Legal, Finance and Corporate Legal, a Litigation-Regulatory Group, and Transaction Due Diligence, and states that the firm generally does not hire attorneys directly from law school, hiring instead from private practice. The lockstep associate is the feeder, not the 3L class. NALP’s Class of 2025 selected findings, published 5 August 2026, counted 6,588 jobs in firms of 501 or more lawyers (33.2 percent of all law-firm jobs for that class) and only 2,180 business jobs, 6.7 percent of employed graduates, of which 751 required bar admission. The in-house securities seat is not a campus product. The New York State Board of Law Examiners, accessed 11 September 2026, processed 16,574 applications and examined 14,354 candidates in 2024; the UBE continues through February 2028, with the NextGen exam beginning in July 2028. There is no securities-only bar.

Enforcement filed less. The offering and reporting book did not.
The company already has an SEC calendar. Under-pricing the lawyer who owns it is a cost against filings that do not pause when the Commission files fewer cases.
Offering book expandingFiled cases contracting
- Capital formation IPOs, follow-ons, IG bond take-downs, exempt offerings. Chairman Atkins’s 7 July 2026 agenda names public-company revival as official policy.
- Disclosure clock 10-K, 10-Q, 8-K, proxy, Section 16. EDGAR accepted those filings through the lapse. Corp Fin could not accelerate a non-WKSI S-1.
- Filed enforcement Standalone actions down. Cross-border, auditor/SOX, and fraud theories remain. Off-channel and dealer-definition work is the part that shrank.
The company already has an SEC calendar. Under-pricing the seat is a cost against a filing calendar that did not pause. Sidley, on 9 April 2026, restates the Commission’s year-by-year total actions as 697 (FY2021), 761 (FY2022), 784 (FY2023), 583 (FY2024) and 456 (FY2025). King & Spalding, on 16 April 2026, prints the FY2025 standalone mix: securities offerings 88 (29 percent); investment advisers 72 (24 percent); broker-dealer 39 (13 percent); issuer reporting, auditing and accounting 36 (12 percent); insider trading 31 (10 percent); market manipulation 15 (5 percent); FCPA 6 (2 percent). The same memo counts 60 new standalone actions from 1 October 2025 through 31 March 2026, notes that 48 of those 60 charged at least one individual, and times the half-year against a 43-day government shutdown. The addendum of 7 April 2026 also records $14.9 billion of penalties and disgorgement from SEC v. Stanford International Bank Ltd. inside FY2025 ordered monies; excluding that case, ordered penalties and disgorgement are $3 billion. Off-channel communications penalties ordered in early FY2025 were $71 million of a $2.3 billion sweep the current Commission disavows.
SIFMA Research, on 2 September 2026, states year-to-date 2026 equity issuance through August of $355.8 billion, up 128.8 percent year on year, and IPO issuance of $137.6 billion, up 464.1 percent. SIFMA’s 16 July 2026 fixed-income quarterly puts 2Q26 corporate bond issuance at $732.6 billion, up 41.3 percent year on year, against a June 2026 FOMC target of 3.50 to 3.75 percent. FINRA Key Statistics, accessed 11 September 2026, record 1,612 public offerings reviewed under Rule 5110 in calendar 2025, against 1,209 in 2024, and 2,567 Rule 5123 private-placement filings. Those are the books a capital-markets associate and an in-house disclosure lawyer actually staff. They do not move with the filed-case count.
The Government Accountability Office (GAO-26-107813) reports that about 18 percent of SEC employees left in the fiscal year ending 30 September 2025. Division of Enforcement stood at 1,305 at the end of FY2024; FY2025 Enforcement reductions were 109 voluntary departure incentives, 54 deferred resignations and 72 other attrition, an 18 percent rate. The Commission’s 8 April 2026 press release still describes a 1,000-plus team of enforcement investigators, trial attorneys, accountants and other professionals. A smaller agency and a lower filed-case count is not an empty docket for the general counsel who still has to answer Staff.
Under-pricing the seat is a cost against a filing calendar that did not pause.
The lawyer earns a class year or a title. The company pays a calendar.
A general counsel pricing this hire and a securities lawyer reading the same number are looking at different instruments. The tabs keep those instruments apart.
You are paid a class year at a lockstep firm or a title inside a general counsel’s office. There is no third published ladder labeled securities.
- Read the base date. The $235,000 to $455,000 grid is effective 1 July 2026. The last printed year-end bonus memo is 18 November 2025. Do not add a 2026 bonus that has not been announced.
- Name the walk-from. A fifth-year lockstep base is $385,000. ACC Senior Attorney median total cash was $228,000 as of 1 March 2025. The gap is the conversation, not a “lifestyle discount” without a number.
- Bank legal is a lateral product. Goldman Sachs’s own legal careers page says the attorney hire comes from private practice. The 3L lockstep offer is not the bank seat.
- In-house LTI is the hidden column. Equity is why a chief legal officer can sit between fourth-year and fifth-year lockstep on cash and still be ahead on the package. It is also why a mid-level in-house Attorney at $160,000 total cash is not a peer of a first-year at $235,000 base.
You already have an SEC calendar. The hire is a person who can own a 10-K, an S-1 comment letter, or a take-down — not a department named securities.
- Price the class year you want. ACC’s 2025 CLO Survey (772 chief legal officers, January 2025 key findings) found 41 percent of law departments under a cost-cutting mandate and 43 percent planning to send more work to firms, a 17-point jump, with 43 percent of that cohort citing the regulatory landscape. Thirty percent planned to hire more lawyers. Understaffing was the primary departmental barrier; lack of budget was 14 percent. Twenty-three percent of organizations had a regulatory investigation or enforcement action in the prior year.
- Large-company CLO cash is a different product. The same ACC / Empsight 2025 executive summary states that chief legal officers at companies with revenue greater than $5 billion make 44 percent more in base and 173 percent more in total target compensation than CLOs at organizations under $1 billion, with large-company CLO median total target exceeding $1 million.
- The panel is not free. Sixty percent of those CLO-survey departments saw increased litigation expenses. A generalist hire who then re-briefs the capital-markets panel has not reduced spend; it has moved it.
- Firm P&L funds lockstep, not the W-2. Above the Law’s 15 April 2026 recap of the 2026 Am Law 100 (2025 fiscal year) puts Kirkland & Ellis gross revenue at $10.556 billion and Milbank profits per equity partner at $7.620 million. That is the book that pays the associate grid. It is not what an in-house disclosure lawyer earns.
Sartori’s quarterly survey since 2019, read in the 2026 Q2 New York wave, found 31 of 48 general counsel and associate general counsel in that New York cohort would not match fifth-year lockstep cash for an in-house disclosure seat. Those 48 sit inside the same 1,675 structured interviews. The in-house title ladder is the instrument those respondents were defending. The calendar is the instrument they still had to staff.
The opening cash either holds the class year or it does not.
We have worked in the New York market for more than 10 years, for general counsel, chief legal officers and heads of legal who have to put a securities-capable lawyer on the payroll, and for the associates those companies hire away from lockstep desks.
Over the last three years we closed 33 associate-line searches in New York at 93 percent completion, with a 37 percent counter-offer incidence and a median of 11 working days from offer to acceptance, on a typical 6-to-12-week timeline. Of those 33 closed files, 14 were capital-markets or Exchange Act disclosure seats: eight in-house disclosure or AGC-corporate seats, and six firm capital-markets associate seats. Of those 14, six first-choice candidates declined the opening package. Four of the 14 required a mid-search band reset after the first shortlist rejected the posted cash. Two of the 14 closed with a generalist corporate lawyer; those two seats then sent Exchange Act reporting back to the panel. That last figure is the one that does not flatter the method. We filled the chair. We did not fill the calendar.
Of 19 offers issued on those 14 securities-adjacent files over the same 36 months, nine drew a counter-offer from the incumbent firm or company. Across the full 33-file New York associate-line book, 15 of 41 offers drew a counter-offer — the 37 percent city rate. The securities-adjacent slice ran hotter. Sartori maps roughly 67,000 lawyers in New York. That mapping records admission, employer and practice label. It does not record who actually holds the Exchange Act reporting pen, because no public register does. A shortlist built only from a “securities” label will include people who have not touched an offering in years and will miss the deputy general counsel who owns the 10-K.
Across 1,675 structured interviews with New York lawyers, 72 of 112 general counsel, deputy general counsel and heads of legal at public or IPO-bound companies over a 24-month window said they first priced the disclosure seat against last year’s in-house title median rather than against the lockstep class year they were trying to hire. A general counsel at an NYSE-listed industrial issuer in that window told us the board had approved an AGC-corporate band at the ACC Senior Attorney median, then lost the candidate the week Staff comments landed on the S-1. A head of legal at a Nasdaq-listed software issuer said they ran Exchange Act reporting through a seconded firm associate for three quarters because the in-house cash they posted sat below the class year they wanted.
Three anonymized composites from that book, described by category only. An NYSE-listed industrial issuer opened an AGC, corporate and securities seat at the ACC Senior Attorney median base of $201,000 (1 March 2025). The candidate on the table was walking from a fifth-year lockstep base of $385,000. The file ran nine weeks, then was withdrawn when S-1 comments arrived and the band had not moved. A Nasdaq-listed software issuer reset a disclosure-counsel band to the ACC Associate General Counsel median of $245,000 after the first shortlist declined; the offer was signed in 11 working days, and the incumbent firm countered. A bulge-bracket Investment Banking Legal desk hired a sixth-year capital-markets associate walking from a $410,000 lockstep base; that search closed in seven weeks, inside the envelope, because the buyer already knew it was buying a lateral from private practice and had not posted an in-house Attorney median.
The eight in-house disclosure seats in that 14-file slice ran a median 10 weeks from brief to start; the six firm capital-markets seats ran seven. The four band-reset files ran to the 12-week edge of the envelope. None of those clocks is a second time-to-fill. They are slices of the same 33 closed searches, on the same 6-to-12-week desk, in a city Sartori has worked for more than 10 years. If you are the company, the service view of that book is on our in-house counsel recruiting page and on associate recruiting for the lockstep side. If you are the lawyer, start with the US legal salary benchmarks hub rather than a job board.
The cash line does not tell you which 2026 work you are hiring for.
A general counsel who matches a number and misses the file will still have an empty chair on the morning the S-1 has to move.
The posted cashThe file the company already has
- The file Offering, Exchange Act reporting, or fraud defense. Off-channel sweep laterals and dealer-definition work are the 2026 misspecification.
- The venue Nasdaq, NYSE, Nasdaq Texas, NYSE Texas. Delaware remains the IPO domicile for nearly 70 percent of 2025 U.S. IPOs; it is no longer the only conversation.
- The dead rule Climate disclosure rules proposed for rescission, never effective. Do not staff a 10-K that is not in force.
What remains on the enforcement side is not the 2022–24 sweep. The Cross-Border Task Force, announced 5 September 2025 and recapped by Cooley on 18 September 2025, points at foreign-based issuers, gatekeepers, and jurisdictions where governmental control poses investor risk. The Cyber and Emerging Technologies Unit, announced 20 February 2025 and restated by Wilmer Hale on 6 March 2025, is a roughly 30-person fraud-and-retail unit, not a registration-enforcement hiring wave. King & Spalding, on 31 March 2026, describes a new Enforcement SOX Group from job postings: auditor and issuer accounting work reporting to Enforcement’s Chief Accountant. The group’s headcount is not published. SEC v. Jarkesy, decided 27 June 2024, requires an Article III jury when the Commission seeks civil penalties for securities fraud, which moves penalty cases into district court. That is a litigation-desk fact for the company that is already in the dock. It is not a reason to under-price the disclosure lawyer who is trying to stay out of it.
Delaware’s Division of Corporations 2025 annual statistics still put the state at nearly 70 percent of U.S. IPOs, against 81.4 percent in its 2024 report as quoted by the Business Law Prof Blog on 25 June 2026. Foley & Lardner, on 29 May 2026, counted about 49 public Delaware corporations that submitted re-domestication proposals between January 2024 and March 2026; the Delaware Supreme Court upheld SB 21 on 27 February 2026. Foley’s own IPO cut (Delaware about 62 percent, Nevada about 17 percent, Texas about 4 percent in 2025) is a different universe from Delaware’s nearly 70 percent. Listing-venue choice — Nasdaq, NYSE, Nasdaq Texas, NYSE Texas — is now a 2026 capital-markets question for issuer counsel. It does not change the cash grid. It does change the file the general counsel is hiring into.
Cleary Gottlieb, on 9 July 2026, counted 52 potential items on the Spring 2026 Unified Agenda, most designated deregulatory. Public-company items already proposed or dated include EGC and filer-status, registered-offerings and shelf reform, semiannual reporting, the climate rescission, and later e-delivery and FPI eligibility. A general counsel who staffs against last year’s enforcement docket and last year’s in-house median will be late for that agenda and cheap for the lockstep candidate who can actually comment on it. The cash line is the start of that conversation. It is not the brief.
Securities attorney pay in 2026: common questions
What is a typical securities attorney salary at a US law firm versus in-house in 2026?
Lockstep firm base runs $235,000 to $455,000 from 1 July 2026; ACC median in-house Attorney total cash was $160,000 as of 1 March 2025. Above the Law reported the Milbank reset on 2 June 2026; the Association of Corporate Counsel and Empsight published the in-house title medians from a 1,632-respondent U.S. survey. No publisher prints a 2026 securities-only band. A general counsel who pays the in-house figure is not matching fifth-year lockstep cash ($385,000 base); a lawyer earning the lockstep figure is not looking at the ACC Attorney median as a peer.
Does securities work pay a documented premium on top of those grids?
No public 2026 securities-only salary band exists; ACC’s 1,632-respondent 2025 survey only says securities tends to pay higher. The executive summary names securities alongside antitrust and bankruptcy as specialties that “tend to pay higher base salaries and total compensation” and stops there. The survey does not publish a percentage premium. Prior law-firm experience, which the same survey does quantify, lifted Attorney median base 16 percent and total cash 18 percent.
What does the SEC calendar do to the price of the seat?
SEC Enforcement filed 456 actions in FY2025; SEC staff counted 109 U.S. IPOs and $115.7 billion of proceeds in 2026 Q2. The addendum of 7 April 2026 is the filed-case count; the IPO table was last reviewed on 29 July 2026. Under-pricing the disclosure lawyer or the capital-markets associate is a cost against offering and reporting work that did not pause when the filed-case count contracted.
How long does Sartori take to fill a New York securities or capital-markets associate seat?
Sartori’s New York associate-line desk typically closes in 6 to 12 weeks, with a median 11 working days from offer to signature. That is the associate-line envelope for this city: 33 closed searches over three years at 93 percent completion. The four securities-adjacent files that needed a mid-search band reset ran to the 12-week edge; they did not invent a second timeline.
Should a general counsel match lockstep cash for an in-house disclosure lawyer?
On 14 securities-adjacent New York files closed in three years, six first-choice candidates declined the opening cash. Those 14 files sit inside the 33 closed associate-line searches. Four of the 14 required a board-level band reset before an offer would stick. Two of the 14 closed with a generalist corporate lawyer; those two seats then sent Exchange Act reporting back to the panel. Match the class year you are actually hiring, or budget the panel.
Who actually employs a 2026 securities attorney?
Renaissance Capital counted 89 legal engagements on 35 IPOs in 1Q26, because every IPO needs issuer counsel and underwriter counsel. The other three paying desks are the public-company general counsel’s office (disclosure and corporate secretary work), bank legal product groups that hire laterals rather than 3Ls, and the agencies — SEC, FINRA, state securities, and the Justice Department’s market-fraud unit.
Lockstep announcements, ACC title cash, Commission addenda, and SIFMA volumes.
Associate bases come from the 2 June 2026 Milbank announcement and the matching scorecard. In-house title cash comes from ACC / Empsight with data as of 1 March 2025. The calendar comes from the Commission, FINRA, SIFMA and the Government Accountability Office.

Lockstep is a U.S. associate base grid, not a securities-practice premium. ACC / Empsight is a self-reported in-house title survey, all practices mixed; the securities sentence is direction without a dollar. NALP medians are office-reported as of 1 January 2025 and predate the June 2026 raise. BLS / O*NET is the occupation wage for all U.S. lawyers. SEC staff IPO proceeds, SIFMA rank-eligible equity, and FTI licensed-data IPO counts are different universes and are not blended. FY2025 Enforcement totals are Commission-filed actions, not investigations opened. Ordered monetary relief includes the Stanford judgment unless the addendum split is used. Sartori interview, mapping, telemetry, counter-offer and offer-to-acceptance figures are internal research, reviewed by the owner.
Our own numbers — the New York interview cohort, the associate-line mandate telemetry, the counter-offer incidence and the offer-to-acceptance window — come from the continuous research program described on our research page, which sets out the survey waves running since 2019 and the nearly 1.5 million mapped profiles behind every Sartori figure quoted above. Compensation data is general information, not financial, career or legal advice.

Whether you are a general counsel, chief legal officer or head of legal posting a disclosure or capital-markets hire, or a lawyer walking from lockstep into that office, we read the cash against the filing calendar first. Confidential, no obligation.
