Role Overview: We are seeking a corporate associate with at least 2 years of experience to support our dynamic M&A practice. In this role, you will take meaningful ownership of transaction workstreams from inception through closing, coordinating deal teams and liaising with clients.
Key Responsibilities:
- Draft, review, and negotiate core transaction documents (e.g., acquisition agreements, equity documents, and ancillary agreements).
- Manage due diligence processes, flagging and escalating material issues, and translating findings into deal documents and planning.
- Provide post-closing support and drive deal execution while managing aggressive timelines.
- Collaborate with specialists across finance, tax, benefits, real estate, IP, and litigation to keep matters on schedule.
Qualifications:
- JD from an accredited law school with strong academic credentials.
- At least 2 years of M&A experience, preferably within a large or sophisticated law firm environment.
- Demonstrated ability to manage discrete transaction components from early stages through closing.
- Excellent drafting, negotiation, and communication skills, with comfort interacting directly with clients and internal deal teams.
- Admission to the Georgia bar (or eligibility to obtain promptly).
Preferred Attributes:
- Experience advising strategic buyers and sellers in complex, fast-moving transactions.
- Comfort managing multiple matters in a deadline-driven environment, with strong prioritization skills and proactive communication.
- Interest in staying current on market practice and legal developments relevant to M&A.
Compensation is commensurate with class year and experience, with pay ranges aligned to market standards (e.g., $235K–$455K+ depending on seniority).
