Apply in confidence →Mid-level associate role on a national capital markets & corporate team based in Boston. The position offers substantive public company securities work, including U.S. and cross-border offerings, IPOs, high-yield and investment-grade debt transactions, and related corporate governance and disclosure matters.
The team works on a mix of issuer- and underwriter-side matters and supports transactions that may involve SPAC and de-SPAC structures and cross-border elements. The role involves regular client contact, coordination with deal teams and auditors, and interaction with regulators.
- 3–5 years of PQE in capital markets / securities practice
- Experience drafting and negotiating underwriting agreements, purchase agreements, indentures, prospectuses and offering memoranda
- Familiarity advising public companies on SEC reporting and disclosure (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 compliance
- Experience conducting and coordinating diligence for securities offerings and M&A transactions
- Knowledge of corporate governance, board/committee matters, director independence and stock exchange listing standards (NYSE/Nasdaq)
- Experience with SPAC/de-SPAC transactions and PIPEs or working with foreign private issuers is a plus
- Admission to the Massachusetts bar or eligibility for admission; ability to work from the Boston office
- Strong academic record, sound judgment, and proven project-management skills for lean, fast-paced deal teams
