Corporate Associate — M&A and Venture Capital, Silicon Valley

A Silicon Valley office is seeking a corporate associate with two to three years of experience to join a market-leading M&A practice group. The team represents clients ranging from startups and middle-market companies to large public and private companies, venture capital and private equity investors, and investment banks, handling a broad range of transactions across the technology and life sciences sectors.

The role involves substantial client-facing work on venture capital financings and M&A transactions. The associate will draft and negotiate venture financing documents, support M&A and capital markets transactions, manage routine corporate matters, and build ongoing relationships with substantive clients.

This is a collaborative environment that values strong deal-team participation alongside the ability to handle individual responsibilities independently. The position offers direct and frequent interaction with clients and opposing counsel.

• 2–3 years of corporate transactional experience
• Background in venture capital and M&A transactions
• Familiarity with formation and ongoing representation of technology companies
• Experience drafting and negotiating venture financing documents
• Ability to support M&A and capital markets transactions
• Strong academic credentials and exceptional written communication skills
• Comfortable working in deal teams and interfacing directly with clients and opposing counsel
