Corporate + Impact Associate Attorney (Mid-Level)

We are seeking a mid-level corporate associate (3–6 years) to join a highly regarded Social Enterprise + Impact Investing practice. This team brings together business, investment, and philanthropy to build legal and financing structures that unlock solutions at scale for nonprofits, foundations, corporations, and asset managers.

You will craft tailored legal and financing tools on both sides of the table, advising on corporate transactions, incorporation, governance, and structuring, while working on private investment deals including private equity, venture capital, growth equity, financings, and secondary transactions.

You will draft, review, and negotiate investment, financing, governance, and other transaction documents, and advise boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters. The role offers significant responsibility and the opportunity to collaborate across corporate, finance, tax, regulatory, securities, executive compensation, and intellectual property teams.

• 3–6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring.
• Experience with private equity, venture capital, growth equity, financings, secondary transactions, or other private investment deals.
• Strong skills in drafting, reviewing, and negotiating investment, financing, governance, and other transaction documents.
• Ability to advise boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.
• Admitted to the state bar in which you are practicing, or eligible to waive in.
