Emerging Companies Associate – Corporate & M&A (Silicon Valley)

A globally recognized corporate and M&A practice is seeking a junior associate to join its Silicon Valley office, focused on representing emerging growth companies, their founders and the venture capital funds that invest in them.

The role spans the full company lifecycle — formation, early- and late-stage venture financings, shareholders' agreements, corporate restructurings, and buy- and sell-side M&A, divestitures, joint ventures and investments. Work is cross-industry, including software and enterprise, security, digital health, AI, fintech, gaming and blockchain.

You will deal directly with client senior management and other stakeholders, take the lead on due diligence, oversee legal research, and contribute to drafting across all aspects of transactions. Expect a fast-paced, international and multidisciplinary team environment with tight deadlines and multiple parallel workstreams.

• 1–3 years' PQE representing emerging companies and/or venture capital investors
• Solid grounding in corporate matters, including venture financings and M&A
• Admitted to the California bar and in good standing
• Strong academic record and excellent drafting and communication skills
• Commercial awareness and comfort interacting with client senior management
• Strong time management, mental agility and composure under pressure
• Collaborative, proactive and self-motivated team player
