Corporate M&A / Private Equity Associate

A leading law firm is seeking a lateral corporate attorney to join its New York office, working with public and private companies, financial institutions and private equity sponsors on domestic and cross-border M&A and private equity transactions.

The role offers significant responsibility, including leading diligence and document review processes, managing transactions, and coordinating with specialist counsel across workstreams.

• Juris Doctor or LL.M. degree, or foreign equivalent
• Admission to the New York state bar
• At least four (4) years of law firm experience advising on public and private M&A transactions
• Experience representing private equity firms and public/private companies in acquisitions, leveraged buyouts, carve-outs and minority investments, plus related corporate governance matters
• Experience leading due diligence and document review, managing transactions, overseeing junior associates and coordinating specialist counsel
• Experience with transaction structuring, including tax and regulatory analysis
• Drafting and negotiating transactional documents (equity, stock and asset purchase, operating, subscription and shareholders agreements, term sheets and board resolutions)
• Advising on corporate governance and regulatory compliance matters arising from M&A and complex reorganizations
