Mid-Level Corporate Associate — Emerging Companies & Venture Capital (New York)

A leading national law firm is seeking a mid-level corporate associate to join its dynamic venture and emerging companies practice in New York. This role sits within a nationally recognized team with a strong market presence across the venture and growth-stage ecosystem.

The position involves handling a broad range of corporate and transactional matters, including emerging company representation, early- and later-stage venture capital and private equity transactions, mergers and acquisitions, and general corporate work. You will work with sophisticated domestic and international companies, venture and private equity funds, corporate strategic investors, and entrepreneurs.

• 3–6 years of corporate experience at an AmLaw 100 firm
• Juris Doctor (JD) required
• Must be licensed to practice law in the State of New York
• Superior academic record and excellent writing skills
• Strong drafting, negotiation, and analytical abilities
• Experience in venture capital financing (SAFEs, venture debt, NVCA-style raises, secondaries), mergers and acquisitions, capital markets/corporate finance, joint ventures, private equity M&A, and securities law compliance
• Experience with corporate formations and corporate governance matters
• Ability to independently manage significant portions of transactions, including managing deal teams of associates and subject matter experts
• Interest in working closely with founders, executives, and investors and in developing a practice
