A leading technology-focused corporate practice is seeking a senior attorney to join its Technology group in Silicon Valley, with a focus on federal and state securities law compliance.

The role involves advising on securities law exemptions, state Blue Sky requirements, and broker-dealer regulations, as well as supporting securities offerings, private company financings, investment funds, and capital markets transactions.

The successful candidate will work in a collaborative, entrepreneurial environment spanning multiple practice areas and offices.

Significant experience advising on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters
Strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements
Experience preparing and overseeing Form D and state securities filings through the NASAA Electronic Filing Depository (EFD)
Experience supporting securities offerings, private company financings, investment funds, and capital markets transactions
Outstanding academic credentials and comparable law firm experience
Excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly) and deal sheet required
