A leading law firm is seeking a highly qualified senior attorney to join its Technology group, with a focus on Blue Sky laws and securities compliance. The role involves advising clients across a broad range of securities and corporate matters in a collaborative, entrepreneurial environment.

The successful candidate will counsel on federal securities law exemptions and state Blue Sky requirements, broker-dealer regulations, and related compliance issues. The position also supports securities offerings, private company financings, investment funds, capital markets transactions, and other securities matters.

This is an excellent opportunity for an experienced securities attorney to work on sophisticated technology-driven transactions and compliance matters within a collegial team.

Significant experience advising on federal securities law exemptions, state Blue Sky laws, and broker-dealer regulations
Strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements
Experience preparing and overseeing Form D and state securities filings through the NASAA Electronic Filing Depository (EFD)
Background supporting securities offerings, private company financings, investment funds, and capital markets transactions
Outstanding academic credentials and comparable law firm experience
Excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly) and deal sheet required
