Mid-Level Associate – Technology & IP Transactions

A highly regarded law firm is seeking a mid-level associate to join its Intellectual Property Transactions & Strategies group in New York.

The role involves technology and intellectual property licensing, IP support to M&A and other corporate transactions (including due diligence), and drafting and negotiating a range of commercial and technology agreements.

Day-to-day work includes joint development and strategic alliance agreements, technology and IP licenses and services agreements, and distribution arrangements. Experience with open-source licensing and IP issues arising from artificial intelligence is strongly preferred.

• Mid-level associate with solid technology and IP transactions experience.
• Experience in technology and intellectual property licensing.
• Experience providing IP support, including due diligence, in M&A and corporate transactions.
• Experience drafting and negotiating joint development, collaboration, and strategic alliance agreements.
• Experience with technology and IP licenses and services agreements, including software as a service.
• Experience with distribution agreements, including OEM, VAR, and reseller arrangements.
• Open-source software licensing and AI-related IP experience strongly preferred.
• Outstanding academic credentials and comparable law firm experience.
• Excellent written and verbal communication skills.
• Relevant bar admission, or eligibility to obtain admission promptly.
• Deal sheet required.
