Technology IP Transactions Associate — Boston

An Am Law 20 firm is seeking a highly qualified mid-level associate to join its Intellectual Property Transactions & Strategies group in Boston.

The role focuses on technology and intellectual property licensing and other technology transactions, alongside IP support for M&A and other corporate transactions, including IP and technology due diligence.

You will draft and negotiate joint development, collaboration, and other strategic alliance agreements; technology and IP licenses and services agreements (including software-as-a-service agreements); and distribution agreements (including OEM, VAR, and other reseller arrangements).

• Solid experience in technology and intellectual property licensing and technology transactions
• Experience with IP and technology due diligence in M&A and corporate transactions
• Drafting and negotiating joint development, collaboration, strategic alliance, license, services, SaaS, and distribution agreements
• Demonstrated experience with open-source software license terms and IP issues raised by artificial intelligence strongly preferred
• Outstanding academic credentials and comparable law firm experience
• Excellent written and verbal communication skills
• Relevant bar admission (or eligibility to obtain admission promptly) and deal sheet required
