The general counsel of an adviser is a fund lawyer who can sit the exam. Often that person is also the chief compliance officer. We retain for that seat, not for a copied operating-company job description.

Lorenzo Sartori — Founder, Sartori & Partners·— A hedge fund general counsel recruiter shortlists the adviser GC in 24 days
A hedge fund general counsel recruiter, and asset management legal recruiters, hire the general counsel of an SEC- or FCA-regulated adviser, often the chief compliance officer. Of 52 General Counsel and Chief Legal Officer searches since 2017, the shortlist arrives in 24 days and the median accepted offer in 11 weeks, range 8-16; offer acceptance is 96 percent. A NASDAQ-listed medtech in Boston took a shortlist of four on day 24 and an accepted offer in week 11. The Investment Adviser Association counted 16,544 SEC-registered advisers and $176.8 trillion of assets in 2025. No separate asset-management mandate count is published.
01Direct answer
An asset-management GC is the adviser's legal officer, hired against the rulebook the firm actually lives under.
The method is a general counsel search. The scorecard is not. We do not publish a separate count of asset-management mandates.
A hedge fund general counsel recruiter is hiring one person: the lawyer who can form the vehicle, negotiate the side letter, and take the call when the exam team arrives. At many advisers that person is also the chief compliance officer. Asset management legal recruiters who treat the seat as a scaled-down version of a listed industrial GC will miss both the statute and the pool. The parent method — brief, map, slate, offer — is a general counsel search. The scorecard for advisers, hedge funds and family offices is the statute, the vehicle, and whether the seat is also the chief compliance officer.
Sartori & Partners has completed 400+ placements since 2017 (230+ in-house), of which 52 were General Counsel or Chief Legal Officer. Asset-management mandates sit inside that 52. We do not publish a separate count for hedge funds, long-only managers, private credit or family offices, and we do not invent one. The GC clock on those 52 searches is 24 days to shortlist and 11 weeks median to accepted offer, range 8-16, from 2017 through 2026. Offer acceptance on corporate mandates is 96 percent. Twelve-month retention of placed in-house leaders is 97 percent; 24-month retention is 91 percent. The published succession file is a NASDAQ-listed medtech company in Boston: a shortlist of four on day 24, an accepted offer in week 11, and the 12-month retention checkpoint held (the Boston succession). That file is not an asset manager. It is the published illustration of the clock this search uses.
General counsel of an asset manager, hedge fund or family office. Often also the chief compliance officer.
Clock
Shortlist in 24 days; median accepted offer in 11 weeks; range 8-16 weeks (n=52 GC/CLO, 2017-2026). No separate asset-management count is published.
Proof
52 GC/CLO of 400+ placements (230+ in-house); 96 percent offer acceptance; 97 percent still in post at 12 months.
Terms
Retained only. Fee 25-30 percent of total first-year compensation, 30 percent of the fee as retainer, 12-month replacement.
Regulators
SEC Advisers Act and, where the book requires it, CFTC. In the UK, the FCA, including SMF16 Compliance Oversight.
When not
A portfolio-company GC, a bank GC, or a standalone CCO with no legal-officer brief. Those are other searches.
02SEC and FCA
The census is public. The seat is sized to it, not to a large-cap legal department.
Two regulators, two published market sizes. Neither number is a Sartori count.
In the United States the buyer is usually an investment adviser. The Investment Adviser Association and Comply, in the 2026 Investment Adviser Industry Snapshot released 3 June 2026, counted 16,544 SEC-registered advisers in 2025. Regulatory assets under management rose 22.3 percent, from $144.6 trillion to $176.8 trillion. The same snapshot reported that 92.8 percent of advisers employed 100 or fewer people, 67.4 percent managed less than $1 billion, and 87.3 percent managed less than $5 billion. Advisers focused on individual clients averaged 8 employees and $424 million of assets. Hedge-fund assets managed by SEC-registered advisers gained 18.5 percent in 2025. That growth rate is the Snapshot's figure. It is not a dollar level, and it is not the Form PF gross-asset figure below.
Form PF is the narrower private-fund census. The SEC Division of Investment Management's Private Fund Statistics for the third calendar quarter of 2025, compiled from filings received through 13 March 2026, counted 9,940 hedge funds, advised by 1,834 Form PF filers, with aggregate hedge-fund gross asset value of $13.923 trillion. Qualifying hedge funds in that quarter numbered 2,145. Only SEC-registered advisers with at least $150 million in private-fund assets file Form PF, so the 9,940 is not the whole hedge-fund market. It is the reported population a GC search at a Form PF filer is hiring into.
In the United Kingdom the Investment Association's Investment Management Survey 2024-25, published October 2025, reported that assets managed by its members grew 10 percent in 2024 to £10.0 trillion. The Association estimated total UK assets under management, including non-members, at £12.1 trillion, and said its members account for 83 percent of that total. Just over half of member assets, 51 percent, were managed for overseas clients. UK assets represented 36 percent of European assets under management in the same survey. A London counsel seat is an FCA seat: the Senior Managers and Certification Regime designates Compliance Oversight as SMF16. At a smaller authorised firm that function often sits with the general counsel. At a larger one it is a separate controlled function, and hiring the lawyer does not fill it by osmosis.

03Fund formation and side letters
The fund is the product. Formation and the side letter are the GC's daily work, not a launch project.
Formation
A hedge fund or private fund is typically a 3(c)(1) or 3(c)(7) vehicle under the Investment Company Act, offered under the Securities Act, and advised by a firm registered under the Advisers Act or relying on an exemption. The GC owns the limited partnership agreement, the subscription documents, the Form ADV narrative, and the question of whether commodity-interest trading also pulls in the CFTC and the NFA. Counsel who have only documented operating-company acquisitions will not see the difference between a launch and a close.
Side letters
Side letters are how a flagship investor changes fees, liquidity, information rights, co-invest, or most-favored-nation treatment without rewriting the partnership agreement for everyone else. On 5 June 2024 the Fifth Circuit vacated the SEC's 2023 private-fund adviser rules, including the preferential-treatment rule that would have regulated those letters. The SEC states that on its Private Fund Advisers page. The letters did not disappear. The fiduciary duty did not disappear.
A first-time adviser, or a family office that has fallen out of the family-office exclusion, is hiring the person who will build that compliance program, not a commentator on it. The exclusion itself is Rule 202(a)(11)(G)-1: it holds only while the office advises family clients and does not hold itself out as an adviser.
04Combined GC and CCO
Most advisers are small enough that one lawyer wears both titles. The mistake is freezing that structure, or splitting it, on headcount folklore.
The Snapshot's 92.8 percent and 67.4 percent are the reason the combo seat exists. They are not a hiring rule.
A
One officer
Under $1 billion, and often well above it, the GC is the CCO. Rule 206(4)-7 requires the designation. The person drafts the code of ethics, answers the exam letter, and still negotiates the side letter. A search that asks for a policy author who has never sat across an examiner will fill the title and miss the job.
B
The split
The split is justified when a second strategy, a retail SMA book, a broker-dealer affiliate, or exam volume means the GC cannot both trade the document and run the program. Hire the CCO on the compliance clock, not by retitling a deputy. That clock, across 36 compliance-leadership placements since 2017, is 21 days to shortlist and 10 weeks to an accepted offer.
C
UK and family offices
SMF16 Compliance Oversight is a controlled function. If the GC will hold it, say so in week 1, because the approval sits with the FCA, not with the offer letter. A family office still inside Rule 202(a)(11)(G)-1 does not need an SEC CCO. Copying a registered-adviser spec onto that office creates a registration analysis the family did not ask for.
A NYSE-listed payments company in New York hired a chief compliance officer on the compliance clock: shortlist in week 3, accepted offer in week 10, assessed against the Justice Department's Evaluation of Corporate Compliance Programs (the New York payments file). That file is not an adviser. It is the published CCO clock. If the board actually wants a lawyer who will also be the legal officer, the search stays on the GC clock, rather than on a chief compliance officer search with a law degree added at the end.
05Candidate pool
Four groups are real. A famous operating-company GC is usually not one of them.
We start from a market map of 1,480,000+ lawyers and then throw away almost all of it. The shortlist is people who have held this book.
01
Sitting adviser counsel. General counsel and combined GC-CCO at a smaller manager, ready for a larger book or a second flagship. The test is the last exam, the last launch, and whether they personally negotiated the side letter or only saw it.
02
The deputy who already took the exam. Deputy general counsel, head of regulatory, or counsel who has been the person in the room when the staff asked about allocations, MNPI, or marketing. Title is secondary to that fact.
03
Fund-formation counsel crossing in-house. Lawyers who have closed 3(c)(1) and 3(c)(7) vehicles and advised through an exam, now willing to own the program rather than bill it. The move fails when they still expect a team of associates behind them.
04
The wrong copy. A listed-company general counsel with no Advisers Act book. A compliance generalist who has never read an LPA. A portfolio-company GC whose sponsor pack is real and whose fund formation is not. Those are capable lawyers. They are a different search.
Form PF's 1,834 advisers reporting hedge funds, and the IAA's 16,544 registered advisers, describe the employer universe. They are not a candidate count. We do not publish how many of the 1,480,000+ mapped lawyers currently hold an adviser GC or CCO title. The research program behind the map is at the research program. The firm that runs the search was founded in 2017 by Lorenzo Sartori; the operating history is on about the firm.
06How the search runs
Same retained clock as every other GC search. Different disqualifiers in week 1.
Week 1Mandate Blueprint
Regulator, strategy, combo or split, reporting line, cash, conflicts, off-limits. Written. No calls before this exists.
Weeks 1-2Total-market mapping
Sitting adviser counsel and fund-formation lawyers in the strategy and the city. Not a stack of operating-company GCs.
Weeks 2-4Private outreach
Blind both ways until mutual interest. No CV leaves us without written candidate consent.
Day 24Shortlist dossiers
The GC clock. Each dossier names the exams and the funds, not a list of firms the person sat near.
Weeks 5-16Interviews and offer
CIO or CEO, often the founder, sometimes the board. Median accepted offer on the 52 GC and CLO searches is week 11, range 8-16.
After startClose and 90-day checks
Onboarding and 90-day check-ins. 97 percent of placed in-house leaders are still in post at 12 months; 91 percent at 24 months.
If a launch or an exam response cannot wait 11 weeks, interim cover is a separate engagement. The permanent search still runs on this clock. Process detail is on how we run a search and on the general counsel search page. We do not restate that method here.
07Compensation and fees
We publish the fee. We do not publish a hedge-fund GC cash band.
One public alternative-asset manager files a chief legal officer total. It is context for that filer. It is not the market for the 92.8 percent of advisers with 100 or fewer employees.
Retained GC, CLO and CCO searches are retained only. The fee is 25-30 percent of the hire's total first-year compensation. A retainer equal to 30 percent of the fee is paid at engagement. The replacement term is 12 months. We do not approach lawyers we placed for as long as they stay, and we do not recruit from a client's legal department for 24 months after a mandate. Those terms are in the letter before outreach. Retained corporate mandates complete at 92 percent.
We do not publish a base-and-bonus band for hedge-fund, private-credit or family-office general counsel. Inventing one would be a count we do not have. What a public alternative-asset manager discloses is a different instrument. Blackstone Inc.'s Form 10-K for the year ended 31 December 2025, filed 27 February 2026, reports its chief legal officer in the Summary Compensation Table at a 2025 total of $23,662,866: salary $350,000, bonus $3,415,701, stock awards $16,738,091, and all other compensation $3,159,074. The 10-K also states that each named executive officer received a $350,000 base salary in 2025. Most of that total is equity and other compensation, not salary. Do not quote a search fee off $23,662,866 for an adviser whose GC is not a named executive officer of a listed manager. Do not treat $350,000 as the cash bid for every combo seat either. It is one filer's salary line.
The 92.8 percent of advisers with 100 or fewer employees are not hiring that package. Their GC is often paid a salary, a bonus tied to the management company, and sometimes a participation in carry or deferred equity that will not appear in a Summary Compensation Table because the firm is private. We price the search against the package the compensation committee, the founder, or the family will actually sign, after the Blueprint, not against this filing.

Asset management general counsel search — questions
What does a hedge fund general counsel recruiter search for?
The general counsel of the adviser, often the same lawyer as the chief compliance officer. The work is fund formation, side letters, the Investment Advisers Act or the FCA rulebook, and the exam. It is run as a general counsel search with that scorecard. Of 52 GC and CLO searches since 2017, the shortlist arrives in 24 days and the median accepted offer in 11 weeks.
When should the general counsel also be the chief compliance officer?
When the adviser is still one legal officer. In 2025, 92.8 percent of SEC-registered advisers had 100 or fewer employees, and 67.4 percent managed under $1 billion, in the Investment Adviser Association and Comply snapshot released 3 June 2026. At that scale the GC is usually the CCO required by Rule 206(4)-7. Split the seats when exam volume, a second strategy, or a broker-dealer affiliate makes one person the bottleneck. A standalone CCO search uses a different clock: 21 days to shortlist and 10 weeks to an accepted offer, across 36 compliance-leadership placements since 2017. See chief compliance officer search.
Do side letters still matter after the Fifth Circuit vacated the private-fund adviser rules?
Yes. On 5 June 2024 the Fifth Circuit vacated those 2023 rules, including the preferential-treatment rule aimed at side letters, and the SEC has said so on its Private Fund Advisers page. Most-favored-nation, fee, liquidity and co-invest terms are still negotiated, and they remain a fiduciary and disclosure issue. The Division of Examinations' Fiscal Year 2026 Examination Priorities tell staff to review differential treatment of investors, including use of side letters, at advisers that have not previously advised private funds.
How long does an asset-management general counsel search take?
On the 52 GC and CLO searches since 2017, the shortlist arrived in 24 days and the median accepted offer in 11 weeks, range 8-16. A NASDAQ-listed medtech in Boston, the published succession file, took a shortlist of four on day 24 and an accepted offer in week 11. We do not publish a separate asset-management week count. Method: how we run a search.
What should we budget for an asset-management general counsel?
The retained fee is 25-30 percent of the hire's total first-year compensation. A retainer of 30 percent of the fee is paid at engagement. The replacement term is 12 months. We do not publish a cash band for hedge-fund or family-office general counsel. For public-company scale only, Blackstone Inc.'s chief legal officer had 2025 total compensation of $23,662,866 in the Form 10-K filed 27 February 2026, of which salary was $350,000. That total is not a bid for a smaller adviser.
Who is in the candidate pool for this seat?
Sitting general counsel and chief compliance officers at advisers, deputies who have already taken an SEC or FCA exam, and fund-formation counsel who have closed 3(c)(1) and 3(c)(7) vehicles. A listed-company general counsel who has never held an Advisers Act book is usually the wrong copy. The map we start from is 1,480,000+ lawyers. The shortlist is the subset who have done this work. Sector map: private capital and asset management.
Do you run adviser GC searches on retained terms, in the US and the UK?
Yes. Retained only. The fee is 25-30 percent of total first-year compensation, the retainer is 30 percent of the fee, the replacement term on a GC or CCO search is 12 months, and we do not recruit from a client's legal department for 24 months after a mandate. UK managers are briefed against the FCA, including SMF16 Compliance Oversight where that function sits with the lawyer. A family office that still qualifies for the exclusion in Rule 202(a)(11)(G)-1 is not a registered adviser, and the scorecard changes with that fact.
