The GC had lawyers. The GC did not have a department.
Listed software at this stage is a commercial machine with a legal function running behind it. Every deal, every vendor, every privacy review arrived as a hero request to a named counsel. Nothing was triaged. Outside counsel invoices arrived as PDFs. The GC could see the cost. The GC could not see the work. That is the moment a first ops hire is cheaper than a seventh lawyer.
Talent acquisition had filled product and engineering operations roles. It treated legal operations as a cousin of those seats. The first internal spec asked for "process excellence" and "stakeholder management." It did not ask whether the person had switched a department from inbox-intake to a mattering system, or from PDF invoices to e-billing the panel would actually use. A posted role in Austin software would have drawn programme managers. It would not have drawn the low-tens field that has done the work.
Outside counsel offered to "help with panel management." They had a conflict: they were the panel. A search for the person who would hold them to a billing protocol cannot be run by the firms that would be held. The GC retained an exclusive search and wrote that sentence into the Mandate Blueprint.
