60 new general counsel at US-listed companies.

Between 1 July 2026 and 30 September 2026, 60 US-listed companies announced a new General Counsel or Chief Legal Officer. 42 (70%) hired from outside, 17 (28%) promoted from within, and one named an interim. Only 5 of the 60 appointees (8%, or 12% of external hires) came directly from a law firm; 34 came from another company. Healthcare & life sciences led with 12 appointments (20%), followed by industrials & business services (11), technology (10) and financials (8).

03 Reading the quarter

What Q3 2026 says.

Most boards went outside. Forty-two of the 60 appointments were external hires, and 34 of those 42 came from another company's legal function or executive team. Five came straight from a law firm. If you are planning a succession, the realistic external slate is other companies' general counsel and deputies, and an internal candidate will be measured against that slate whether or not you run one.

The title tracks the route. Of 32 appointments to a Chief Legal Officer title, 27 were external. General Counsel titles split almost evenly: 15 external, 13 internal. Companies that promote tend to keep the General Counsel title; companies that create or upgrade the seat tend to hire. This is one quarter and 60 rows, so read it as a pattern to watch, not a rule.

Healthcare and life sciences filled 12 seats and promoted from within once. The group mixes drug developers, device makers, a tools company and care providers, so the common thread is the route to the seat, not the business model.

Vacancies travel. At least six external hires were the sitting legal chief of another US-listed company when they were named, including the moves from Align Technology to Illumina, Paychex to Houlihan Lokey, Chewy to Live Nation, Circle to Nu Holdings, Incyte to MiniMed and Herc to Public Storage. In the last week of the quarter nVent hired MiniMed's former general counsel, a day after MiniMed named its own. Each move opens a search somewhere else.

Filings record decisions already taken. Of the 48 appointments with a stated start date, half took effect on or before the day they were announced. The longest lead times, three to five months, were planned internal successions (Dollar General, Smart Sand). Five filings disclose sign-on cash or equity for external hires, which is the cost of moving a sitting legal chief.

Disclosure is uneven. Fifteen of the 60, including Biogen, XPO, Occidental and nVent, appeared in a press release and in no 8-K we found. A count built on filings alone misses at least one appointment in four.

For a general counsel, two practical points follow. If your deputy is the succession plan, prepare the case against an external slate, because the board will likely see one. If you are hiring, your strongest candidates are probably in a seat today, with notice periods and unvested equity to plan around.

04 Method

How the tracker is built, and what it cannot see.

Unit. One row per announced appointment to the most senior legal role (General Counsel, Chief Legal Officer or equivalent) of a company whose shares trade on a US exchange or OTC market. Where one officer serves several listed companies under shared management (Liberty Media, Liberty Capital and Liberty Live), the appointment is counted once.

Window. Announced between 1 July 2026 and 30 September 2026. The announcement date is the first public disclosure (8-K filing date or press-release date, whichever is earlier). Filings from the last days of a quarter are added in the next monthly update.

Sources.

  1. SEC EDGAR full-text search for "general counsel" and "chief legal" in Forms 8-K and 8-K/A filed in the window. A text filter keeps the filings with a sentence naming someone to the role; each is read in full.
  2. Company press releases (Business Wire, PR Newswire, GlobeNewswire, company newsrooms), searched by title and month, to catch appointments with no 8-K.
  3. Company metadata from SEC EDGAR: ticker, exchange, SIC code, and public float from the latest annual report cover page.

Included: new appointments, internal promotions, interim appointments, appointments effective at the closing of a completed merger or spin-off. Excluded: deputy, associate, regional and subsidiary general counsel; incumbents who received a new title, contract or remit; departures with no named successor; appointments contingent on a deal not yet closed; externally managed funds and BDCs, whose officers are employees of the manager; companies not listed or quoted.

Definitions.

  • Appointment type: external hire (not employed by the company before), internal promotion (already employed, including an interim made permanent and a legal chief moving with a spin-off), interim.
  • Came from: the appointee's employer immediately before the appointment. "Another company" includes non-profits and non-legal executive roles; "law firm" means private practice; "not disclosed" where the sources are silent.
  • Size band: public float reported on the cover of the latest Form 10-K (XBRL tag dei:EntityPublicFloat, usually measured at the end of the prior second quarter). It is a proxy for market capitalisation, not the same thing. Mega: $200bn and over; large: $10bn–$200bn; mid: $2bn–$10bn; small: $300m–$2bn; micro: under $300m; n.a.: no public float reported (new listings, foreign private issuers, investment companies).
  • Sector: the company's SEC SIC code mapped to ten groups.

Verification. Every row links to a primary source. A random 10% of rows (fixed seed) is re-checked field by field against the full source document; when the errors follow a pattern, that field is re-checked on every row. Rows marked * keep at least one field the public record does not settle.
