Market · In-house hiring

The office on your panel is not a hireable local seat.

A Milan, Dubai, Paris or Frankfurt opening is sold as covering the lawyer the company still cannot put on payroll. For a general counsel, chief legal officer or head of HR, that opening is a panel event. It is not a hiring event.

The office is sold as coverage. The company still has an empty chair.

A company asking whether a new international office fills an uncovered in-house seat is asking a payroll question. Across 250 structured interviews with Milan in-house counsel and general counsel, 78 of 102 respondents sitting as general counsel, chief legal officer or head of legal at Italian companies, banks and sponsors over a 24-month window told Sartori a newly announced panel office had not produced a hireable candidate for that seat.

Lens 01 · The inversion The nameplate covers the file. It does not fill the chair.

A general counsel is told the new Milan, Dubai, Paris or Frankfurt office will close a local gap. The office can take instructions. It cannot become the company’s own head of legal. Panel coverage is not a hire.

The buyer question is who you can put on payroll this quarter. The two employment systems are unpacked below.

02 The uncovered seat

Why a new international office does not fill the in-house seat.

The sales sentence is coverage. The general counsel’s sentence is payroll. They are not the same hire.

We have worked the Milan in-house market for eight years, for general counsel, chief legal officers, heads of legal and HR directors who need a lawyer on the company books. Over the trailing three years we closed 17 in-house searches on that line at a 92 percent completion rate, on a typical 4 to 7 month timeline, with a median 16 working days from offer to acceptance and counter-offer incidence at 26 percent. The files that dragged were not the ones short of CVs. They were the ones briefed as if a panel opening had already solved the search.

Of those 17 closed Milan in-house searches, 9 were general counsel, deputy general counsel or head of legal seats at companies whose panel had opened or expanded a Milan international office in the same three-year window. Eight of those nine still required an independent company-payroll search. The ninth closed only after the specification was rewritten from “someone from the new office” to a giurista role with a reporting line, a budget and an albo-exit conversation attached. That is the buyer problem this page is for.

Four of the 17 closed files stalled at least once because the company briefed the search as a conversion from the new office. Sartori accepted two of those four briefs in that form before insisting on the rewrite. That is not a flattering number. It is the one that makes the rest of the telemetry believable: we are as capable of inheriting the sales copy as the client is. The uncomfortable cut is also the operational one. Once the brief names a company contract, art. 18(d) is not a footnote. It is the search.

A general counsel at a Milan-listed industrial group told Sartori, in that same 24-month interview window, that the new U.S. private-equity office on the panel had been presented internally as the answer to a deputy-GC requisition. It was not. The office lawyers remained on the albo. The requisition was still empty at the quarter’s board pack. The chief legal officer who treats an opening announcement as a shortlist is not short of information. He is reading the wrong document.

What the announcement coversWhat the company can hire

  1. The nameplate A Milan, Dubai, Paris or Frankfurt address, a press release, a practice label the buyer already has on panel. This is a firm event. It is visible. It is not a requisition.
  2. The instruction The company can send the office a deal, a golden-power notification, an employment memo. Panel coverage is real. It is also the product the office was built to sell.
  3. The payroll chair General counsel, chief legal officer, head of legal, board secretary, AML esponente. These sit on a company contract. The announcement does not create them, and the albo does not let the office occupy them.

Sartori maps roughly 5,000 lawyers in Milan. That file records admission, employer and practice. It does not record who would leave the albo for a company contract, and it does not record whether a panel office will ever become a candidate pool — because under Italian professional law it structurally will not, short of an exit. That is the largest blind spot in the Milan mapping for this thesis, and it is why the interview cohort, not the coverage file, carries the finding.

The global research program behind that city file maps about 1.5 million lawyer profiles, with quarterly market surveys running since 2019. Neighbouring pages ask whether Milan is becoming a hub for international firms. This page asks whether the opening those firms announce puts a lawyer the company can hire onto the payroll. It does not.

03 Two payrolls

The company hires a giurista. The office employs avvocati.

Until a hiring committee can say which employment system the seat sits in, every conversation about the new office is a category error.

Legge 31 dicembre 2012, n. 247, art. 18(1)(d) is not an obscure conflicts rule. It makes the profession of avvocato incompatible with any subordinate employment, even limited hours. Art. 2(6) recognizes the giurista d’impresa solely so that person may give stragiudiziale advice, under employment or co.co.co, exclusively to that employer. CNF sentenza 26 August 2020, n. 161, refused albo inscription to an insurance-company legal-office director on exactly that split. The in-house seat a chief legal officer is trying to fill is the art. 2(6) seat. The lawyers in the new office are the art. 18(d) seat. Moving one person from the second to the first is an albo exit, a contract, a reporting line and a conflicts conversation with the panel — not a complimentary conversion the opening announcement implied.

There is a third list, and it is not the corporate general counsel either. Art. 23 keeps a special roll for lawyers in stably constituted legal offices of public entities, doing judicial representation as well as advice. The Milan Order’s regolamento, approved 21 May 2026, keeps that Elenco Speciale under art. 15: the office must sit in the Milan ordinary-court circondario, the function must be exclusively legal, and the head of office must be an albo lawyer assigned exclusively. CNF has already told the Milan Order that employees of privatized companies in which public control runs only through Cassa Depositi e Prestiti do not newly enter that list. A listed industrial’s head of legal is not saved by art. 23. Neither is the new office.

Firm payrollCompany payroll

  1. Avvocato on the ordinary albo The launch-office bench. Can appear in court, can be instructed as panel, cannot take a company employment contract without leaving the roll.
  2. Giurista d’impresa The seat the general counsel actually posts. Stragiudiziale advice to one employer. This is the hire. AIGI membership is the nearest public stock, not a census of chairs.
  3. Public-entity special list Art. 23 and the Milan 21 May 2026 regolamento. Judicial representation for a public body. A different buyer, a different gate, not the listed-company chair.
01

Listed issuer

A general counsel, board secretary and corporate-affairs stack sitting on TUF, golden-power and CSRD clocks. The new office can take public M&A instructions. It cannot occupy those titles.

02

Bank or intermediary

A head of legal plus a board-level AML esponente the Banca d’Italia now wants named through Or.So. Panel finance counsel is not a substitute for either seat.

03

Industrial or PE-backed company

A chief legal officer or head of legal who needs Italian-law employment, IP and deal support on the payroll. Launch copy names those practices on the firm side. Art. 18(d) keeps them there.

04

Sponsor with a Milan investment office

Capital lands locally. In-house legal for those Italian deals often stays at a London or other hub desk. Coverage of the sponsor’s deals is not coverage of the sponsor’s legal department.

Public org charts make the split visible without turning this into a named case study. A listed energy major with a Milan-area operating seat publishes a Legal Affairs and Commercial Negotiations director reporting to the CEO, a separate Board Secretary and Counsel reporting to the board, and Corporate Affairs and Integrated Compliance as sibling functions, not as a single “the lawyers.” Those titles are company-side even when an English biography page still mentions Milan bar membership as a credential. Art. 18(d) still applies unless a special-list exception exists, and CNF has refused that exception for this class of issuer. The new office does not sit on that chart.

Banks add a further title the launch cannot supply. Banca d’Italia’s Provvedimento of 16 June 2026, in force on 10 July 2026, requires recipients of the 2019 AML organizational rules to notify the Bank, through Or.So., of the appointment of the esponente responsabile per l’antiriciclaggio within 20 days of acceptance, suspension or cessation. The 2023 amendment had already created the board-level role; the 2026 act adds the reporting channel. Recipients include banks, SIM, SGR, payment and e-money institutions and crypto-asset service providers. A head of legal at an Italian bank told Sartori the esponente is a board member the panel cannot supply, and that the uncovered seat on her floor was still a giurista doing day-to-day legal. The new finance office on her panel could take a deal. It could not take the board minute.

EU-qualified lawyers moving into the Milan office do not collapse the split either. Under Directive 98/5/EC and d.lgs. 96/2001, an avvocato stabilito registers on a special albo section with the home title, does judicial work only di intesa with an Italian-title avvocato, and may seek integrato status only after three years of effective, regular activity. A Paris or Frankfurt lawyer sitting in the new Milan office is not, on day one, a hireable Italian-court counsel for the company. Stabilito is a firm-side establishment gate. It is not an in-house hiring pool.

The esponente is a board member the panel cannot supply.

04 What the office staffs

Launch copy names practices. It does not name a hireable bench.

Read the opening as a panel product. The MAG table still shows where a general counsel already buys depth.

MAG’s 2025 LC Best 50 is a firm-side fee-pool print, and it is useful to a company buyer for one reason only: it shows how thin a launch is next to the independent Italian houses already on most panels. Chiomenti, BonelliErede and their peers still field hundreds of professionals. International platforms in the same table are smaller Italy-wide benches. A launch is smaller than both. Treating the opening as if it had just equalized that table is how a chief legal officer brief is written off a press release.

MAG 2025 professionisti counts for selected Italy benches already on company panels, against the thinner international platforms in the same table. These are MAG estimates of Italy-wide headcount, not Milan-only and not avvocati only.

MAG / Legalcommunity, LC Best 50 speciale fatturati (2025 calendar year).

The 2025–26 public copy named the practices those openings actually staff: private equity and private capital, M&A, infrastructure, banking and finance, leveraged finance and private credit, employment, intellectual property and life sciences, U.S. corporate and government relations, international arbitration. Hogan Lovells’ 25-year Italy note listed a mature mix — corporate, finance, PE, capital markets, restructuring, regulatory, IP, TMT, litigation, tax, employment, arbitration. That mix is what a full-service panel looks like after a generation. It is not what a first-day PE office looks like. MAG’s revenue ranking is still led by tax-legal Big Four aggregates; that is a fee-pool fact, not a reason a new PE office supplies a hireable head of legal.

One May 2026 lift makes the supply arithmetic visible. Global Legal Insights, on 6 May 2026, recorded five plus seven lawyers moving from an Italian independent into McDermott Will & Schulte’s existing Milan office, in transactions and PE, employment and IP, against a combined platform then described as about 1,750 lawyers. City supply that day was zero-sum. The origin bench lost the same 12. A general counsel whose panel gained a U.S. letterhead on people the city already employed did not gain a candidate for the uncovered in-house chair. Trainees and associates at the receiving office remain that office’s headcount. They are not a secondment pool the company can convert without a separate employment process and an albo exit.

A different 2025 opening was explicit about not covering Italian law at all. Becker’s 28 April 2025 Milan announcement framed a European hub for U.S. corporate law and U.S. federal and state government relations, sitting alongside 18 U.S. offices. For a Milan general counsel whose uncovered seat is Italian employment, TUF or golden power, that nameplate is outbound U.S. advice. It is a useful panel product. It is not local coverage, and it is not a hire.

Four office products a company actually meets on a 2025–26 panel. The distinction is what the general counsel can instruct versus what the head of legal can hire.
Office product What it is What the company gets What it is not
Private-equity launch A new Milan studio that opens with a handful of sponsor-side deal lawyers Panel instructions on PE/M&A. No hireable local general counsel. A full disputes, employment, regulatory and court bench
Same-city lift into an existing office A team moving from an Italian independent onto a U.S. or UK platform payroll A different letterhead on people the city already had Net new local supply, or a secondment pool the company can convert
U.S.-law nameplate A European hub that advises on U.S. corporate law and U.S. government relations U.S. outbound advice. Useful, and a different product. Italian-bar coverage for a Milan general counsel’s local panel
Mature Milan-and-Rome platform A 25-year full-service international office with a deep local mix A panel firm that can actually staff Italian files end to end A launch, and still not a company-payroll hire while lawyers stay on the albo

Law 247/2012 art. 4-bis, inserted by Law 124/2017, is why the foreign platform can practice as a Milan studio at all: a società tra avvocati may be a partnership, a capital company or a cooperative, provided at least two-thirds of capital and voting rights sit with albo lawyers and a majority of the management body are lawyer-members. That is a firm-formation rule. The soci avvocati must already be, or become, albo lawyers. It does not create a company hiring pool. A chief legal officer who is shown the STA papers as proof that “they are local now” is being shown the wrong instrument.

05 What actually hires

Company statutes hire company lawyers. Deal volume hires panel hours.

The 2024–26 capital cycle explains why offices open. The Gazzetta Ufficiale explains why the in-house chair is still empty.

AIFI and PwC, in the 23 March 2026 pack, put Italian private-capital invested amount at EUR 11.610 billion for 2025, down 22 percent from EUR 14.903 billion in 2024, while deal count rose from 732 to 887, foreign operators supplied 73 percent of the 2025 amount, and Lombardy took 47 percent of deal count. Ex-infrastructure investment was roughly flat. AIFI–PwC, in that 23 March 2026 pack, also recorded small and medium deals under EUR 150 million of equity at a series high. That mix keeps mid-market PE desks busy. It is not a general counsel vacancy. Office launches clustered on the 2024 peak and the 2025 localization. The H2 2025 value drop, which PwC Italy’s PE lead put at 42 percent versus H1 in the same pack, is a brake on mega-deal origination demand, not on the company-side chairs this page is about.

AIFI–PwC invested amount (PE, VC and infrastructure) and deal count, 2024 versus 2025. Value fell; volume rose. That is a panel-hours shape, not an in-house hiring census.

AIFI–PwC press packs, 19 March 2025 (2024 year) and 23 March 2026 (2025 year).

KPMG Corporate Finance’s 9 January 2026 preliminary print put 2025 Italian M&A at about 1,350 completed deals and more than EUR 70 billion, with Financial Services at 91 deals and EUR 27 billion — 38 percent of value — including the MPS–Mediobanca offer, BPER–Banca Popolare di Sondrio, Banco BPM–Anima and UniCredit’s Generali moves, while cross-border’s share of value fell to 46 percent. That is in-house work at banks and listed issuers: public M&A, antitrust, golden power, capital markets, board secretariat. A new international office that staffs PE and M&A can take those instructions. It does not staff the bank’s own head of legal.

Of 86 in-house counsel at banks and listed issuers inside the Milan interview cohort, over an 18-month window, 54 said a 2025–26 statute — the TUF recast, CSRD, the AML esponente, or Law 132/2025 — had created a company-side requisition that panel counsel could instruct on but could not occupy. That cut sits inside the same interview cohort. It is the statutory half of the opening finding: the office did not fill the chair, and the chair was often created by a rule the office does not sit under.

Sortable — 2025–27 regulatory clocks that create a company-side legal seat, with the in-house title they actually hire and why a launch office cannot occupy it.
Instrument Clock Company seat Why the office cannot occupy it
Law 247/2012 art. 18(d) and art. 2(6) Standing since 2013 Giurista d’impresa / general counsel on an employment contract Avvocati cannot occupy subordinate employment and remain on the ordinary albo
D.Lgs. 47/2026 (TUF recast) 29 April 2026; Consob secondary rules on a nine-month clock General counsel, board secretary, corporate affairs at listed issuers Issuer governance titles sit on the company org chart, not at a PE launch
Law 4/2026 converting D.L. 175/2025 (golden power) January 2026 conversion Senior in-house M&A and regulatory counsel at banks, insurers, strategic issuers FDI notifications lengthen the in-house file; they do not staff it from panel
Banca d’Italia Provvedimento 16 June 2026 10 July 2026; nomination clock cited to 30 June 2026 Board esponente responsabile per l’antiriciclaggio A board member, reported through Or.So., not a panel finance lawyer
D.Lgs. 125/2024 (CSRD) 25 September 2024; reporting waves 2025–2027 In-house legal / ESG counsel alongside the collegio sindacale Sustainability reporting is a company-side attestation, not a PE closing
Law 132/2025 (AI) and the EU AI Act First Italian duties 10 October 2025; AI Act staged through 2027 In-house AI, privacy, 231 and employment counsel Deployer duties sit on the company payroll; art. 13 is a professional-ethics overlay on the bar, not a GC hire

D.Lgs. 27 March 2026, n. 47, in force 29 April 2026, is the listed-issuer file. It implements the Legge Capitali delegation: a single mandatory totalitarian OPA threshold at 30 percent, squeeze-out at 90 percent, a shorter best-price look-back, English offer documents with an Italian summary, and new corporate-governance report duties on AI in administrative systems and on cyber risk. CRCCDLEX, writing on 16 April 2026, addressed that alert to general counsel, the legal function, board secretariat, CFO and IR. Consob and Banca d’Italia have nine months for most secondary rules. A PE launch does not sit those issuer titles. Teleborsa, on 29 April 2026, restated the reform’s aim as making Piazza Affari more competitive versus delisting and private capital — which is another way of saying the work moved in-house, not onto a new letterhead.

Golden power moved in the same season. Law 15 January 2026, n. 4, converting D.L. 175/2025, amended D.L. 21/2012 so that in the financial, credit and insurance sector special powers wait on prudential and antitrust proceedings, and so that public order and national security include economic and financial security where sector rules do not already protect essential interests. Iusletter noted the EU Commission infringement that prompted the rewrite. UniCredit–BPM-type sequences now wait on ECB and Commission clocks. That lengthens in-house and panel staffing through 2026–27. It does not let a three-person PE office become the issuer’s regulatory counsel on payroll.

CSRD is already inside the relazione sulla gestione. D.Lgs. 6 September 2024, n. 125, in force 25 September 2024, phases large public-interest entities with more than 500 employees from FY 2024 (reports 2025), other large undertakings from FY 2025 (reports 2026), and listed SMEs from FY 2026 (reports 2027). Baker Tilly, on 26 September 2024, restated the large-undertaking gate as two of balance-sheet EUR 25 million, net revenue EUR 50 million, 250 employees. The collegio sindacale must supervise observance. That is in-house legal and ESG counsel next to the control body. It is not a closing team.

Law 23 September 2025, n. 132, put first AI duties on intellectual professions from 10 October 2025: art. 13 treats AI as instrumental only, with prevalence of human intellectual work and a clear-language client notice. The Consiglio dei Ministri n. 177 preliminary decrees of 10 June 2026 would align national machinery with the EU AI Act — AgID, ACN, Banca d’Italia, CONSOB, IVASS, the Garante — and are not final as of that date. EY Law’s 2025 Italian cut found regulatory compliance named by 68 percent of the 60 general counsel and chief legal officers, GenAI enablement by 65 percent, and 62 percent still in GenAI ideation or experimentation. Deployer duties sit on the company payroll. The bar notice sits on the office. They are not the same hire.

One competitiveness fact is worth stating so it is not used as a false pitch. Istat, publishing on 31 August 2026 with data to 30 June 2026, put PNRR civil Disposition Time at 1,251 days, down 50.2 percent from 2019, with tribunals at 291 days. Faster civil DT is good for companies. It slightly weakens “you need us because Italian courts are slow” as the reason to cheer a launch. It does not fill an uncovered in-house seat. Commercial and PE work remains Milan-centric and counsel-driven; the disputes lawyers at a launch office remain on the firm payroll.

06 Contrast cities

Dubai, Paris and Frankfurt change their own in-house gates. Not yours.

Name the other city for the rule that actually sits there. Do not import it as a hiring manual for Milan.

Dubai is the cleanest illustration of a nameplate sold as coverage. The DIFC Authority, on 28 July 2026, put 10,018 active registered companies at end-H1 2026. That is the stock a new DIFC office is pitched as covering. DIFC Courts Law No. (2) of 2025, in force from March 2025, rebuilt jurisdiction, interim relief and enforcement. The practitioner register under Order No. 1 of 2025 then splits Part I firms, who may file, from Part II individuals with rights of audience: full rights at five or more years of advocacy PQE, limited rights at two, with civil-law advocates who lack common-law depth held to limited rights until they upgrade. The DIFC Courts fee schedule under Order No. 1 of 2025 puts Part I at USD 2,700 and Part II at USD 2,500. Onshore Dubai and federal courts remain UAE-national advocates. A specialist arbitration opening — Three Crowns announced a DIFC office on 7 January 2026 as its sixth, with over 90 arbitration lawyers firmwide — is a common-law disputes nameplate. An Italian general counsel cannot hire that bench as local UAE in-house, and cannot hire it as onshore advocate.

Paris splits the in-house seat even more cleanly. In-house counsel there are juristes, employees, not bar members. Law No. 2026-122 of 23 February 2026, published in the Journal officiel on 25 February 2026, creates a conditional in rem confidentiality for marked written consultations by in-house counsel who hold a Master en droit or equivalent, or a maîtrise plus eight years in a legal department, after ethics training, for specified recipients. It is not avocat secrecy. It does not cover criminal, tax or EU-authority matters. Osborne Clarke, on 9 July 2026, put entry into force after decree and no later than 23 February 2027. Gide notes the company, not the juriste, owns the confidentiality and may waive it. The Paris company still cannot hire the new office’s avocats onto the payroll as avocats. It hires juristes. The Milan buyer’s art. 18(d) problem is unchanged. A similarly small Paris PE-and-finance opening earlier in 2025 is the same product in another city, not a second Milan search count.

Frankfurt is the inverse product. The Rechtsanwaltskammer Frankfurt am Main admits both Rechtsanwälte and Syndikusrechtsanwälte; Syndikus admission needs the second Staatsexamen, an employment contract, a signed activity description and a BRAO §46 test, with Deutsche Rentenversicherung heard before the chamber decides. BGH, on 25 April 2025, held that a GmbH managing director’s service relationship is not an Arbeitsverhältnis for Syndikus admission. When a U.S. platform closes Frankfurt, it removes a firm-side seat. It does not create or destroy the company’s Syndikus desks. Those have their own chamber gate. The Milan general counsel who reads Frankfurt closures as a reason the Milan opening must be “the other way” — a talent flood — is still looking at the wrong payroll.

Local in-house or advocacy gateWhat the new office is

  1. Milan Giurista on a company contract; avvocato on the albo; art. 23 for public entities. The launch is a studio the company can instruct.
  2. Paris / Dubai Juriste confidentiality on a dated French statute; DIFC Part I/II on a 2025 courts law. Each is a local gate, not an Italian hiring pool.
  3. Frankfurt Syndikus admission at the chamber. Platform retreat removes the firm office. The company desk stays. Inverse of a Milan opening, same lesson: two payrolls.
07 How to brief

Write two documents. Stop when they disagree.

The company controls the requisition, the panel instruction and the albo-exit conversation. It does not control the press release.

Your exposure is an empty chair on an org chart, not a missing logo on a deal tombstone. Of 17 closed Milan in-house searches, the stalled ones were the conversions we should not have accepted as written.

  • Name the employment system first. Giurista, public-entity list, or board title. If the draft job description still says avvocato, it is not an in-house brief.
  • Do not wait for the office to “send someone.” EY Law’s 2025 Italian study found 77 percent of general counsel naming sourcing as a priority and only 12 percent having reviewed internal versus external sourcing in the last year. The announcement is not that review.
  • Budget the counter-offer honestly. Companies that thought the panel would gift them a candidate discover, late, that they are in a real search against other in-house desks.
  • Separate the specialist hire from the local-GC fantasy. CSRD, AI, golden power and TUF create specialist in-house seats. They do not create a reason to postpone the general counsel hire you already needed.
  • If this is the first legal hire, start with the first general counsel guide before any conversation about a panel opening.

EY Law’s 2025 Italian cut found 57 percent of departments planning to rely on external counsel for extra capability and 63 percent planning to upskill internally. Both can be true. Neither is a conversion from the new office.

  • Match the instruction to the launch bench. A PE opening is a PE file. A U.S.-law hub is a U.S. file. A mature 25-year platform is a different product again.
  • Keep the independent Italian houses on panel. MAG’s 2025 professionisti table is why: depth for employment, disputes, administrative and court work still sits there, not in a three-person opening.
  • Watch the letterhead change that is not a supply change. A 12-lawyer lift is a platform stamp on people the city already had. Re-paper the engagement letter if you must. Do not cancel the in-house requisition.
  • Do not treat a combination as an opening. A 2026 platform combination may change the name on the invoice. Italy coverage that already existed as a Milan-and-Rome office does not newly fill the uncovered chair.
  • Run the in-house mandate on its own clock. Typical fill on this desk is 4 to 7 months. Holding it until the office “beds in” is how a 2026 statute is missed with no one on payroll to own it.

Two anonymized composites from the same Milan in-house book make the split concrete. A PE-backed industrial briefed a U.S. platform’s new Milan office as the source of Italian employment and IP counsel it wanted on payroll; the office could take the files, and the head of legal still had to hire two giuristi against a 4 to 7 month clock. A sponsor that had just opened its own Milan investment office kept legal in London and assumed the law-firm opening in the same district would be “our local GC.” Golden-power and TUF work still needed a company-side owner in Italy. The law-firm office covered the deals. It did not cover the department.

The service view of this book sits on our in-house counsel recruiting page. How international firms choose Milan as a base is a different article: Milan as a strategic hub. Compensation levers for the chair you actually post live on the Italian general counsel benchmarks. None of those pages treats a press release as a shortlist.

Questions a general counsel asks when the panel opens abroad

Does a new international office let a general counsel hire local counsel onto the payroll?

No. Legge 31 dicembre 2012, n. 247, art. 18(d) makes the profession of avvocato incompatible with any subordinate employment, even part-time. The company can instruct the office as panel. It cannot put those lawyers on the payroll while they remain on the ordinary albo. The hireable local seat is a giurista d’impresa under art. 2(6), limited to stragiudiziale advice for that employer.

If the office cannot fill the in-house seat, should the company still instruct it?

Yes, as panel, on the files the launch actually staffs. A private-equity opening is a sponsor-side execution bench, not a substitute for a deputy general counsel, a head of legal, or a board AML title. The company still buys extra capability from panel; it does not convert the office onto payroll.

Which 2026 statutes actually create company-side legal vacancies in Milan?

D.Lgs. 47/2026 recast the TUF from 29 April 2026; Banca d’Italia’s 16 June 2026 measure added Or.So. notification of the board AML esponente; CSRD reporting under D.Lgs. 125/2024 is still phasing through 2027; Law 132/2025 put AI duties on intellectual professions from 10 October 2025. Those clocks hire giuristi, corporate-affairs counsel and board titles — not a private-equity launch.

Does a Dubai, Paris or Frankfurt opening change what a Milan company can hire?

No. Each city has its own in-house or advocacy gate: DIFC Courts Law No. (2) of 2025 and the Part I/II register in Dubai; Law 2026-122 for French juristes; Syndikusrechtsanwalt admission in Frankfurt. Those rules change how juristes and advocates work there. They do not let an Italian company hire a Milan office onto payroll.

How long does a Milan in-house search take when the office is not the pool?

Typical fill is 4 to 7 months from brief to start. The slow files are the ones briefed as conversions from a panel office. Once the specification names a company contract, the clock is an in-house search, not a complimentary secondment.

Is a 12-lawyer Milan lift the same as new local supply for the company?

No. A same-city team moving from an Italian independent onto a U.S. platform payroll is zero-sum that day: the origin bench loses the same people. The buyer’s panel stamp may change. The uncovered in-house chair does not.

Milan Order headcount is the year-end roll, not the hireable in-house pool. MAG professionisti and turnover are estimates of Italy-wide firm P&L, not equity drawings and not Milan-only. AIFI invested amount is PE, VC and infrastructure equity on the EDC/Invest Europe methodology, not M&A enterprise value. KPMG 2025 M&A is a preliminary CS; the later full-report restatement of 2024 is a different vintage. EY figures are a survey of 60 Italian GCs and CLOs, June 2025. AIGI membership is association stock. DIFC 10,018 is licensed companies, not lawyers. Istat Disposition Time is the PNRR macro-materie series.

The Milan in-house method, cohorts and telemetry are described on our research page. For how the in-house desk runs a mandate, see in-house counsel recruiting.

A quiet conversation

The office opened. The chair is still empty.

We map general counsel, chief legal officer and specialist in-house seats for Milan companies, and we are as willing to tell you the panel opening is not a candidate pool as to open a search. Confidential, no obligation.
