Italian firms and international alliances: strategic options.

The uncovered seat is the English-law inbound-referral desk. Network membership does not staff it. That vacancy is why the work a candidate was told to wait for does not arrive.

The brochure promised a desk. The floor still does not have one.

Sartori maps about 5,000 lawyers in Milan. This page is about one uncovered seat on that map: the English-law inbound-referral lawyer an Italian independent sells when it joins a law firm alliance, and that a candidate is told to wait for.

Lens 01 · The vacant desk Membership is not a practicing title.

An exclusive network, a Swiss Verein, a best-friends club or a country panel changes the website. It does not put an England-and-Wales title on the Milan letterhead. The inbound desk stays empty.

The career question is not whether Italian independents should join networks. It is whether your seat will see the English-law inbound file a general counsel already knows how to route. The questions that expose the gap are below.

02 The uncovered desk

The alliance sold English-law inbound work. The associate is still on Italian-law files.

We have worked the Milan associate market for 8 years, for lawyers inside Italian independents and for the in-house teams that instruct them. The vacant seat is not a rumor. It is what the files look like when you ask to see them.

The career pitch inside an Italian independent that has joined a network is stable, and it is wrong in one specific place. You are told that membership will pull English-law inbound referrals onto your desk: the SPA the New York or London investor already drafted, the LMA facility, the LCIA clause. You are told to wait. The wait is the product. What actually lands is Italian-law work the independent can already staff — Golden Power notifications, target corporate, employment, tax. The English-law slice leaves for a floor that can sign it.

Across 250 structured interviews with Milan associates and counsel, 94 of those conversations over a 24-month window were with associates sitting inside Italian independent business-law platforms on corporate, private-equity or banking desks. Of those 94, 61 said the firm had told them that network or alliance membership would produce English-law inbound files. Forty-seven of those 61 said those files never reached their own desk. That is not a complaint about deal flow in general. Italian-law M&A inside those same platforms stayed busy. It is a complaint about a product the brochure named and the floor did not hire.

A senior associate at a MAG-top-15 independent, on the same 24-month cut, put it without vocabulary: “I was told to wait for the alliance files. What landed was Italian-law. The English-law work never came.” The sentence is useful because it names the two products. Alliance membership can be a genuine referral machine for Italian-law local counsel. Lex Mundi, TerraLex, Meritas, ADVANT and the European best-friends club all function as that machine. They do not, on any published headcount, put dual-qualified English-law capacity on the Italian member’s Milan floor. No public series counts inbound English-law referrals received by those independents, conversion to billed matters, or dual-qualified FTE. This page does not invent one. It reads the gap between the inbound capital that would feed that desk and the product the independent actually bills.

MAG’s 2025 Italy table is the size of two different products, not a hiring conclusion by itself. An English-law / US office that can sign inbound paper and an Italian-law platform that cannot sit in the same city in the same year on almost the same revenue with a multiple of the bodies. The per-professional gap is charted later against MAG’s printed rows. Those rows are MAG estimates, not statutory accounts.

The Ordine degli Avvocati di Milano counted 22,137 lawyers and 3,675 trainees at 31 December 2025. That is the local-bar population, not business-law headcount and not English-qualified seats. Cassa Forense, with Censis, put national membership at 228,641 in 2025 (211,464 active) and mean IRPEF income at 51,912 euro on 2024 declarations (Il Sole 24 Ore, reporting the parliamentary presentation of the 2026 report). Lombardy’s mean on 2023 declarations was 81,115 euro (Cassa Forense / Censis, Rapporto sull’Avvocatura 2025). Those figures measure the enrolled profession, including solo generalists. They are the wrong pay for the business-law associate who would staff the uncovered desk. MAG’s last openly reprinted seniority bands, vintage 2021, already put years 1–3 at 39,000 euro, years 6–8 at 81,000 euro, and year-8 seniors near 91,000 euro gross, with internationals paying about 100,000 euro at year 8 against about 85,000 euro in large Italian platforms. Treat 2021 as 2021. The 2023 MAG salary page existed and could not be found. This article does not guess the missing bands.

The point of those income lines is narrow. The uncovered desk is expensive relative to the Italian-law associate scale, and cheap relative to the US/UK Milan office that already staffs it. An independent that joins a network and does not hire the dual-qualified body is making a rational cost decision. A candidate who treats membership as a curriculum is reading that cost decision as a promise.

03 Four options

What a law firm alliance actually changes — and what a merger does not.

Exclusive geography, a continental Verein, a best-friends club, a non-exclusive panel, a domestic combination. Five vehicles. One missing English-law FTE.

Lex Mundi describes itself as a membership organization of 150 law firms with one member exclusively per jurisdiction. Joining it is not available to a second Italian independent. Chiomenti is the Italian name in that directory. TerraLex publishes “over 23,000 attorneys” from independent firms across “200+ jurisdictions in 135+ countries.” Meritas describes itself as a global alliance of independent firms. What those homepages do not publish is inbound English-law file counts, conversion of referrals into billed hours, or dual-qualified headcount at the Italian member. A law firm network of this type is a referral geography. It is not a practicing certificate.

ADVANT is the dated continental alternative. A press release of 15 September 2021 from Milan, Munich and Paris records that Altana, Beiten Burkhardt and Nctm launched ADVANT as a Swiss Verein: members remain independent legal entities and add the name. Combined 2020 revenues were 216 million euro, with more than 600 professionals including more than 140 equity holders, across 13 European locations plus Beijing, Moscow and Shanghai. ADVANT Nctm’s own careers page, accessed in 2026, still lists secondments to Berlin, Düsseldorf, Frankfurt, Munich and Paris — three weeks to three months, French and German members, continental civil-law desks. It does not list a London English-law inbound seat in Milan. The “Join us” interest list is Public Law, Antitrust, Arbitration, Banking and Finance, Capital Markets, Corporate/M&A, Energy, Investment Funds, Tax. The missing label is solicitor of England and Wales.

The European best-friends club is the elite version of the same split. Hengeler Mueller’s page lists BonelliErede (Italy) with Bredin Prat, De Brauw Blackstone Westbroek, Slaughter and May and Uría Menéndez, and states that in 2022 the group acted in 377 deals worth approximately USD 289 billion. De Brauw adds more than 2,500 lawyers across 40 offices in 19 jurisdictions. Chambers Europe 2026 still describes BonelliErede as an independent Italian firm with a London office at 30 Cannon Street. London here is a relationship node. It is not, on the published profiles, a Magic Circle English-law floor transplanted into the Italian member.

Legance states the fourth option in plain language: an independent Italian firm that does not have exclusive ties and selects correspondents case by case, with a London office for proximity to global clients and correspondent firms. PedersoliGattai, formed in 2024, is a scaled independent without that London English-law floor; Chambers Global 2026 puts the platform at 380 lawyers. Gatti Pavesi Bianchi Ludovici lists Milan, Rome, London and Luxembourg on an Italian corporate and tax product; Legal 500 About states 200 lawyers. A dual-qualified Italian, French and English boutique on the British Chamber of Commerce for Italy directory is the rare independent that actually advertises that mix. Large independents’ careers pages do not.

Then there is the option that is not an alliance at all. Reuters reported on 8 January 2024 that PedersoliGattai started operations on 1 January 2024 with more than 350 lawyers after the combination announced in July 2023. MAG 2025 puts the brand at 150 million euro on 443 professionals, up from 381 professionals in 2024, an 11.94 percent revenue rise. Legal 500 describes “strong ties with international law firms” rather than a branded English-law floor. A law firm merger of that type scales an Italian-law platform and can still sit in Legal 500 private-equity Tier 1. It does not, by the act of combining, hire the uncovered desk. Candidates told to wait for alliance work at a smaller independent sometimes read a domestic combination as the thing that will finally produce English-law files. Headcount is not product.

Osborne Clarke is the comparator that is a branded international platform: a Swiss Verein of member firms that published international income of 547.5 million euro for May 2024–April 2025 and Italy fiscal 2024 revenue of 21.5 million euro. MAG 2025 rows the Italy office at 22.9 million euro on 72 professionals. That is a competing destination for the same English-law inbound files the independent’s brochure promises. It is not an alliance of independents. It is what the uncovered desk looks like when someone actually staffs it — and even then the Italy line is a fraction of the international total.

Five strategic vehicles available to an Italian independent, read from the associate’s seat and from the in-house buyer’s routing decision. Membership rules and launch dates from the network and firm pages cited in Sources; the English-law column is a product read, not a published FTE census.
Vehicle What it is What the associate actually gets Where a general counsel still sends English-law paper
Exclusive global network Lex Mundi: 150 firms, one member per jurisdiction Referral geography; Italian-law files from correspondents English-law SPA and LMA paper to an SRA Milan office or London
Continental Swiss Verein ADVANT, launched 15 September 2021; members stay separate entities DE/FR secondments (3 weeks to 3 months); Italian-law rankings England-and-Wales product to a house that can sign it
Best-friends club Closed referral club with a London English-law member Cross-border Italian-law tickets; a London relationship office The English-law slice to the London member or a US/UK Milan floor
Non-exclusive country panel Case-by-case correspondents; no single branded alliance Flexible co-counsel; still an Italian STA on the Albo Whatever the inbound investor's house counsel already drafted in English law
Domestic combination Italian-on-Italian scale (live example: operations from 1 January 2024) A larger Italian-law platform; Legal 500 PE Tier 1 without English-law staff The same English-law inbound file as before the combination
04 The in-house buyer

The general counsel already split the file. The alliance did not change that.

The uncovered desk does not live on a company payroll. It lives inside the independent. The people who decide whether it ever sees a file sit in-house.

AIGI, the Associazione Italiana Giuristi di Impresa, founded in 1976 by heads of legal departments of large companies and headquartered in Milan, counts more than 1,600 in-house lawyers (Pro Bono Italia member page, accessed 2026; AIGI Scuola brochure for the 2024/25 intake). ECLA’s European Company Lawyers Review 2024/25 sample lists “Italy (AIGI) 1,500.” Those lawyers are employed by the company. They are not the English-law inbound-referral associate. They are the people who instruct that associate — or who instruct someone else.

Of the same 94 Milan independent-firm associates in Sartori’s 24-month interview cut, 52 named a general counsel, chief legal officer or head of legal at a listed issuer, bank or private-equity portfolio company as the person who routed the English-law SPA to a US or UK Milan office. That is the buyer’s split, described from the associate’s side of the table. A general counsel at a listed industrial, in the same research window, said it from the other side: “We send the English-law SPA to the Milan office that is actually SRA-regulated. The independent gets Golden Power and the local corporate.”

CONSOB’s 2025 corporate-governance report counted 185 Italian companies with ordinary shares listed on Euronext Milan at end-2025, down from 196 at end-2024, with market capitalization greater than 907 billion euro. Foreign board members sat at 33.2 percent of companies. Material related-party transactions disclosed in 2025 numbered 58. Assonime runs the listed-company and capital-markets desk on the issuer side. That is a live in-house buyer of capital-markets and inbound-investment counsel: the chief legal officer of an EXM issuer, the head of legal affairs at an Italian subsidiary of a foreign group, the company secretary sitting with the general counsel. They buy Italian-law work from the independent. They do not, as a pattern, buy English-law inbound paper from the independent’s alliance membership.

Private-equity funds split the same way. AIFI recorded 11.610 billion euro of private-equity, venture and infrastructure investment in 2025, on 887 investments, with domestic LP capital at 83 percent and foreign at 17 percent (AIFI with PwC, 23 March 2026). Fund-level legal — general counsel or head of legal at the management company — and the portfolio-company chief legal officer are in-house seats. The English-law acquisition documents and LMA-style facilities typically sit with a London or US/UK Milan team. Italian corporate, Golden Power, employment and tax sit with the independent. Legal 500 Italy Private Equity Tier 1 is the private-practice map of who those funds instruct: independents (BonelliErede, Chiomenti, Gatti Pavesi Bianchi Ludovici, Gianni & Origoni, Legance, PedersoliGattai) on the same table as Cleary Gottlieb and Latham & Watkins. The table is not a promise that the independent’s associate will see the English-law slice.

ECLA’s 2024/25 yearbook notes that in Italy, as in Belgium and France, company lawyers were not permitted bar admission in the same way as in the UK, Germany or the Netherlands, and that Italian law does not recognize legal professional privilege for in-house counsel in the same way as solicitor-client privilege. That structural fact is why inbound English-law files stay with outside counsel. It is also why a chief legal officer who wants a privileged English-law opinion does not look to the in-house team, and does not look to an Italian independent that cannot sign the opinion, and does look to an SRA-regulated body. Latham & Watkins Milan, Corso Matteotti 22, is presented as connecting global private-equity firms, investors, financial institutions and multinationals with opportunities in Italy; the footer states the office is Latham & Watkins (London) LLP, authorized and regulated by the Solicitors Regulation Authority, SRA No. 203820. Chambers Europe 2025, quoted on that page, records UK and US law capability and US-qualified lawyers based in Milan. Chambers Global 2026, International & Cross-Border Capabilities — Italy, Band 1, describes Clifford Chance Milan and Rome as a popular choice for cross-border work “due to its notable English law expertise,” serving clients on complex inbound and outbound matters, often generated from Italy.

Public desks create a third buyer, and they still do not staff the uncovered seat. The Golden Power office at the Dipartimento per il coordinamento amministrativo of the Presidency of the Council coordinates special powers under D.L. 21/2012 and implements EU Regulation 2019/452. The Comitato Attrazione Investimenti Esteri at MIMIT sits with MAECI, MEF and the regions; ICE and Invitalia sit permanently. MAECI records 23 ICE FDI desks abroad. Substitute powers for productive investments run above 25 million euro. Invest in Italy lists the industrial map — automotive, life sciences, semiconductors, logistics, aerospace, ICT, greentech, agrifood, fashion, chemicals. Those files generate Italian-law public-law and incentives work. They do not hire the alliance’s English-law associate. The Avvocatura dello Stato and the elenco speciale of lawyers employed in public-entity legal offices under Law 247/2012 art. 23 are in-house public seats, not the desk this page is about.

We send the English-law SPA to the Milan office that is actually SRA-regulated. The independent gets Golden Power and the local corporate.
A general counsel at a listed industrial, on routing

A general counsel, chief legal officer or head of legal is buying two products. Alliance membership at the independent does not merge them.

  • English-law inbound paper. SPA, LMA facility, LCIA clause, English-law opinion. Routed to an SRA-regulated Milan office or to London. Privilege and signature sit there.
  • Italian mandatory overlays. Golden Power notification and pre-notification, employment on the Italian target, local corporate, tax. Routed to the independent, often the same independent that joined the network.
  • Repeatable in-house work. After closing, the portco or issuer head of legal takes housekeeping. ECLA’s privilege observation is why the English-law slice does not follow it in-house.
  • Public-law screens. CAIE / ICE / Invitalia project work and Golden Power cooperation with Brussels. Italian and EU public law, not England and Wales.

Chiomenti’s Work-with-us page asks for excellent university results and advanced languages. It does not ask for an England-and-Wales practicing certificate.

  • The labels that hire. Corporate/M&A, Private Equity, Banking and Finance, Capital Markets, Arbitration, Tax, Golden Power / public law. ADVANT Nctm, Chiomenti, PedersoliGattai and GPBL all publish some version of that list.
  • The credential that hires. Italian avvocato, fluent English, often a funded LL.M. or a “Legal English” course. English as a language. Not English law as a title.
  • The secondment that is offered. ADVANT: Berlin, Düsseldorf, Frankfurt, Munich, Paris. BonelliErede: CNF-accredited seminars and secondments at firms in other countries and at companies. Continental or in-house time, not an SRA seat.
  • The vehicle that does not change. The employer remains an Italian società tra avvocati under Law 247/2012 art. 4-bis. ADVANT is a Verein wrapping independent entities. Lex Mundi is a membership organization. None of those forms is an SRA-authorized body.
05 The credential gate

Brexit shut the cheap path. The memorandum has not opened a new one.

From 31 December 2020 a UK title no longer rides Directive 98/5 into the Milan special section. Network membership does not reopen that door.

The CNF–Law Society memorandum, as reported by Il Dubbio on 26 June 2025 quoting the text, states the cut-off without romance: after the United Kingdom left the single market and customs union on 31 December 2020, lawyers qualified in the United Kingdom no longer enjoy the rights of establishment and cross-border provision of services regulated by EU law. Activities they perform in Italy are not classifiable as the exercise of the Italian legal profession, save sitting the Italian bar exam under Law 247/2012 art. 17. Legislative Decree 96/2001, which implements Directive 98/5/EC, therefore no longer covers a solicitor of England and Wales as an avvocato stabilito. An independent that joins a network with a London member cannot park a UK solicitor on the Milan inbound desk via the special section of the local bar.

What the memorandum offers instead is a commitment. Il Sole 24 Ore NT+ Diritto, 27 June 2025, records a document signed at the CNF inside the EU–UK Trade and Cooperation Agreement: Italian avvocati may continue non-contentious work in England and Wales on Italian, EU and international law under the home title; the CNF undertakes to promote a Special Register of Foreign Legal Consultants so UK lawyers can advise on English and international law under the home title; Italian lawyers with at least two years’ experience “will be able” to become solicitors by passing only SQE1; the professions will encourage cooperation. Il Dubbio adds the operational sketch: a special list at each local Order, covering solicitors, barristers and advocates from England and Wales, Scotland or Northern Ireland, for consultancy, arbitration, conciliation and mediation, with a parallel title Consulente Giuridico Straniero. The same text records the CNF’s commitment “to support the introduction of legislation.” Until Parliament and the Orders open that register, the independent cannot hire a UK-qualified consultant onto a regulated Italian seat. The SQE1-only path is an aspiration. SRA pages still describe individual exemptions, not an agreed Italy deal.

SQE replaced QLTS from 1 September 2021. Individual SQE1 exemptions have been rare: the SRA records one granted since 2021 on the individual-exemption page. Italy is not on an agreed-exemption drop-down (SRA exemptions page, last updated 21 July 2026). The dual-qualification project for an Italian associate who was told to wait for alliance work is a multi-year SQE campaign, not a network onboarding. The cheap years to sit it are years 3–8: enough Italian PQE to be useful on the independent’s live files, young enough to take two assessments. ADVANT’s published secondment map does not substitute for SRA authorization.

The Milan Order’s own forms make the remaining Italian path visible: inscription as avvocato stabilito, transfer onto the special section, a declaration of joint practice, inscription as avvocato integrato after three years of effective and regular practice of Italian (including EU) law, and the special list of public-entity lawyers under Law 247/2012 art. 23. Court work by an established lawyer still requires acting jointly with an Italian avvocato (CNF). The Order does not publish a 2025 headcount of the Milan established-lawyer section on the pages; the figure is omitted rather than guessed. Law 247/2012 art. 15 still requires each Order to keep that special section. Keeping a list is not staffing a desk.

Two arbitration reforms raised the value of the title the independent still cannot put on the letterhead. Legislative Decree 149/2022, in force for proceedings from 30 June 2023, rewrote art. 822 of the code of civil procedure: when arbitrators decide according to law, the parties may indicate a foreign law as the law applicable to the merits. Camera Arbitrale di Milano registered 198 new requests in 2025, up 47 percent from 135 in 2024, with more than 1.89 billion euro in dispute; 19.2 percent of disputes involved at least one foreign party (CAM annual figures as reported 19 June 2026). That international slice is the portion most likely to need dual-qualified counsel. Corte di Cassazione, Sez. I, n. 8911 of 4 April 2025, as reported on the same page, confirmed that an arbitration clause in an Italian company’s bylaws may place the seat abroad, provided the entire tribunal is appointed by a third party; parties may then adopt a foreign procedural law consistent with New York Convention due-process principles. Italian corporates with foreign shareholders can send corporate disputes to Geneva, ICC or LCIA. Demand rises for counsel who can sit in both CAM and foreign-seated English-law cases. Without that seat, the file still leaves.

The UK Arbitration Act 2025 received Royal Assent on 24 February 2025; the remainder came into force on 1 August 2025 (S.I. 2025/905). GOV.UK, in the Royal Assent release, put at least 5,000 domestic and international arbitrations a year in England and Wales, at least £2.5 billion in fees, and a UK legal sector of £34 billion on 2022 figures. The Law Commission chair framed the Act as bolstering the primary position of English law globally. LCIA registered 362 referrals in 2024, of which 318 were LCIA-Rules arbitrations; 95 percent international; parties from 101 jurisdictions; English-law merits down from 83 percent in 2023 (LCIA 2024 Annual Casework Report, published 3 July 2025). Rome I (Regulation 593/2008) continues to let parties choose English law for Italian-connected contracts after 17 December 2009, limited by mandatory rules, overriding mandatory provisions and public policy (Chambers Practice Guide 2025, Italy). Inbound investment and finance documents can be English-law even when the target is Italian. Golden Power and employment remain Italian mandatory. That is the demand the vacant desk would capture. It is also why a head of legal at a foreign-owned Italian subsidiary still needs two counsel, not one alliance logo.

06 The inbound cycle

The fee pool the brochure pointed at got thinner. Italian-law M&A did not.

Inbound value halved in 2025 while deal count held. Domestic work nearly doubled. The associate who waited for English-law alliance tickets waited for the wrong queue.

KPMG Corporate Finance, in a Milan release dated 23 December 2024 (data to 15 December 2024), counted 1,369 completed Italian M&A deals and about 73 billion euro of value. Cross-border was 86 percent of value: foreign-on-Italy 417 deals and 34.8 billion euro; Italy-on-foreign 246 deals and 28 billion euro. Domestic deals exceeded 700 and 9.8 billion euro. A year later the same desk, in a 23 December 2025 flash, counted 1,351 deals and 69.8 billion euro. Foreign-on-Italy stayed near 420 deals and fell to 18.9 billion euro, a 48 percent drop on the prior-year inbound value the flash restated at 36.2 billion euro. Domestic value nearly doubled, to about 38 billion euro from 13.3 billion euro. Cross-border share of value fell to 46 percent. The referral desk’s English-law fee pool shrank even if the alliance brochure did not. The independent’s Italian-law corporate seats stayed busy.

That is the cyclical half of the vacant-seat problem. ICE, citing UNCTAD in L’Italia nell’economia internazionale 2024–2025, recorded a 24 percent drop in Italy’s 2024 FDI inflows against an 11 percent drop in global FDI. Banca d’Italia, in statistics dated 19 February 2026, recorded inward direct-investment flows of 24.835 billion euro in the 2024 calendar year, against outward flows of 42.329 billion euro. AIFI, with PwC, on 23 March 2026: fundraising 3.570 billion euro, down 46 percent from 6.673 billion euro in 2024; amount invested (private equity, venture and infrastructure) 11.610 billion euro, down 22 percent from 14.903 billion euro; number of investments up 21 percent to 887. Fewer English-law inbound tickets even at firms that have the desk. At independents, the brochure over-promised against a shrinking inbound pool while domestic Italian-law work expanded.

Completed Italian M&A value, inbound versus domestic, as KPMG published it in the year-end flashes. Foreign-on-Italy value is the fee pool an English-law inbound desk would touch. Domestic value is the Italian-law work the independent already staffs.

Golden Power is the Italian-law workstream that did explode, and it is the work alliance referrals actually produce. The Relazione to Parliament on 2025 activity, presented 30 June 2026 and reported 20–21 July 2026, counted 903 notifications, up 37 percent, plus 178 pre-notifications. Special powers were exercised in 46 cases (2 oppositions, 29 conditions, 15 constrained 5G plans). Pre-notification closed 86 percent of those files without a full notification. MIMIT ran 335 investigations, the busiest ministry. Defense-sector notifications were 154, against 55 in 2023 (MilanoFinanza, reporting the same Relazione). D.P.C.M. 133/2022, in force 24 September 2022, had added the pre-notification path. EU Regulation 2019/452, in force 11 October 2020, made the office a European cooperation desk as well as a Roman one. An Italian-qualified public-law or corporate associate can staff this immediately. It is not the English-law SPA.

Legge 5 March 2024 n. 21, in force 27 March 2024, and implementing D.Lgs. 27 March 2026 n. 47, published in the Gazzetta Ufficiale on 14 April 2026, rewrote pieces of TUF and company law. That is more Italian capital-markets work for independents and for in-house counsel at issuers, against a listed population that shrank in the same CONSOB year. It is not the English-law inbound desk unless the listing is dual or the SPA is English-law. Cassa Forense / Censis, in the 2026 report as carried by Il Sole 24 Ore, recorded AI use among lawyers rising from 27.5 percent to 55.3 percent in one year, 70.3 percent among those under 40. Productivity pressure on junior Italian-law seats. It does not substitute for an England-and-Wales title on an inbound SPA.

MAG’s 2025 club is the Italian-law platform at scale. The LC Best 50 produced an estimated 4.082 billion euro, up 8.9 percent like-for-like, on 12,512 professionals. The top 10 produced 2.4 billion euro, 58.5 percent of the 50. The “club 200” — brands above 200 million euro — rose from one member in 2021 to seven in 2025, of which four are Italian independents (Chiomenti, BonelliErede, Legance, Gianni & Origoni). Five-year growth of the club: 40.1 percent. Ninety percent of the 50 grew. That is a healthy Italian-law industry. It is not evidence that alliance membership staffed English law. Chiomenti’s MAG row moved from 456 to 478 professionals on a 20 percent revenue rise. Gianni & Origoni sits at 208 million euro on 432 professionals in MAG 2025; Chambers Europe 2026 bands the network at 490 lawyers including offices abroad, with London at 165 Fleet Street. Band the independent’s international office network in the 430–490 range and treat the London node as a relationship office. The profiles do not publish an English-qualified headcount. This article does not invent one.

On the same MAG 2025 table, Latham & Watkins produced an estimated 100.38 million euro on 82 professionals, 1,224,146 euro per professional. ADVANT Nctm produced an estimated 101.9 million euro on 374 professionals, about 272,000 euro per professional. Chiomenti produced 264 million euro on 478 professionals, about 552,000 euro per professional. Legance produced 218 million euro on 434 professionals, about 502,000 euro per professional. BonelliErede produced 258.5 million euro on 581 professionals, about 445,000 euro per professional. Same city, same year, two products.

07 How to read the seat

Ask to see the English-law file. Then decide whether to wait.

Counter-offer incidence on Sartori's Milan associate line is 36 percent; the median offer-to-acceptance is 12 working days. The uncomfortable number sits inside the same closed-search book.

Of 23 closed Milan associate searches over three years, 11 were corporate, private-equity or banking associate seats at Italian independents. Eight were in-house associate or counsel seats reporting to a general counsel, chief legal officer or head of legal. Four were associate seats at US or UK Milan offices. Six of the 23 required a rebuilt shortlist after the first round was framed around alliance exposure that did not survive a file review. That last figure is ours, and it does not flatter the method: we wrote briefs that treated network membership as English-law capability, then had to start again when the kickoff files were Golden Power packs. On 4 of the 11 independent-firm associate seats, the documents shown at kickoff were Italian-law. The English-law SPA the hiring committee had described was already sitting with a US or UK Milan office.

Two composites, same Milan associate book, no names. An Italian independent that had joined a continental Verein opened an associate search for “English-law inbound referrals.” The first shortlist was built on bilingual corporate CVs and a secondment to a German member. At week three the only live files were Golden Power pre-notifications and an Italian SPA. We rebuilt the brief as an Italian-law corporate / public-law associate seat. It filled in 9 weeks, inside the 6-to-12-week band. The English-law desk was not created. A second search: a year-6 associate at a MAG-top independent who had been told to wait for best-friends files took an offer from an SRA-regulated Milan office. The independent made a stay-put counter-offer. The candidate signed with the SRA office on day 12, matching the Milan associate median. The counter could not show an English-law file. It could show more Italian-law origination credit. That was not the product the candidate had been asked to wait for.

A third composite sat on the in-house side of the same 23. A PE portfolio-company head of legal needed someone who could read an English-law SPA and run the Italian target work. The English-law paper stayed with the sponsor’s London counsel. The hire came off an Italian independent’s corporate desk and reported to that head of legal. Time-to-fill was 11 weeks. Completion sat inside the line. The uncovered alliance desk was never the brief. The in-house seat was.

The uncovered desk sits in the MAG sample, is sold with the language of the local bar, and is staffed — when it is staffed at all — on an SRA-regulated Milan floor. If you are going to wait, wait on a file you have seen. If you are going to move, move for a product, not for a logo. The adjacent piece on leaving an Italian independent for an international platform is the curriculum for that move. This page is the curriculum for staying, or not, when the independent’s strategy is a network.

Cassa Forense / Censis, in the 2026 report as carried by Il Sole 24 Ore, stated that 66.2 percent of Italian lawyers run a solo practice, but only 42.4 percent of those under 40 do. The business-law associate at a MAG independent is already on the organized side of that split. Alliance membership does not move that associate onto an English-law floor.

Quiet conversations on this split are the work. Explore on a no-names basis. A specialist search that never circulates materials without consent protects the current seat while you test whether the product exists. The Milan associate line is associate search in Milan; in-house seats that report to a general counsel sit on in-house counsel recruiting. How we coin a city cohort is on the methodology page. The platform-change curriculum, when the honest next step is a US or UK Milan office rather than a longer wait, is what really changes when you leave an Italian independent.

Common questions about Italian independents and international alliances

Does a law firm alliance staff English-law work for a Milan associate?

No. Membership changes the brochure, not the practicing title on the Milan floor. A general counsel still sends the English-law SPA to an SRA-regulated Milan office or to London; the independent keeps Golden Power and local corporate. Sartori closed 23 Milan associate searches over three years on that split, not on a staffed English-law inbound seat inside the independent.

What does a law firm network change for a Milan associate's promotion clock?

Almost nothing on the clock itself. Lex Mundi, TerraLex and Meritas are referral geographies; they are not SRA bodies and they do not rewrite an Italian società tra avvocati. MAG's 2025 Italy table still prices those platforms as Italian-law products: ADVANT Nctm at about 272,000 euro per professional against 1,224,146 euro at Latham & Watkins on the same table. Promotion still turns on Italian-law origination, Golden Power notifications and local corporate. A secondment to a French or German member is continental civil-law time, not an England-and-Wales seat.

Is a law firm merger the same strategic option as an alliance?

No. A 2024 Italian combination scaled headcount without creating an English-law floor. PedersoliGattai began operations on 1 January 2024 with more than 350 lawyers and sits in Legal 500 private-equity Tier 1. MAG 2025 puts the combination at 150 million euro on 443 professionals. Scale is real. The uncovered inbound desk is not. A candidate who treats a domestic combination as a substitute for SRA authorization is reading a headcount line as a product line.

Where do a general counsel and a chief legal officer actually send English-law inbound files?

To an SRA-regulated Milan office or to London. Latham & Watkins Milan is Latham & Watkins (London) LLP, SRA No. 203820; Chambers Global 2026 Band 1 for Clifford Chance in Italy cites notable English-law expertise on inbound and outbound matters. CONSOB counted 185 EXM issuers at end-2025. Those issuers' general counsel instruct Italian-law local counsel at the independent and keep English-law paper with the house that can sign it. ECLA's 2024/25 yearbook records that Italian law still does not treat in-house privilege as solicitor-client privilege, which is one reason the English-law slice stays outside.

Can I wait for the CNF and Law Society register before moving?

Not as a 2026 staffing plan. The memorandum signed on 26–27 June 2025 is a commitment to promote a Foreign Legal Consultant list and an SQE1-only path; it is not a live register and not SRA architecture. Directive 98/5 establishment for UK titles ended on 31 December 2020. SQE replaced QLTS from 1 September 2021, and Italy is not on the SRA agreed-exemption list as of 21 July 2026. Waiting for a statute that has not been introduced is how a year-6 associate loses the window to sit SQE while the inbound fee pool is already thinner.

Should I leave the independent for a US or UK Milan office instead?

Only if you want the English-law product the independent cannot staff. Of 23 closed Milan associate searches over three years, 4 were associate seats at US or UK Milan offices; 11 were at Italian independents. The international office pays for a dual gate — Italian avvocato plus SRA solicitor or Registered Foreign Lawyer — not for alliance vocabulary. If your book is Italian Golden Power, employment and target corporate, the independent remains the right floor. Read the adjacent platform-change piece before you treat letterhead as a promotion.
