Tokyo 2026 versus Hong Kong: who is hiring, at what pay, and which seats stay empty.

A general counsel paying a Tokyo lawyer, and a lawyer earning the 2026 figure, are looking at the same dated split: a larger local bar than Hong Kong, a thinner foreign-lawyer register, public M&A instead of an IPO boom, and gaiben chairs that the statute does not fill.

The legal market Tokyo, counted against Hong Kong.

On 1 September 2026 the Japan Federation of Bar Associations counted 24,382 attorneys on the three Tokyo bars. The Law Society of Hong Kong on 31 August 2026 counted 12,160 solicitors with practicing certificates. Sartori maps about 5,000 lawyers in Hong Kong. Local stock is not the constraint. Foreign-qualified seats and public listings are.

Lens 01 · Foreign-lawyer inversion Hong Kong holds the foreign-lawyer register. Tokyo holds the local bar.

The Law Society of Hong Kong counted 1,785 registered foreign lawyers on 31 August 2026. The Japan Federation of Bar Associations counted 583 gaiben on 1 September 2026. Three times the foreign-qualified stock, on a smaller local roll.

Tokyo is the larger local bar. Hong Kong is the larger foreign-lawyer bar. Pay and empty seats follow that split. JFBA, JILA, JPX, HKEX and FSA texts below.

About nine in ten Japan-registered gaiben sit on a Tokyo roll (534 of 583 on the Japan Federation of Bar Associations 1 September 2026 membership table). That is bar of registration, not a vacancy count, and it is still a thin layer against Hong Kong’s foreign-lawyer stock.

The Japan Federation of Bar Associations roll counts natural-person bengoshi and gaiben. It is not headcount at Tokyo offices of international firms. Chambers Global 2026 firm-supplied figures — Nishimura & Asahi 950+ lawyers, Mori Hamada 868 — sit on a different instrument and are not added to the roll.

02 Buyers

Who is hiring: in-house desks and law firms Tokyo actually instruct.

A general counsel filling a Tokyo seat is not shopping a general capital-markets boom. The live buyers are in-house departments that already hire, domestic M&A bengoshi, a thin gaiben layer inside joint enterprises, and a 2026 public-term overlay.

Tokyo three-bar in-house stock on the Japan In-house Lawyers Association table is the 3,130 already on the opening census: Tokyo Bar 1,197, Dai-Ichi Tokyo 989, Dai-Ni Tokyo 944. In-house hiring in Tokyo is deepening at desks that already hire.

JILA’s definition is officers or employees of companies and other non-state bodies who register the corporate address as their law-office address. It excludes gaiben and most seconded foreign-qualified lawyers. A chief legal officer reading that table as a vacancy list will overstate supply. A lawyer reading it as a map of who pays in-house yen will not.

National in-house attorney stock at each June point, Japan In-house Lawyers Association, July 2026 release. Tokyo three-bar share is the 3,130 already in the opening table, not restated here.

JILA, 企業内弁護士数の推移, as of 30 June each year; July 2026.

JILA, 企業内弁護士を多く抱える企業上位20社, 30 June 2026.

Employer types on that table are the actual Tokyo in-house buyers: platform and internet groups, sogo shosha, trust banks and megabanks, broker-dealers, a US-tech Japan subsidiary, telecom, and a manufacturer.

The in-house bench is younger and more female than the national roll, and the public overlay is live in 2026.

JILA’s 2026 mix, restated with the top-20 table, puts the 60th-term cohort at 2,067 people (55.0 percent of in-house) and the 70th-term at 1,147 (30.5 percent). Female share is 40.9 percent against about 21 percent of all Japan Federation of Bar Associations attorneys. Public role labels are not a JILA census; landscape practice is a 法務部 / 法務室 seat at those employer types, plus a smaller general-counsel layer at the largest desks.

Public desks are a separate buyer. The Japan Fair Trade Commission Secretary-General, on 25 February 2026, said recruitment of term attorneys had opened on 20 February 2026 covering headquarters divisions and, for the first time, regional offices, on the Antimonopoly Act, the rewritten subcontracting statute, the Freelance Act and the Smartphone Software Competition Promotion Act. The Financial Services Agency still lists Tokyo assistant-director-class attorney term posts; the Securities and Exchange Surveillance Commission posted a Chiyoda-ku investigator seat on 30 January 2026 requiring Japanese nationality. The White Paper 2025 overlay is 276 term-appointed public servants on the attorney roll as of 1 June 2025, before that 53-person round.

Domestic M&A instruction is a bengoshi market. International M&A is a gaiben-plus-bengoshi team, with a thin registered layer.

Chambers Global 2026, Corporate/M&A: Domestic — Japan, puts Mori Hamada, Nagashima Ohno & Tsunematsu and Nishimura & Asahi in Band 1. Chambers Asia-Pacific 2026, Corporate/M&A: International — Japan, puts Morrison Foerster in Band 1, with White & Case Law Offices (Registered Association), A&O Shearman and Herbert Smith Freehills Kramer in Band 2. Chambers Asia-Pacific 2026 Capital Markets: International: Asia and Euro Markets — Japan puts Clifford Chance and Linklaters Tokyo in Band 1. Those are instruction-market labels. They are not vacancy counts, and they are not a TSE IPO factory.

Anderson Mori & Tomotsune’s own About Us page, as of 1 September 2026, states 675 Japanese-qualified lawyers and 82 non-Japanese-qualified lawyers, including 15 Gaikokuho-Jimu-Bengoshi. Most foreign-qualified lawyers in that Tokyo platform are not on the gaiben register. Japan Federation of Bar Associations White Paper table 1-4-3, filings as of 1 April 2025, records 2,191 employed bengoshi against 121 employed gaiben in joint enterprises nationwide, with 11 registered foreign-lawyer corporations. The live vehicle is the joint enterprise. The unused vehicle is the joint corporation.

In-house hiring in Tokyo is deepening at desks that already hire.
On who pays
03 Pay

Two dated pay instruments, and a seat they do not describe.

A lawyer earning the 2026 Tokyo figure, and a general counsel paying it, need the year and the instrument in the same breath. Mash a national yen survey into a US-firm dollar scale and both readers are misled.

The Japan Federation of Bar Associations’ 2023 attorney-activity survey, excerpted in White Paper 2023, put median revenue at 15 million yen among 1,954 respondents and median profit at 8 million yen among 1,839, with 75th-term lawyers excluded as an incomplete year. Note 4 on the comparison table states that the year is the survey year and that income and profit are the previous year’s. It is a national mixed sample of solos, small firms and employed bengoshi. It is not a Tokyo Big Four lockstep, not a gaiben scale, and not an in-house salary survey.

Two dated instruments. They do not describe the same seat. A newly registered bengoshi reading the under-five-year median as an international-firm offer will underprice the US-scale office and overprice the national mixed sample. A chief legal officer using the same median to budget a listed-company head of legal will understate what a bilingual public-M&A counsel actually costs on the panel, and will still not have an in-house cash band — none is sourced here.

04 Gaiben versus bengoshi

The empty seat is a gaiben chair the statute does not fill.

Bengoshi seats in public M&A and in-house legal are the 2026 demand line. Gaiben seats stay empty because Japanese-law agency is reserved, the joint-corporation vehicle has no members, and the registered layer inside joint enterprises is thin.

Home-country lawJapanese-law agency

  1. Gaiben, on home law Ministry of Justice approval and bar registration. Advice on the original qualification country. International arbitration seated in Japan is allowed. Japanese-court agency is not.
  2. Bengoshi, on Japanese filings National bar examination, judicial apprenticeship, local-bar registration. FIEA, Companies Act and Japan Fair Trade Commission mandates sit here. In-house 法務部 seats sit here.
  3. Joint enterprise, not joint corporation The live Tokyo international office is a foreign-law joint enterprise or registered association: a thick bengoshi base, a thin employed-gaiben layer. The 2022 corporate vehicle that would mix partners in one Japanese-law entity is unused.

Gaiben still cannot act as Japanese-court agents. The Japan Federation of Bar Associations’ own explainer, and the current text of the Act on the Handling of Legal Services by Foreign Lawyers, require a foreign-lawyer qualification plus three or more years of post-qualification experience in the home jurisdiction, then Ministry of Justice approval and registration via a local bar — Tokyo, Dai-Ichi Tokyo or Dai-Ni Tokyo for almost every Japan-registered gaiben. Reciprocity can block approval. Registration papers include two recommenders. Scope is home-country law, and designated third-country law if approved. A gaiben cannot act as agent on filings to administrative agencies.

That ceiling is why a general counsel cannot payroll a gaiben as Tokyo tender-offer counsel of record after 1 May 2026, and why a foreign-qualified associate in a Marunouchi joint enterprise is often not the 15-person registered layer. The empty seat is a gaiben chair in a Japanese-law vehicle that has no members.

Across 250 structured interviews with Hong Kong in-house counsel and general counsel, 71 of 94 respondents sitting inside listed-company or financial-institution legal departments over a 24-month window named Tokyo as a harder foreign-qualified hire than Hong Kong for the same home-law seat. Of 88 general counsel and heads of legal in that same cohort over the same window, 62 said they would not approve a Tokyo deputy who could not sign Japanese-law filings. The mapping of Hong Kong coverage is a separate fact, already in the opening lead; the interview read is the constraint on the Tokyo spec.

The empty seat is a gaiben chair in a Japanese-law vehicle that has no members.

05 Statutes

The 2026 demand stack is public M&A, not a public IPO lockstep.

METI's takeover guidelines, the 1 May 2026 FIEA rewrite, Growth listing-maintenance, Prime English disclosure and a private-equity take-private cycle keep listed boards and Tokyo M&A bengoshi busy. HKEX still absorbs the IPO counsel Tokyo is not hiring.

The Ministry of Economy, Trade and Industry formulated the Guidelines for Corporate Takeovers on 31 August 2023. On 30 July 2026 it published an Interpretation, Key Points and Q&A and stated that the 2023 Guidelines are maintained unchanged. A high price is not automatically the desirable proposal; corporate value is a discounted-cash-flow concept; boards may support the value-enhancing proposal over the highest price if they remain accountable to shareholders. Hiring consequence: mid-to-senior public-M&A bengoshi and listed-company general counsel through 2026 and 2027, including unsolicited-offer defense. Gaiben seats stay empty on Japanese-law board advice.

Recof, via MARR’s 2025 review, recorded 5,115 Japanese-company M&A deals and 35.7 trillion yen in calendar 2025, against 4,700 deals the year before. The split was IN-IN 4,086 deals / 11.2 trillion yen, IN-OUT 657 / 18.2 trillion yen, OUT-IN 372 / 6.2 trillion yen. First-half 2026, on the same Recof census, ran 2,647 deals (a record first-half count) and 18.2381 trillion yen, down 20.1 percent on value after 2025’s large outbound tickets: IN-IN 2,106, IN-OUT 309, OUT-IN 232. Domestic and inbound M&A bengoshi stay the 2026 demand line. Outbound is not the growing count. The Japan Fair Trade Commission accepted 458 merger notifications in FY2025 (1 April 2025 to 31 March 2026), up from 437 in FY2024 — a subset of that Recof census, not a second deal count.

Bain & Company, in a Tokyo press release on 29 June 2026 on its Japan Private Equity Report 2026, put 2025 exit value at a record 2.4 trillion yen, the fifth consecutive year of deal value above 3 trillion yen. Competitive take-privates in 2025 frequently involved premiums of 60 to 80 percent, on Bain’s characterization. That is a deal-value series, not a lawyer headcount. It is why a PE-backed inbound buyer still needs Tokyo TOB bengoshi after 1 May 2026, and why a gaiben partner stays on the English-law fund documents.

Tokyo Stock Exchange Growth continued-listing rules were amended on 8 December 2025; the market-cap test itself applies from 1 March 2030: 10 billion yen or more at fiscal year-end after five years from listing, against 4 billion yen after ten years. Tokyo Stock Exchange, in a 28 April 2026 update of its March 2023 cost-of-capital request, and in a Listing Department status PDF as of 31 July 2026, recorded Prime disclosure at 94 percent (1,464 of 1,551 companies, including “under consideration”) and Standard at 57 percent (887 of 1,559). Prime English disclosure has been an effort-plus-mandatory regime since 1 April 2025; issuers already listed on Prime before that date that filed the prescribed timing form took the mandatory rule from 1 April 2026. Bilingual timely disclosure is a 2026 in-house and capital-markets-bengoshi file. It is not a gaiben file.

JPX Monthly Headlines for December 2025 recorded 46 new listings on TOKYO PRO Market inside the 105 TSE total, about 40 percent of new listings from outside Tokyo, and four with initial market capitalization above 100 billion yen. HKEX Insight on 29 April 2026 put first-quarter 2026 Hong Kong IPOs at 40 and funds raised at HK$110.4 billion, against 17 IPOs and HK$18.7 billion in the first quarter of 2025. The 31 August 2026 HKEX report put the listed-company total at 2,761. Do not staff Tokyo 2026 as if it were Hong Kong ECM.

Public IPO associateThe seat a company can fill

  1. Public ECM stays thin Prime and Growth public-investor listings are not the 2026 Tokyo hiring engine. Professional-market listings are a different product and do not rebuild an IPO lockstep.
  2. Take-private and inbound M&A Listed boards, special committees and Japanese-law TOB counsel of record. The foreign sponsor’s home-law partner stays beside that brief, not on it.
  3. In-house compliance deepens Competition, subcontracting, freelance, bilingual disclosure, FDI notifications, privacy ordinance-writing. The buyer is a 法務部 that already exists, plus a public-term overlay.

FEFTA inward-investment rewrite Promulgated 5 Jun 2026; in force within one year Bengoshi on Japanese prior notifications; gaiben on parallel home-jurisdiction screening
APPI amendment Promulgated 17 Jul 2026; in force within two years In-house privacy counsel from ordinance-writing through go-live — not an immediate 2026 associate spike

The Smartphone Software Competition Promotion Act went fully into force on 18 December 2025 after JFTC designations on 26 March 2025 of Apple Inc., iTunes K.K. and Google LLC. The Freelance and Business-to-Business Transaction Properization Act has been in force since 1 November 2024. The rewritten subcontracting statute has been in force since 1 January 2026. The Foreign Exchange and Foreign Trade Act inward-investment rewrite was promulgated on 5 June 2026 and comes into force within one year of promulgation. The Act on the Protection of Personal Information amendment was promulgated on 17 July 2026 and comes into force within two years. Those last two are ordinance-and-go-live windows, not an immediate associate spike, and they still do not fill gaiben chairs on Japanese filings.

06 The brief

Write the Japanese-law seat before you open the search.

Sartori has worked the Hong Kong in-house line for eight years, covering Tokyo seats that sit on the same Asia book. Over the trailing three years we closed 17 in-house searches on that line, at 93 percent completion, on a typical 4-to-7-month clock. The files that stalled were the ones that asked one person to be bengoshi and gaiben at once.

Of 17 closed Hong Kong in-house searches over three years, 9 were Asia-regional general-counsel or deputy seats whose Tokyo coverage was a stated brief requirement. Of those 9, 4 stalled past the typical 4-to-7-month window when the specification asked for a bilingual Japanese-qualified counsel who could also hold a foreign-law seat — a dual ticket the shortlist could not fill. Those four were recast as bengoshi-only and then closed. That recast is the unflattering number: we did not fill the original spec. Completion at 93 percent is the rate after the recast, not proof that dual-ticket briefs work.

Sartori’s Hong Kong mandate telemetry records a 30 percent counter-offer incidence on that book: 5 of the 17 closed files drew a competing counter. Median offer-to-acceptance is 16 working days. Of 55 in-house M&A counsel in the same interview cohort over an 18-month window, 41 priced Tokyo public-M&A support as a bengoshi panel seat, not a gaiben payroll seat. A general counsel at a Hong Kong-listed inbound investor told us the Tokyo tender-offer counsel of record had to be bengoshi; their foreign-qualified partner stayed on the English-law side. A head of legal at a Japanese megabank’s Asia regional office put it in payroll terms: Tokyo prices in yen and clears in Japanese-law hours.

Two composites, category only

A PE-backed inbound buyer needed Tokyo counsel for a listed take-private that would sign after 1 May 2026. The original brief mixed New York fund documents with Japanese tender-offer agency in one hire. Conflicts screening against the target’s panel ate three weeks. We split the seat: a mid-to-senior public-M&A bengoshi as counsel of record, the sponsor’s existing gaiben on home-law fund papers. Time to fill on the Japanese-law side: five months, inside the 4-to-7-month band. No firm, company or candidate is named here because it is a composite of how those 9 Tokyo-coverage files actually behaved.

A sogo shosha legal department already on the JILA-scale desk needed a competition counsel after the Smartphone Software Competition Promotion Act went fully into force, with subcontracting and freelance work on the same docket. The first specification asked for US or EU digital-markets experience plus Japanese-court agency. That person is the dual ticket. We rewrote the seat as a bengoshi with a Japan Fair Trade Commission or private-practice antitrust book, and kept EU/US parallel advice on the panel. Six months. The head of talent signed off on the recast before the first approach. That sequence is the search, not a failure of the market.

For how the corporate desk runs a mandate when the seat sits on a company payroll, see in-house counsel recruiting. For the scorecard a board uses when the seat is the general counsel, see what companies look for in a new general counsel. For a company building the function rather than adding to one, see hiring your first general counsel. Compensation tables that are not Tokyo locksteps live on the 2026 in-house salary map. What ¥100 million funds as a 2026 general counsel salary Tokyo figure, against the individual-disclosure gate, is on general counsel salary Tokyo 2026. The yen-and-dollar seat count for a Tokyo in-house counsel is on in-house counsel salary in Tokyo, 2026.

07 Questions

What a general counsel and a Tokyo lawyer both ask.

The dated stock, the two pay instruments, the empty gaiben chair, and the clock on the Hong Kong in-house line — answered so either reader can extract a number without the rest of the page.

What does the legal market Tokyo look like in 2026 against Hong Kong?

On 1 September 2026 the Japan Federation of Bar Associations counted 24,382 attorneys and 534 gaiben on the three Tokyo bars. The Law Society of Hong Kong, on 31 August 2026, counted 12,160 solicitors with practicing certificates and 1,785 registered foreign lawyers. Tokyo is the larger local-qualified stock. Hong Kong is the larger foreign-qualified stock, by about three to one on that Japan gaiben register of 583. HKEX, in its 26 February 2026 results, recorded 119 new listings and HK$286.9 billion in 2025; JPX Monthly Headlines for December 2025 recorded 105 TSE new listings, and Deloitte Tohmatsu on 20 August 2026 put public-investor IPOs excluding the professional market at 17 in the first half of 2026.

What dated pay figures exist for a Tokyo lawyer in 2026?

Two instruments, and they do not describe the same seat. The Japan Federation of Bar Associations’ 2023 attorney-activity survey, reporting prior-year amounts, put national median revenue at 15 million yen and under-five-year median revenue at 5.50 million yen (n = 277). Above the Law, on 2 January 2024, reported that Latham & Watkins matched the then Cravath associate scale effective 1 January 2024, with a first-year base of US$225,000 in listed offices that included Tokyo. No 2026 Tokyo matching of that US scale, and no Japanese Big Four yen lockstep, is sourced on this page.

Who is actually hiring lawyers in Tokyo in 2026?

In-house desks that already hire, public-M&A bengoshi, and a thin public-term overlay. The Japan In-house Lawyers Association counted 3,756 in-house attorneys on 30 June 2026, 3,130 of them on a Tokyo three-bar roll, at 1,552 entities — headcount up 160, entities up 13. Recof recorded 5,115 Japanese-company M&A deals in 2025. The Japan Fair Trade Commission opened a 53-person term-attorney round on 20 February 2026. Gaiben payroll seats are not the live req.

Why do gaiben seats stay empty when bengoshi seats fill?

Because Japanese-court agency and Japanese statutory filings are reserved to bengoshi, and the 2022 joint-corporation vehicle still has 0 members. The Gaiben Act requires three or more years of home-jurisdiction experience, Ministry of Justice approval and Japan Federation of Bar Associations registration; gaiben may advise on home-country law and sit in Japan-seated international arbitration, but they cannot act as litigation agents in Japanese courts. FIEA tender offers, Companies Act board advice and Japan Fair Trade Commission filings therefore fill bengoshi chairs. Across 250 structured interviews with Hong Kong in-house counsel and general counsel, 71 of 94 listed-company and financial-institution respondents over 24 months named Tokyo as the harder foreign-qualified hire.

Should a general counsel staff a Tokyo legal desk like a Hong Kong ECM desk?

No. HKEX’s 31 August 2026 report recorded 106 newly listed companies from 1 January to 31 August 2026; the JPX IPO table through August recorded 0 Tokyo Stock Exchange Prime IPOs. Bain & Company, on 29 June 2026, put 2025 Japan private-equity deal value at 4.8 trillion yen with take-privates around half of that value. The 2026 Tokyo brief is public M&A, take-privates, bilingual Prime disclosure and in-house competition — not a Hong Kong-style IPO lockstep.

How long does a Tokyo-covering in-house search take on Sartori's Hong Kong line?

Typical timeline is 4 to 7 months, with a 93 percent completion rate on 17 closed in-house searches over three years and a median 16 working days from offer to signature. Of those 17 files, 9 named Tokyo coverage in the brief; 4 of those 9 stalled past the window when the specification asked for a bilingual Japanese-qualified lawyer who could also hold a foreign-law seat, and were recast as bengoshi-only. Counter-offer incidence on the same book is 30 percent.

The 24,382 / 534 Tokyo three-bar counts and the 0 joint corporations are the JFBA 1 September 2026 roll. The 12,160 / 1,785 Hong Kong counts are the Law Society profile as of 31 August 2026. The 3,756 / 3,130 in-house figures are JILA as of 30 June 2026. Recof measures announced deals involving a Japanese party, not Tokyo-office legal fees. Bain measures PE deal and exit value, not lawyer headcount. Chambers Global 2026 headcounts are firm-supplied, not a census. The JFBA 2023 income table is a national mixed sample of prior-year amounts. Latham US$225,000 is a 2024 base for that firm's associates in listed offices including Tokyo, not a 2026 Tokyo market rate.

Sartori maps lawyer coverage globally at about 1.5 million profiles and has run quarterly market surveys since 2019. The White Paper 2025 March series (46,243 attorneys as of 31 March 2025) is the year-on-year comparable; the September 2026 live roll sits above it because it includes later admissions. How the in-house desk runs is on in-house counsel recruiting. Method notes live on methodology.

For general counsel and boards

Staff Tokyo on the seat that is actually empty.

We map Tokyo-covering in-house and public-M&A seats for companies that have to put a lawyer on the payroll — and we will recast a dual-ticket brief before we waste a quarter on it. Confidential, no obligation.
