Market · In-house property counsel
The 2021 property lawyer is the expensive hire.
Real estate legal demand in Milan did not come back evenly. Logistics, living and the debt book behind offices are buying in-house counsel. Classic development and office leasing are not. This page is for the general counsel who has to write the seat.
Which book is the company actually hiring?
A Milan company that copies a 2021 development-and-leasing brief into a 2026 search for commercial real estate law is buying a book the capital prints have already left behind. Sartori maps roughly 5,000 lawyers in Milan. Cushman & Wakefield’s Milan office Marketbeat for the fourth quarter of 2025 put full-year Milan office investment at about €1.1 billion, below that house’s five-year average. The question for a general counsel is which sleeve returned, and whether the in-house seat still matches it.
BNP Paribas Real Estate’s Italy H1 2026 review records office investment at €720 million, down 49 percent year on year, with Milan at €340 million, down 59 percent. That is the sharpest contraction among the classes that house tracks. A 2021 office spec inherits the disputed sleeve.
The buyer’s question is which book the next counsel will actually paper. The cost of getting that wrong is the rest of this page.

The cost lands when the next asset class turns.
A general counsel does not pay for a bad property hire in the first month. The bill arrives when the book the company actually owns no longer matches the lawyer who was hired to paper it.
We have worked the Milan in-house market for eight years, for real-estate SGR, listed property platforms, operators and corporates with their own books. Of the 17 closed Milan in-house searches over the trailing three years, 11 were living, logistics, hospitality-conversion or SGR-product seats; 4 were office-debt or conversion seats; 2 kept a classic development-and-leasing perimeter. Those two ran to the long end of a 4-to-7-month fill. The completion rate on the Milan in-house line is 93 percent. The expensive outcome is not a failed search. It is a filled seat whose deal book stopped matching the market.
That mapping is coverage of the market we search, not a claim about who we sat down with. Across the Milan interview cohort, 71 of 88 general counsel and heads of legal sitting at real-estate SGR, listed property companies and corporate property desks over a 24-month window named a 2021 office-development-and-leasing description as a mismatch for the file they actually needed to staff. The same research program — nearly 1.5 million lawyer profiles mapped globally, quarterly surveys since 2019 — is what every Sartori city page draws from. The Milan findings on this page come from that one cohort and from the mandate telemetry above.
A general counsel at a mid-sized Milan real-estate SGR put the cost without a metaphor: the 2021 leasing hire “could paper a Grade B floorplate and could not open a depositary amendment.” That is not a training gap a signing bonus closes. It is a perimeter error. The company had bought a lawyer whose book matched the asset class the capital prints now treat as fragile or conversion-led, and it discovered the error when AIFMD II re-papering landed on the same desk as a logistics closing.
The wider Milan story — international firms, private-equity gravity, the city as a hub — already lives on the Milan strategic-hub piece. Private-equity hiring as a practice has its own 2026 read. This page is narrower. It asks what an in-house property seat must cover when recovery is selective, and what a chief legal officer pays when the specification is not.
2021 leasing deskNext-class desk
- Inventory spec Development leasing, Grade B floorplates, SCIA-with-obbligo towers. Still on 2021 templates. Thin on 2025–26 highlights.
- Selective seat Logistics, PBSA, hospitality conversion, SGR product, prime or conversion office. The live buy for a general counsel.
- Turn risk The next asset class arrives. A seat written to last cycle cannot absorb it without a second hire the company did not budget.
Could paper a Grade B floorplate and could not open a depositary amendment.
Recovery is a composition problem, not a headline.
Four houses printed the same Italian half-year in a tight euro band and told four different year-on-year stories. A head of legal who staffs off one dashboard buys that house's denominator.
The H1 2026 institutional print sits in a €7.0 to €7.4 billion band, depending on the house. That spread is a methodology gap, not a rounding error, and it is the first fact a general counsel should put on the hiring memo. Collapse the houses into one “record half” and the office-versus-logistics split disappears with them.
France commercial investment, H1 2026 (ImmoStat)
Queue-market contrast: +9% versus H1 2025. Greater Paris investment was €3.1 billion, down 18 percent. Composition is not Italy's.
GIE ImmoStat, Q2 2026 results ↗Full-year 2025 is the recovery year that still sits below the 2022 peak on the BNPPRE chart. Cushman & Wakefield, on 12 February 2026, prints a nearby 2025 total of €12.5 billion, up 23 percent, with foreign capital at 58 percent of volumes and concentrated in retail, hospitality and industrial and logistics. Two houses, two perimeters. Neither print is an office-leasing mandate.
Office capital is where the houses disagree on the sign. Dils puts H1 2026 office investment at about €880 million, up 13 percent versus about €780 million in H1 2025. JLL, on 10 August 2026, puts Milan office investment at about €600 million in the half-year, 52 percent of national office volumes, with the prime yield at 4.0 percent. Mixed-use share deals and change-of-use coding move the office print. A chief legal officer who treats one of those figures as “the market” is writing a job description off a coding choice.
The occupier file in Milan is small-plate, Grade A and scarce, not empty. BNP Paribas Real Estate’s Milan office review for H1 2026 records take-up of 142,600 sqm, down 29 percent on area and up 2 percent on deal count across 185 occupier transactions, with average deal size down 30 percent. Prime rent in CBD Duomo printed at €850 per sqm per year, up 13 percent versus the second quarter of 2025; Porta Nuova vacancy sat at 1.8 percent; hinterland vacancy at 16.7 percent. Dils puts the same half-year take-up at about 137,000 sqm, prime rent at €900, and only one deal above 5,000 sqm. JLL’s 10 August 2026 note sits near 134,000 sqm. Cushman’s year-end 2025 occupier stock — a different window — had Milan take-up at about 376,000 sqm and city vacancy at 10.8 percent, with prime rent at €800. A 2021 leasing-heavy book is the wrong map for that file.
Logistics is the sleeve the bars under-weight if a reader only watches 2025. BNPPRE’s H1 2026 industrial-and-logistics print is €1.34 billion, up 66 percent, with Grade A warehouse yields at 5.40 percent and last-mile at 5.10 percent, both unchanged quarter on quarter in the second quarter of 2026. Dils puts Q2 2026 prime logistics rents at €73 per sqm per year in Milan and €72 in Rome and Bologna. That is a portfolio-acquisition and last-mile legal file, not a speculative office development file.
Living carried the other measured sleeve. Dils records about €730 million of living investment in H1 2026, up 69 percent, with student-housing volumes near €300 million, almost triple the prior year. Colliers, as reported by Monitorimmobiliare on 18 March 2026, puts 2025 PBSA investment at about €520 million across 14 transactions, the first year PBSA is 51 percent of living investment on that series. Savills and Colliers do not share a perimeter; do not collapse €450 million and €520 million. Senior housing is named inside living and inside Piano Casa. It is not separately sized on the pages we opened, so this article does not invent a senior-housing euro total.
Retail and hospitality explain why a “CRE is back” headline is not an office-leasing headline. BNPPRE records €2.64 billion of retail in H1 2026, up 113 percent, and €1.00 billion of hospitality, down 24 percent on a strong 2025 base. Dils attributes more than 80 percent of H1 retail capital to two share deals. A trophy high-street ticket is not a development-leasing mandate, and it is not a reason to hire one.
Digital-infrastructure property appears as one line inside alternatives — Dils puts alternative and mixed volumes at about €890 million for the half-year, supported by data-center closings; BNPPRE lists a Bollate development site at about €80 million — and then this page stops. The grid-queue and powered-land thesis belongs to the London data-center counsel piece and to the service pages built on it. Knight Frank’s UK Navigator for the first quarter of 2026 puts UK CRE at £12.3 billion, with living at £3.4 billion, offices at £3.1 billion, logistics at £2.0 billion and data centers at £1.3 billion. That is queue-market context, not a second Milan envelope.
Official Italian transaction counts sit underneath all of this and measure something else. OMI’s first-quarter 2026 note records 231 Milan office NTN, up 25.1 percent, on 48,126 sqm, down 1.0 percent. Idealista, on 4 June 2026, citing the OMI / Assilea Rapporto Immobiliare 2026, puts 2025 non-residential exchanges up 4.9 percent with estimated exchange value above €20 billion, and 2025 leasing contracts at 2,513 for more than €3.2 billion. A head of legal who treats those cadastral counts as institutional deal flow overstates the desk this seat sits on.
Greater Paris, on ImmoStat’s H1 2026 print, took up 750,000 sqm of offices, down 5 percent, with immediate supply at 6,571,000 sqm on 30 June 2026, up 10 percent. France warehouse take-up above 5,000 sqm was 1,448,600 sqm, down 15 percent. Italy and France printed institutional halves in the same €7 billion neighborhood. The composition — and therefore the in-house seat — is not the same. Paris office-leasing work that is still being bought is a tertiary-energy file; it is not this page’s hire.
The buyer sits at the vehicle, not at the ranked firm.
Chambers and Legal 500 measure who a general counsel buys for overflow. They do not measure who puts a property lawyer on the payroll.
At 31 December 2025, Scenari Immobiliari’s 48th report, as reported on 9 and 18 June 2026, counted 700 Italian real-estate funds and 61 SGR, with direct property assets of €144.5 billion. Those managers bought €3.1 billion of property in 2025 and sold €2.2 billion, with offices about 64 percent of outgoing exchanges. That stock is the headcount denominator for the core Milan desk: one legal function per manager, often covering the SGR and every fund it runs.
In that same cohort, 54 of 67 in-house property counsel employed at Banca d’Italia-authorized real-estate SGR over an 18-month window said product, depositary and investor-governance work already took at least half their week. A head of legal at a northern-Italian logistics-and-living operator described the next asset-class turn as costing “twelve months of the wrong lawyer, not a failed offer.” The ranked Real Estate and Construction table remains the external bench. Band 1 on the Chambers Europe 2026 Italy Real Estate page is four full-service houses. Client types on the Legal 500 profiles — insurers, SGR, international managers, hospitality owners, developers, a MEF-owned SGR, pension funds, private-credit-and-real-estate managers — are the employer map. On a 19 March 2026 announcement, Italy also ranks Real Estate: Finance and Public Law: Zoning & Planning as separate seats. A company that writes one “Real Estate Counsel” spec covering all of those labels is buying a 2021 perimeter.
VehicleLegal function
- SGR / AIFM Employed counsel covers the manager and the funds. Litigation and first-of-kind acquisitions go out. The in-house seat sets scope.
- SIIQ / corporate Legal Counsel or Head of Legal inside Corporate and Legal Affairs. Property plus listed-company, 231 and related-party work.
- Public property A legal directorate, a MEF-owned SGR, and the Avvocatura dello Stato. PPP and conferral, not private Grade B leasing.
- Corporate occupier A company with its own book: small-plate Grade A, ESG, conversion, and the security package on the premises it still owns.
Banca d’Italia reserves collective portfolio management to SGR, SICAV and SICAF. Authorization under the TUF requires an S.p.A., an Italian registered office and general management, and minimum paid-in capital of €1 million, or €500,000 for managers of reserved closed-end AIF, or €50,000 for below-threshold managers of reserved closed-end AIF. The Legal 500 comparative guide on Italian real-estate funds, dated 22 April 2026, states that collective real-estate investment is carried out primarily through closed-ended alternative investment funds. DM 30/2015 Article 10 forces real-estate AIF into closed-end form. A real-estate AIF must hold real estate, rights in rem, real-estate companies or other real-estate AIF units for at least two-thirds of GAV, or 51 percent if at least 20 percent is in real-estate-backed securitizations. SIIQ exist under Law 296/2006; adoption has remained very limited. Club deals sit in ordinary companies outside that perimeter.
A listed shopping-center SIIQ published the cleanest employer-authored perimeter we opened: a Legal Counsel seat inside Corporate and Legal Affairs, dated 30 September 2022 and closed. The posting asked for a law degree, at least five years in other real-estate or listed companies or in qualified firms, and a book that mixed leases with procurement, disputes, subsidiary corporate obligations and supervisory-authority filings. It is not a 2026 vacancy count. It is how a listed property company writes the seat: leasing plus listed-company compliance. A 2021 “shopping-center leasing counsel” description that omits MAR, internal dealing, related-party and the SIIQ tax perimeter is the mis-scope.
Public property is a second architecture. Agenzia del Demanio’s Comunicazione Organizzativa n. 05/2026, dated 6 February 2026 and effective 9 February 2026, restated the legal function as a four-unit directorate: the director’s office, legislation and studies, legal affairs, and litigation. Invimit SGR is wholly owned by the Ministero dell’Economia e delle Finanze. Decreto-legge 25/2025, converted by Law 69/2025, inserts a rule that for 2025, 2026 and 2027 public pension or insurance entities destine up to 40 percent of their available-funds investment plan to units of Invimit-managed or Invimit-participated real-estate funds. The MEF page names i3-Core, a fund of funds participated entirely by Inail, with planned investments above €1.4 billion, and i3-Dante – Comparto Convivio at €260 million across 22 predominantly residential assets. Invimit’s 18 August 2026 note records the board resolution to institute Fondo Housing Coesione, the vehicle that can take the €100 million subscription in Decreto-legge 66/2026. That is administrative-law and fund-of-funds counsel, not a private-office leasing associate.
The Milan property seat is a giurista d’impresa. Court work leaves the building.
Legge 31 December 2012, n. 247, Article 18(d) makes the profession of avvocato incompatible with employed work, even part-time. Article 2(6) permits employment for out-of-court legal advice in the exclusive interest of the employer and, if the employer is a company, its 2359 affiliates. Consiglio Nazionale Forense opinions 11 bis of 10 March 2017 and 28 of 26 April 2017, as reported on legal-press pages, treat the giurista d’impresa and the avvocato degli enti pubblici as different statutes. Status as in-house counsel does not authorize ordinary albo inscription. A job spec that requires iscrizione all’albo and full-time employment, without an Article 23 public-office fact pattern, is legally confused.
AIGI, founded in Milan in 1976, defines the giurista d’impresa as operating in the employ of the enterprise. Kiwa Italia certifies three voluntary profiles under UNI EN ISO 17024: Junior, a law degree plus at least 12 months in a legal office; Middle, at least five years; Senior, at least ten years including team coordination. The certificate lasts three years. It is not a license to appear. SGR seats add TUF, AIFMD, DM 30/2015 and RCAM fluency, not a second bar exam. Public seats add the Codice dei contratti and often a concorso.
The ranked Real Estate and Construction bench absorbs overflow, finance and change-of-use. It is not the seat.
Legalcommunity’s in-house awards run a dedicated Real Estate category for teams and counsel; the 2025 edition and the 2024 winners page treat the in-house property desk as a recognized function. The firm-side Legalcommunity Real Estate Awards remain a study-and-avvocato eligibility list. A general counsel buys Band 1–3 firms for a first-of-kind hospitality conversion, a Golden Power notification on infrastructure-hosting sites, or a stadium-scale mixed use. The in-house lawyer writes the brief those firms answer. Confusing the two is how a company ends up with a panel and no scope-setter.
London and Paris run the same buyer types — REITs, funds, occupiers — under different credential gates. A UK solicitor can hold a practicing certificate in employment; that is the opposite of Italy’s Article 18(d) incompatibility. No non-recruiter 2026 London or Paris in-house property pay band sits in the research for this page, so none is printed. Do not import a second-city closed-search count. ImmoStat is the Paris capital context; Knight Frank is the UK capital context.
Twelve months of the wrong lawyer, not a failed offer.
What a 2021 spec misses in commercial real estate law.
The rules that move a Milan in-house property seat in 2025 and 2026 are grant clocks, a closed title path, a product rewrite and a debt book. None of them is a 2021 office-leasing reboot.
Cassa Depositi e Prestiti’s 19 January 2026 Avviso is a grant-and-constraint machine, not a construction subsidy. After the PNRR revision written into Legge 30 December 2025, n. 199, Article 1, commi 884–893, MUR entrusted CDP with the student-housing fund at an endowment of 599 million euro. The Avviso pot is at least €579 million after CDP’s fee. Do not collapse those two figures. The joint target with the 2024 MUR measure is 60,000 beds by 15 May 2027. Applications ran from 20 January 2026 to 29 June 2026 or until the pot was exhausted; the atto d’obbligo to CDP was due 15 July 2026; the grant is paid by 30 June 2027. Gates on the press page: at least 18 new beds per residence; rents at least 15 percent below market; at least 30 percent of beds at a further discount; 12-year predominant student-housing use; Demanio verification as a payment condition. The grant covers part of rent for the first three years of management, not build cost. At least 40 percent of beds are reserved for Mezzogiorno regions. The parallel D.M. 26 February 2024, n. 481 still aims at the same 60,000-bed target on €1.2 billion, at €19,966.66 per new bed, with works on that track finishing 30 April 2026. A 2021 office-development spec does not paper that file.
Decreto-legge 7 May 2026, n. 66, in force 8 May 2026 and converted by Legge 2 July 2026, n. 116, names university students and senior cohousing in the same Article 1. Article 7 creates Fondo housing coesione: the cohesion department may subscribe €100 million in 2026 of units in a fund instituted by Invimit. Senior housing remains a legal label, not a sized capital sleeve. Savills Italy, in the same Q1 2026 spotlight, puts national PBSA stock at about 96,000 beds, a pipeline of 36,000 beds in 103 projects by 2028, and 37 percent of those pipeline beds in Milan, against 2.1 million university students and a national provision rate of 4.6 percent.

Milan planning closed the 2021 development title before any 2026 acquittal. Deliberazione della Giunta Comunale n. 1358 of 6 November 2025 is already on the decoder; the fact a general counsel still misreads is the 16 June 2026 judgment of the Tribunale di Milano, seventh criminal section. Sky TG24 reported that day that all eight defendants in the first urbanistica trial were acquitted because the fact does not constitute a crime. The court’s own note, issued before reasons, said the subjective element was missing because only in recent years had case law reinterpreted ristrutturazione, and because the Comune’s consolidated practice had allowed the title that was in fact issued. That is a mens-rea holding. It is not a restoration of SCIA-with-obbligo as a safe default. Affaritaliani, on 27 July 2026, reporting the variant’s preliminary report, records convenzionati student residences offering at least 30 percent of beds at DSU tariffs, a stop on new buildings in historic courtyards where none exist, and no new data centers, logistics hubs or productive settlements in Parco Nord buildable areas. Those lines are a reporter’s account of a rapporto preliminare, not the adopted variant. Name the data-center stop; do not import a permitting thesis.
Decreto legislativo 13 March 2026, n. 39, published in the Gazzetta on 27 March 2026 and in force 28 March 2026, writes AIFMD II into the TUF. AO Shearman, writing from Milan on 30 March 2026, treats the package as operative from 16 April 2026, with Banca d’Italia and Consob implementing rules by 16 October 2026. GEFIA must pick at least two liquidity-management tools and write them into fund documents. A FIA di credito is a FIA whose strategy is mainly investing in credits or whose notional credits are at least 50 percent of NAV. Leverage caps move to 175 percent open and 300 percent closed. Cross-border depositary sits on a reasoned request and a home depositary market below €50 billion. Reporting measures apply from 16 April 2027. Banca d’Italia’s 27 May 2026 consultation, comments to 11 July 2026, brings credit-granting FIA into banking-transparency and ABF rules. The directive’s 20 percent of capital limit when the borrower is a financial institution or another FIA is not expressly in the decree; AO Shearman flags that a literal cap would hit Italian real-estate-credit files whose borrowers are Italian real-estate FIA. That is analysis of a gap, not a rule yet. Where a credit-FIA loan to an office-holding FIA becomes a workout, the file crosses into special-situations and restructuring counsel. That page owns the distressed depth.
Golden Power still attaches to real-estate-hosted infrastructure. Regulation (EU) 2019/452 Article 4(1)(a), as restated on the RPLT note, lets Member States consider land and real estate crucial for the use of critical infrastructure. DPCM 18 December 2020, n. 179 and DPCM 23 December 2020, n. 180, effective 14 January 2021, list the strategic assets, including dedicated assets for connectivity and control of fixed-access telecom networks. Legge 15 January 2026, n. 4 sequences Golden Power in the financial, credit and insurance sectors after European prudential or merger-control proceedings. That reform does not create a new real-estate notification class. A 2021 CBD leasing spec that never mentions DPCM 179/180 is the mis-scope on a logistics, telecom-site or energy-adjacent file.
The office recovery that is actually hiring is debt and collateral. Average current LTV-C on the AnaCredit stock sat at 55 percent at December 2023. The share of high-LTV loans sat at about 13 percent. A large office-and-commercial price shock in the Bank’s simulation lifts that share above 16 percent; expected-loss increase is described as moderate. When a Milan office mortgage or fund-level facility needs protective measures, new-money priming or a negotiated plan, Decreto legislativo 12 January 2019, n. 14 — the Codice della crisi d’impresa e dell’insolvenza, last updated on the page on 11 August 2026 — is the toolkit: composizione negoziata, piano attestato, accordi di ristrutturazione, PRO, concordato, liquidazione giudiziale. No 2025–2026 Ministry of Justice series isolating commercial-real-estate filings was found, so this page does not invent a filing count. Staff the crossing; do not let this article absorb the sibling’s private-credit thesis.
London and Paris are queue-market formalities, not a second envelope. GOV.UK guidance, last updated 28 May 2025, treats a higher-risk building in occupation as a building with at least two residential units that is at least 18 meters or 7 storeys, with hotels used entirely as hotels out of that occupation regime. The High Court, on 5 June 2026, held a landlord’s good-condition covenant required replacement of category 3 ACM cladding on a 16-storey hotel; the Building Safety Act 2022 did not directly cover that commercial hotel — the lease did (Osborne Clarke, 25 June 2026). In Île-de-France, loi n° 2018-1021 of 23 November 2018 and décret n° 2019-771 of 23 July 2019 set tertiary-energy cuts of 40 percent by 2030, 50 percent by 2040 and 60 percent by 2050 on sites with 1,000 sqm of tertiary floor area, with an annual OPERAT filing at ADEME. Law-firm reading of the 1 August 2025 arrêté, accessed 20 July 2026, treats the attestation as annexed to new commercial leases and sales from 1 July 2026; the official JO page was not retrieved, so that annexation is printed as commentary, not as a Normattiva extract.
Write the sleeve first. Then decide the contract.
A chief legal officer who starts from seniority, albo status or a 2021 template will fill the seat and still miss the file. Start from the asset class the company actually owns.
| Line | 2021 description | 2026 description |

Of the 17 closed Milan in-house searches over three years, 6 required the company to rewrite the specification after the first shortlist. Those six still completed. They consumed the long end of the 4-to-7-month window. Sartori did not catch the perimeter error before the company spent the first cycle. That is the finding that cuts against us: the telemetry records the rewrite, and it also records that we let the original 2021 brief into the market. Counter-offer incidence on the Milan in-house line is 26 percent. Median offer-to-acceptance is 16 working days. Neither number rescues a spec that describes last cycle’s book.
We do not have a dated, non-recruiter, real-estate-specific in-house RAL for Milan, so this page does not invent one. Cassa Forense / Censis, in the Rapporto sull’Avvocatura 2026 presented 29 April 2026, put 2024 mean IRPEF income of Italian lawyers at €51,912, with 61.7 percent below €35,000 and 7.9 percent above €121,900. That is the whole bar, including sole practitioners. It is not a Milan commercial-property-counsel band. MAG’s 2023 business-law firm guide, the last non-recruiter firm table we opened, put a first-year trainee at about €25,000 and a collaborator in the first three years at about €35,000–€40,000. Associate salary bands for the practice live on the matrix salary pages and on the in-house counsel salary guide and the general counsel pay piece. A head of HR who anchors a 2026 property seat to the profession mean is using the wrong denominator.
Three composite files
An SGR that hired the 2021 book. A mid-sized Milan real-estate SGR opened a Legal Counsel search on a development-and-leasing description. The first shortlist could paper Grade B floorplates. Depositary amendments and LMT language could not. The company rewrote the brief in month three around TUF product work and a logistics closing. The seat filled in month six, inside the 4-to-7-month window, after the original perimeter was dropped. The wasted quarter is the cost this page is about.
A living operator on the CDP clock. A northern-Italian operator buying a student residence needed counsel who could paper an atto d’obbligo, a 12-year use covenant and Demanio verification, not a speculative office SPA. The in-house hire was Middle-band: law degree, about five years, English. Overflow on the forward-purchase went to the external Real Estate bench. The file runs through mid-2027. A 2021 office associate would have been a second hire the operator did not have time to make.
A corporate occupier on a conversion lease. A manufacturing group with a shrinking Milan office plate needed conversion, an ESG fit-out and a security-package refresh, not a multi-floor leasing program. The first draft of the job description still said “office development and leasing.” The chief legal officer cut that line after one conversation. The hire that closed was an in-house property counsel who had already run a change-of-use file and could read a covenant package. When the facility later needed a negotiated plan, the work crossed the restructuring desk; this page does not pretend the same lawyer owns both.
We have closed those shapes of mandate, described by category only, on the Milan in-house line. The in-house counsel search is the service that staffs them. The real-estate industry hub and the commercial real-estate and REIT vertical sit underneath. Methodology for how the interview cohort and the mandate telemetry are built is on the research page.
- Q1 Can the general counsel name the sleeve — logistics, living, conversion, SGR product, or office debt — in one sentence? If the brief only says property lawyer, five years → the company will buy last cycle’s book.
- Q2 Is the employer an SGR, a SIIQ, a public desk, or a corporate occupier, and does the spec speak that vehicle’s language? If the SGR seat cannot open a depositary amendment → the hire will stall on the first product file.
- Q3 Does at least one shortlisted lawyer already own a closing in that sleeve that the chief legal officer can diligence? If every CV is adjacent → budget a supervised ramp; do not staff a 2027 living clock on hope.
- → All three clear? Run a confidential in-house search on the live perimeter — and keep the 2021 template off the requisition.
Questions a general counsel asks before opening a property search
What does a company actually buy when it hires for commercial real estate law in Milan in 2026?
It buys a living, logistics, conversion or SGR-product seat — of 17 closed Milan in-house searches, 11 were those sleeves. Classic development-and-leasing is the inventory class. The general counsel who copies a 2021 office brief is staffing last cycle’s book. Student-housing clocks run through 15 May 2027; AIFMD II has been operative in the TUF since 16 April 2026. Write the sleeve the capital is buying, then decide seniority.
Which employers hire an in-house real estate counsel in Milan?
Four desks: a Banca d’Italia-authorized real-estate SGR, a listed SIIQ, a public-property function, or a corporate with its own book. At end-2025, 61 SGR ran 700 Italian real-estate funds. The ranked Real Estate and Construction bench is who that general counsel buys for overflow, not who employs the seat. Public files often leave the building via the Avvocatura dello Stato.
What does a mis-scoped property hire actually cost a general counsel?
It costs the next asset-class turn, not the first month’s salary. Sartori’s Milan in-house median from offer to acceptance is 16 working days; the expensive interval is the quarter spent on a 2021 shortlist. Six of 17 closed files required a mid-search rewrite of the specification. A head of legal who waits for a single “CRE is back” dashboard inherits the house that printed it.
Should this work sit in-house, or with the external Real Estate panel?
Bring the scope-setter in-house; send first-of-kind tickets and court work out. Legge 247/2012 Art. 18(d) makes ordinary albo status incompatible with employment, so the Milan seat is a giurista d’impresa. Art. 2(6) limits that employee to out-of-court work for the employer. Complex acquisitions and litigation still leave for Band 1–3 firms the chief legal officer already panels.
Does Legge 137/2026 let employed property counsel keep the ordinary albo?
No. The statute in force from 16 August 2026 is a six-month delegation, not a new employed-avvocato status. Implementing decrees were not on the Normattiva page. Until they land — the first half of 2027 if the clock runs clean — a Milan SGR, SIIQ or corporate property seat remains an employment contract under Legge 247/2012. Do not write 2026 offers as if the two already coexist.
If Milan office vacancy is at a recorded low, should we hire a leasing counsel?
Hire for the occupier file that exists: small-plate Grade A, ESG and conversion — not a 2021 leasing program. BNP Paribas Real Estate recorded 142,600 sqm of Milan take-up in H1 2026, down 29 percent on area, with deal count up 2 percent on 185 transactions. Vacancy at 9.3 percent is scarcity of prime floorplates, not a development rebound. The office book that is hiring is refinancing and collateral.
Broker series, Banca d’Italia notes, OMI prints and the statutes.
Institutional volumes come from named broker reviews, each labeled as that house’s series. Official stock, prices and transaction counts come from Banca d’Italia and Agenzia delle Entrate. Seat architecture and clocks come from the TUF, the PGT, the PNRR avvisi and Legge 247/2012.

H1 2026 Italy institutional totals sit in a €7.0–7.4 billion band across houses; year-on-year rates and the office sign are not interchangeable. PBSA 2025 is €450 million (Savills) or €520 million (Colliers). OMI NTN is a cadastral count, not institutional lot size. AnaCredit CRE stock is dated end-2023. Cassa Forense income is the whole Italian bar. No 2025–2026 Milan in-house property RAL sits on a non-recruiter page, so none is printed.

Special-Situations and Restructuring Counsel
When a Milan office mortgage or fund-level facility stops being a refinance, the property file becomes a workout. That page owns the distressed and private-credit depth.
