Survey cells are self-reported across mixed company sizes, base plus actual bonus for total cash, and base plus target bonus plus target long-term incentive for total target. Proxy totals are grant-date values from the Summary Compensation Table for full-year sitting GC or CLO named executive officers (2026 proxy season). A GC is disclosed only when among the highest-paid executives, so proxy medians overstate pay across all listed companies. Do not mix the two instruments in one sentence.

02 Size and listing

Company size and listing status set the range.

The same title covers a $234,000 single-lawyer desk and a $10.26M package at the largest listed companies. Start from where the company sits.

ACC and Empsight’s 2025 survey draws the first line: a single-lawyer general counsel has a median base of $234,000 and median total target direct compensation of $280,000 (2025). A general counsel or chief legal officer across all sizes has a median base of $330,000. Among chief legal officers, company revenue of $5 billion or more lifts base salary 44% and total target compensation 173% over companies under $1 billion, and the ACC summary puts the median total target above $1 million at the larger group (2025).

Listing status adds a second line. A chief legal officer at a listed company is usually a corporate officer, paid in a structure the compensation committee and the proxy statement make public. Sartori & Partners read the Summary Compensation Table of each proxy for the largest U.S.-listed companies in the 2026 proxy season: 236 full-year sitting general counsel and CLOs were named executive officers. Their median total was $4.76M, and the median ran from $3.53M under $25 billion of public float to $10.26M at $100 billion and above, a 2.9x gap. Median salary moved 1.5x over the same bands ($595,270 to $870,162). Size works through equity, not base.

Sartori & Partners analysis of SEC proxy filings, 2026 proxy season; 236 companies.

Private companies sit below the proxy table and above the single-lawyer cell. Venture-backed and private equity-backed companies pay a cash base and a bonus set by the board, and an equity grant whose value depends on a sale or listing. The findings table in section 04 shows what our mandates signed at each type of company.

Size works through equity, not base: median salary moved 1.5x across the float bands while median total moved 2.9x (2026 proxy season).
On the range
03 Equity

How chief legal officer equity is paid in 2026.

Equity is the largest line at a listed company and the most variable line everywhere else.

In the ACC and Empsight 2025 survey, 96% of GC and CLO respondents were eligible for a short-term incentive at a median target of 35% of base, and 63% were eligible for a long-term incentive at a median target of 40% of base, a median target amount of $134,000 (2025). The 90th-percentile long-term target was $1.02 million. Fewer than two in three chief legal officers therefore hold a recurring equity grant at all; the survey covers companies of every size and includes private and nonprofit employers.

At the largest listed companies the structure changes in kind. The median GC or CLO named executive received 60.5% of total pay as equity valued at grant, 19.3% as cash incentive, 14.7% as salary and 1.6% as other pay (2026 proxy season, 236 companies). A committee that benchmarks base salary alone is looking at about one-seventh of the package. The median GC total was 25.5% of the CEO’s.

Mean totals mislead. The proxy set includes one-off multi-year awards booked in a single year, which is why the page reports medians and why the distribution’s upper tail is on the General Counsel Pay at the Largest US-Listed Companies dataset rather than here.

04 Our mandates

What signed CLO and GC packages looked like in our searches.

Sartori & Partners has completed 52 general counsel and chief legal officer placements since 2017: 24 days to shortlist, 11 weeks median to an accepted offer, 96% offer acceptance. The medians below are from those mandates.

Sartori & Partners GC and CLO mandates completed 2021-2026, by company type. Median signed base and median target bonus (percent of base). Counts are subsets of the 52 GC/CLO placements since 2017.
Company type Mandates Median signed base Median target bonus Window
Venture-backed, Series B and later 7 $285,000 30% 2021-2026
PE-backed portfolio company 8 $340,000 40% 2021-2026
Listed mid-cap 9 $520,000 70% 2021-2026
Listed large-cap 6 $720,000 100% 2021-2026

Three further findings from the same mandates, 2021-2026:

  • A sign-on or make-whole award was part of the signed package in 21 of the 30 searches, most often to replace unvested equity at the candidate’s prior employer.
  • Long-term equity was 46% of first-year target total compensation at listed mid-cap companies (9 mandates, 2021-2026).
  • In 5 of 30 searches the signed offer closed above the top of the band the compensation committee first approved, by a median of 9%.

These are medians of Sartori mandates, not a survey and not a market census. Small counts per segment: read the direction, not the decimal.

05 Both sides of the offer

How to read a chief legal officer offer.

The person paid and the company paying use the same table and look for different things.

Compare the whole package to the cell that matches the company, not the headline base.

  • Find the row: single-lawyer, revenue under $1 billion, revenue over $5 billion, or a proxy float band (2025 and 2026 figures above).
  • Ask for the equity grant value, vesting schedule and treatment on a change of control in writing.
  • Ask whether the role is an officer seat with a direct line to the CEO and board; that is where the proxy medians apply.
  • Price sign-on or make-whole awards against what you leave unvested.

Set the band before outreach. A search opened on a number the committee has not approved loses weeks.

  • Choose one comparison instrument and cite its year: ACC and Empsight 2025 for all-size cells, 2026 proxies for listed peers.
  • Budget the search: retained fee of 25-30% of first-year total compensation, 30% of the fee as a retainer at engagement. On an illustrative $1,000,000 package that is $250,000-$300,000 and $75,000-$90,000.
  • Allow 11 weeks median from brief to accepted offer (range 8-16 weeks, 52 GC/CLO searches since 2017) and a 12-month replacement guarantee.
  • Bring the compensation committee in at the brief, not at the offer.

For a company opening the search, chief legal officer search sets out the process, and hiring a chief legal officer covers the scorecard and board references. Talk to us about the mandate.

06 Title

Chief legal officer or general counsel: what the title does to pay.

The two titles overlap, and the pay difference in the proxy data is partly a size difference.

In the 2026 proxy season the median total for 122 CLO-titled named executives was $5.54M, against $4.06M for 114 general counsel. Median salary differed by less than $21,000 ($670,962 against $650,000). The CLO group also sits at larger companies: median public float of $44.5 billion against $32.1 billion. The data cannot separate title from size, and the page does not claim a CLO premium on its own.

What the CLO title does signal is remit: corporate-officer status, compliance and governance ownership, and a direct line to the CEO and board. For the stage bands below the listed seat, including first-lawyer and growth-stage pay, see general counsel salary 2026. For the number-two seat, see deputy general counsel salary 2026.

Chief legal officer salary: common questions

What is the chief legal officer salary in 2026?

The Association of Corporate Counsel and Empsight 2025 survey, data effective March 1, 2025, puts U.S. general counsel and chief legal officer median base at $330,000 (90th percentile $506,000) and median total target direct compensation at $503,000 (90th percentile $1.46 million). Base is the smaller part at a listed company: in the 2026 proxy season the median total for a full-year sitting GC or CLO who is a named executive officer was $4.76 million, with a median salary of $660,473.

How much does company size change CLO pay?

ACC and Empsight 2025 found CLOs at companies with $5 billion or more in revenue earn 44 percent more base salary and 173 percent more total target compensation than CLOs at companies under $1 billion. In 2026 proxy statements the median total runs from $3.53 million under $25 billion of public float to $10.26 million at $100 billion and above, while median salary moves only from $595,270 to $870,162.

Do chief legal officers at private companies earn less than at listed companies?

Usually less in total, because private equity is worth less on paper until a sale or listing. Across 30 GC and CLO mandates Sartori completed in 2021-2026, median signed base was $285,000 at venture-backed Series B+ companies, $340,000 at PE-backed portfolio companies, $520,000 at listed mid-caps and $720,000 at listed large-caps. Read these as our mandate medians, not a survey.

How is chief legal officer equity paid?

ACC and Empsight 2025: 63 percent of GC/CLO respondents were eligible for long-term incentives, at a median target of 40 percent of base, a median of $134,000. At the largest listed companies the proxy mix is different in kind: the median GC or CLO named executive received 60.5 percent of total pay as equity valued at grant, 19.3 percent as cash incentive and 14.7 percent as salary (2026 proxy season).

Is a chief legal officer paid more than a general counsel?

In the 2026 proxy data, yes: median total $5.54 million for 122 CLO-titled officers against $4.06 million for 114 general counsel. The CLO group also sits at larger companies (median public float $44.5 billion against $32.1 billion), so the data cannot separate title from size.

What does a company pay a search firm to hire a chief legal officer?

Sartori & Partners works on a retained basis only: a fee of 25-30 percent of the hire's total first-year compensation, with 30 percent of the fee paid as a retainer at engagement. On an illustrative $1,000,000 first-year package the fee is $250,000-$300,000 and the retainer $75,000-$90,000. Retained GC/CLO searches carry a 12-month replacement guarantee.
