The Association of Corporate Counsel and Empsight International priced the seats above and below this one. The litigation chief is not a separate cell.

Seat (2025 survey) Median total cash, 1 March 2025 Median total target, 1 March 2025
Associate general counsel $294,000 $338,000
Division / subsidiary general counsel $341,000 n/a
Deputy general counsel $368,000 $424,000
General counsel / chief legal officer $410,000 n/a

A chief litigation officer sits between the deputy and the general counsel on scope in most departments, and on cash in most of our searches. The ACC 2025 Chief Legal Officers Survey, 772 respondents, January 2025, found litigation volume up for 42 percent and internal investigations up for 44 percent. That workload is why the seat is created. It is not a pay survey.

The other large public figure is proxy-based. Our analysis of SEC proxy filings, 2026 proxy season, gives median total compensation of $4.76M for 236 sitting general counsel who are named executive officers. Most of it is long-term equity. A litigation chief is almost never a named executive officer, so that number sets the ceiling of the legal function, not this seat. The dataset is General Counsel Pay at the Largest US-Listed Companies.

03 What moves the number

Four things move chief litigation officer pay more than the title.

The same title at two companies can differ by a factor of two. These are the drivers, in the order they change an offer.

01

Docket type

A class-action or mass-tort inventory with a reserve the CFO reports prices above a commercial-disputes portfolio. In 2026 our mass-tort segment opens at $600,000 base; the mid-cap segment opens at $320,000.

02

Spend owned

The seat that controls the disputes panel and outside-counsel budget is paid above the seat that only coordinates. ACC 2025: litigation volume up for 42 percent of 772 CLOs.

03

Settlement authority

A written threshold, with the head of litigation recommending and the general counsel signing above it, sits at the lower end of a band. A seat that signs alone sits at the top.

04

Equity weighting

At listed companies the annual grant is the largest line. At private companies it is options whose value depends on a liquidity event, which a base-only offer hides.

The title sets the conversation. The docket, the spend and the equity set the number.

04 What we saw

Five findings from litigation-chief searches.

Our own searches, by segment, base and window. Internal figures, not survey results.

  1. Mid-cap listed, head of litigation, base $320,000 – $450,000, trailing 36 months: 7 of 11 briefs opened with an approved base below the first shortlisted candidate's current cash.
  2. Large-cap listed, chief litigation officer, base $450,000 – $650,000, 2023 to 2026: the accepted offer landed at the 60th percentile of the band, with the gap closed by equity, not base, in 4 of 6 files.
  3. Growth-stage private, head of litigation, base $260,000 – $380,000, 2024 to 2026: 3 of 5 files closed only after the option grant was raised above the first approved figure.
  4. Law-firm litigation partners moving in-house, large-cap base $450,000 – $650,000, trailing 36 months: 5 of 8 partner candidates in process declined at cash stage, because the in-house cash sat below the partner's prior-year draw.
  5. Reporting line, all segments, trailing 36 months: 4 of 9 briefs arrived with the litigation chief reporting to the CEO and were re-scoped as general counsel seats before outreach.

Small counts are shown as counts, not percentages. Sartori & Partners has completed 400+ placements since 2017 (230+ in-house), including 47 deputy general counsel and head-of-legal seats; the litigation-chief files are a subset of our own count, not a market census.

05 Both sides of the table

How to read the number, from each seat.

The lawyer and the company read the same table and ask different questions.

Test the offer against the docket, not the title.

  • Count the equity separately. Base is one line of three. At listed companies the annual grant can exceed base in the 2026 large-cap band.
  • Ask who signs the settlement. A written threshold tells you what the seat really owns.
  • Check the reporting line. A litigation chief under the general counsel is priced below one who reports to the CEO, and the second is a general counsel role.
  • Coming from a firm, compare cash to the draw. Partners moving in-house trade cash and origination credit for equity and a single client.

Approve a band before outreach, not at offer.

  • Price the seat it is. Use the deputy cell (ACC/Empsight 2025, $368,000 total cash) below the reporting line and the general counsel cell ($410,000) above it.
  • Put equity in the band. A cash-only approval fails against a candidate who sits on listed-company grants.
  • Budget the fee. Retained only, 25-30% of first-year total compensation, retainer 30% of the fee. How the search runs.
  • Write the threshold. The board-adopted settlement figure belongs in the brief, because candidates price the seat on it.

Chief litigation officer salary: common questions

What is the chief litigation officer salary in 2026?

No public survey prices a chief litigation officer as its own job family. The nearest published cells are the Association of Corporate Counsel and Empsight 2025 survey, data effective 1 March 2025: deputy general counsel median total cash $368,000 and general counsel / chief legal officer $410,000. Our 2026 band for a large-cap chief litigation officer is $450,000 – $650,000 base with a 50% – 80% target bonus, from our own searches, not a survey.

How much does a head of litigation make compared with a general counsel?

Usually less in base and bonus, and much less in equity, because the head of litigation reports to the general counsel. In 2026 our large-cap band is $450,000 – $650,000 base for the litigation seat against the published mid-cap listed general counsel band of $450,000 – $650,000 base with a 60-100% bonus. The overlap is at the low end of the general counsel band. See general counsel salary 2026.

Is a chief litigation officer paid like a deputy general counsel?

Close, at mid-cap and below. The ACC/Empsight 2025 deputy general counsel median base is $280,000 and median total target $424,000 (data effective 1 March 2025). Our 2026 mid-cap head-of-litigation band is $320,000 – $450,000 base. A docket with a reserve the CFO reports moves the seat above the deputy cell. Deputy bands: deputy general counsel salary 2026.

Does the chief litigation officer report to the CEO?

Usually not. The ACC 2026 survey found 84 percent of top legal officers report to the chief executive; that line belongs to the general counsel. A litigation chief reporting to the CEO is a general counsel brief under another title and should be priced on the general counsel bands.

What do companies pay a search firm to fill the seat?

Sartori & Partners works retained only. The fee is 25-30% of the hire's total first-year compensation, and the retainer is 30% of the fee, paid at engagement. On a $500,000 first-year package, the 25-30% fee is $125,000 – $150,000 in 2026. See chief litigation officer search.

Where does a chief litigation officer's equity come from?

From the company's annual RSU or PSU program at listed companies, and from options at private ones. It is the largest swing factor between segments in our 2026 bands, and the one a base-only comparison hides. The median $4.76M for sitting general counsel at 236 large US-listed companies (2026 proxy season, Sartori analysis of SEC filings) is mostly equity and is not a litigation-chief benchmark.
