Equity partner salary 2026: who the $3.59 million average describes.

The published figure is The American Lawyer’s Am Law 100 profits-per-equity-partner average for fiscal 2025. It is an ownership residual at 100 firms. A general counsel who wants to hire one of those owners is not matching a wage. The page is for the partner who earns the figure and for the company that has to copy it onto payroll.

The published number is an average of residuals.

Sartori maps about 67,000 lawyers in New York as a coverage layer for the ownership desk behind this figure. A company searching for equity partner salary in 2026 is usually holding The American Lawyer’s profits-per-equity-partner average and asking whether that figure is a paycheck. It is not. Washington, D.C. is the neighboring seat of the government-to-firm pipeline, named here only as contrast. The published average describes a thinner ownership slice at 100 firms.

Lens 01 · The form A K-1 residual is not a salary a company can copy.

IRS Publication 541 treats a partner’s distributive share as pass-through partnership income, reported on Schedule K-1, not as employee wages, even when the partner takes draws. A company that hires the owner creates a W-2 plus equity-award package. Different form. Different number.

Four different questions wear the same search string. The ranking table answers only the first. Every figure is cited below.

Headline inflation around 2.7 percent in 2025, as reported alongside the ranking by David Lat on 30 April 2026, means the PEP average grew several times the price level. What it still does not mean is a paycheck a chief legal officer can paste into an offer letter.

02 The denominator

The count behind equity partner salary in 2026

Profits per partner is a ratio. The numerator is net profit at 100 firms. The denominator is the equity tier at those firms - a slice the ranking does not print as a headcount, and a slice far smaller than the US bar.

The American Lawyer’s 2026 Am Law 100, published 14 April 2026 and covering calendar-year 2025 results, put aggregate gross revenue at $178.95 billion, up 13.0 percent, and revenue per lawyer at $1.39 million, up 8.7 percent. Attorney headcount at those 100 firms reached 128,868 in 2025, up about 4 percent after 7.7 percent growth in 2024, as David Lat reported on 30 April 2026. The ABA Journal, reporting the 2025 National Lawyer Population Survey on 9 December 2025, counted 1.37 million resident active US lawyers, up from 1.35 million in 2024 — the first increase since 2020. New York held 190,015 of them; California 181,048; Texas 99,867. Am Law 100 lawyers sit on the order of one in ten of the licensed US bar. PEP does not describe the profession.

Inside the 100, the equity machine is leverage. Nonequity partner ranks rose almost 7 percent in 2025 while equity partners grew about 2 percent. Bloomberg Law, on 10 June 2026, found equity-shareholder counts roughly flat in the prior year while nonequity partners grew 5 percent. A law-firm consultancy, MesaFive, told Bloomberg it had helped set individual partner compensation above $40 million at the extreme of the 2026 market. That is a ceiling anecdote, not a measured average, and it is the opposite of a number a head of legal can budget.

NALP’s 2025 Report on Diversity, released in March 2026, is a different, smaller census. It covers 75,993 lawyers at 488 offices — about 31,000 fewer lawyers than 2024 after 230 offices stopped reporting. Multi-tier firms that also broke out equity status collectively reported 20,036 partners, of which 55.7 percent were equity and 44.3 percent nonequity, the equity share down from 61.3 percent in 2011. Women were 26.5 percent of equity partners and people of color 10.5 percent. Fifty-five point seven percent of 20,036 is about 11,160 equity partners inside that respondent pool. It is not coextensive with ALM’s PEP average. It is the public, dated equity-partner count the ranking tables do not give.

  4. Equity owners at those 100 The PEP denominator. A residual after expenses, not a salary band.

One franchise shows how thin the equity slice can run. Kirkland & Ellis, the revenue leader, reported $10.56 billion gross revenue for 2025, up 20 percent, and PEP of about $11.1 million, up 20 percent, with equity partners up 3.8 percent to 595 and total partners up about 9 percent to 1,823, as Global Legal Post reported from Law.com figures on 18 March 2026. Five hundred ninety-five equity partners against 1,823 partners is about a third of the partnership in the ownership tier. Wachtell, Lipton, Rosen & Katz led PEP at $12.152 million, up 34.48 percent, with 272 lawyers and revenue per lawyer of $5.085 million, per Above the Law on 15 April 2026. The published average is pulled by a handful of high-PEP, tightly held equity tiers.

ALM’s related metric, Average Compensation–All Partners, rose 11.6 percent in 2025; 89 of 100 firms posted CAP increases, versus 95 the prior year, as The American Lawyer reported on 14 April 2026. CAP blends equity profit distributions with nonequity fixed-income pay and divides by all partners. It is the closer published proxy to what partners as a class took home, and it rose slower than PEP — consistent with nonequity leverage. The 2025 CAP dollar average sat behind the Law.com paywall when accessed; it is omitted here rather than guessed.

Firm-level PEP at the top of the 2026 Am Law 100, fiscal 2025. These are averages of equity-partner profit at each firm, not origination-weighted individual pay. Spreads inside firms are not in the ranking tables.

Above the Law, 15 April 2026, from the 2026 Am Law 100.

Seventy Am Law 100 firms posted PEP growth of at least 10 percent in fiscal 2025; two reported PEP declines, per Above the Law on 15 April 2026. Sixty-two firms cleared $1 billion in revenue, up from 58. The Second Hundred is not this market. The 2026 Am Law 200, published 5 May 2026, posted average PEP of $1,207,826, up 9.5 percent, gross revenue of $29.439 billion, up 6.0 percent, and average revenue per lawyer of $895,000, up 5.2 percent. The gap versus the Am Law 100 average widened. A company matching the title without naming the band is benchmarking against the wrong residual.

What a company must match to hire one

The partner who earns the figure takes a residual after firm expenses. The general counsel who pays it - or who hires the person who earned it - is building a W-2-plus-stock package from proxy-statement parts.

The Association of Corporate Counsel, using Bureau of Labor Statistics Occupational Employment and Wage Statistics through 2024, estimated 145,000 US in-house counsel in 2024, up from 78,000 in 2008, an 87 percent rise against 23 percent for law-firm lawyers and 38 percent for government lawyers. New York in-house sat at 23,200 in that 2024 estimate; California 17,200; Texas 11,400. A company hiring an equity partner into a general-counsel or deputy-GC seat is recruiting from the Am Law ownership tier into this employed population.

Corporate Counsel / Law.com Compass’s 2026 GC Pay Report, published 17 August 2026, ranks 551 Fortune 1000 legal chiefs from FY2025 proxy statements. Compensation in 2025 was driven by long-term stock awards; tech and entertainment were named as the fattest sectors. The open ranking does not republish a 2026 median in the text, so none is imported from an earlier cycle. What the ranking does show is construction: base, bonus and multi-year equity, not a K-1 residual.

In that same New York interview cohort, 71 of 96 general counsel, chief legal officers and heads of legal interviewed over a 24-month window named “K-1 residual versus W-2-plus-stock” as the first friction in an equity-partner approach. A chief legal officer at a Fortune 500 industrial told us the quiet version: the company can match the cash an equity partner took home in a quiet year; it cannot match the year they sold a book. That is not a failure of generosity. It is a mismatch of instruments.

Four published 2025/26 figures on one axis. They are not rungs of one ladder. They are four populations: employed lawyers, Second Hundred equity, Am Law 100 equity, and named-executive-officer general-counsel cash at the open top of the 2026 proxy ranking.

The Bureau of Labor Statistics series makes the population error vivid. O*NET’s compilation of BLS 2025 wage data for SOC 23-1011 Lawyers puts the median at $159,670 annual, with a 10th percentile of $78,360 and a 90th of $351,600, on an employment base of 864,800. That series is employed pay. Using it as “lawyer salary” against the Am Law 100 PEP average mixes two populations. The Am Law 100 average sits on the order of twenty-two times the BLS median; the comparison is a category error, not a spread a head of HR can close with a signing bonus.

Neighboring-geo contrast only: a UK private-equity house general counsel moving into a US Am Law firm, reported against a Latham announcement in August 2026, is traffic in the other direction. It is not a UK-seat explainer, and it is not a US PEP data point.

04 Who earns it, who pays it

Two desks, one published cell

The partnership pays the residual. The company that wants the person pays a C-suite package, often with corporate-secretary and compliance hats the equity partner does not wear. Both readers are looking at the same ranking table. They should not take the same number home.

The buyer of the PEP number is the Am Law 100 partnership itself, paying a minority ownership tier.

A Harvard / IE / IBA survey of 193 firms, fielded July to September 2024 and published by the Harvard Center on the Legal Profession on 1 July 2025, found 77 percent already run a salaried or nonequity tier. The sequel, on 20 July 2025, found 98 percent of surveyed firms expect salaried partners to originate, 71 percent use different selection criteria for salaried versus equity, and the salaried-to-equity pay step is about 39 percent. Origination, not title years, is the equity gate. Bloomberg Law, on 5 November 2024, using American Lawyer data, put nearly half of partners at the 200 largest firms by revenue as nonequity, up from 40 percent in 2013. Many nonequity partners still receive Schedule K-1s despite 0 percent ownership; some Am Law 100 shops moved nonequity onto W-2. ALM’s working definition, restated in 2025 coverage: nonequity partners receive more than half of pay as fixed income.

In that same cohort, 58 percent of 214 Am Law equity partners interviewed over a 24-month window said their take-home in a given year sat more than 20 percent away from their firm’s published PEP. That is what an average of residuals does to an individual year. The ranking table cannot tell a candidate what they will take home, and it cannot tell a company what to put in an offer.

The 2026 internal-promotion pipeline is not a generic “partner” title. Gibson Dunn, on 17 December 2025, elected 42 partners effective 1 January 2026, its largest class, with US labels in private equity, finance, M&A, litigation, appellate, antitrust, labor, securities litigation, white collar, international arbitration, and real estate including data-center development. Latham & Watkins, on 20 February 2026, elected 40 associates to partner from 1 January 2026 plus 22 counsel to partner from 1 March 2026, with counsel-class labels in M&A and private equity, banking and private credit, securities and M&A litigation, white collar, project development and finance including data centers, and antitrust. Paul, Weiss, on 5 December 2025, elected 28 partners in finance, M&A, investment funds, capital markets, tax, restructuring, antitrust and litigation. That mix is the same demand Thomson Reuters hours recorded for 2025. A nonequity card on that letterhead is a second product. It shares the business card. It does not share the K-1 residual.

  2. Nonequity / income partner Same letterhead, different product. Fixed income above half of pay on ALM’s working definition. Sometimes still a K-1 with 0 percent ownership.
  3. General counsel / CLO Named executive officer at public issuers. Base, bonus, multi-year equity. Corporate secretary and compliance hats the partnership does not require.

05 Demand

The hours that still fund the residual

A company that does not hire the owner continues to pay the invoice that produces PEP. 2025 was a rate-and-mix year, not a civil-filing boom, and the buyer's budget is the constraint on the other side of the same number.

The 2026 Report on the State of the US Legal Market, published 7 January 2026 by Thomson Reuters Institute with the Center on Ethics and the Legal Profession at Georgetown Law, sampled 184 US firms — 50 Am Law 100, 58 Second Hundred, 76 midsize. Average firm profit grew 13 percent in 2025. Weekday-adjusted demand rose 2.5 percent for the year, with a July peak of 4.4 percent. Am Law 100 profits per lawyer were up 53.7 percent since 2019. Direct spending on lawyer compensation rose 8.2 percent. Worked rates rose 7.3 percent in the market report and 7.4 percent in the 20 October 2025 Rates Report, against 2.8 percent inflation. Average Am Law 100 standard rates cracked $1,000 in 2025; other segments sat around $600. Ninety percent of legal dollars still ran hourly.

Practice-hour mix in that same report: M&A demand up 3.3 percent; litigation up 2.5 percent; real estate up 2.4 percent; corporate overall up 2.0 percent; labor and employment up 1.5 percent; tax up 1.1 percent; bankruptcy down 0.8 percent; IP patent litigation down 1.0 percent; IP patent prosecution down 1.2 percent. Midsize firms took most of the 2025 demand growth — nearly 5 percent in the second half — while Am Law 100 demand could not crack 2 percent. Profits at the top came from rates and mix, not volume share. Federal district-court civil filings were 271,802 for the year ending 31 March 2025, down 22 percent, per the Administrative Office of the US Courts. The PEP year was transactional and rate-driven. It was not a civil-docket boom.

Year-over-year 2025 demand by practice, Thomson Reuters Institute 184-firm sample. Positive practices only; bankruptcy and IP hours fell and are in the prose, not on this axis.

Thomson Reuters Institute / Georgetown Law, 2026 Report on the State of the US Legal Market, 7 January 2026.

Deal volumes sit behind the M&A hour line. Bloomberg, on 2 January 2026, put announced M&A for US targets at $2.04 trillion in 2025, up 63 percent, the highest on that series, with 324 deals above $1 billion. Wells Fargo Corporate & Investment Banking, using LSEG/Dealogic in its January 2026 Market Pulse, put US announced M&A at $2.3 trillion, up 57 percent, on 12,007 deals, down 11 percent by count; sponsor activity $1.2 trillion, up 70 percent. Different vendors, different universes: a band of about $2.0 to $2.3 trillion, not a single official volume. LSEG, on 12 August 2026, put US targets at $1.69 trillion in the first seven months of 2026. Capital was still flowing into the firms that pay the residual.

NALP’s Class of 2025 findings, dated 5 August 2026, put 60.9 percent of employed JDs in private practice and 33.2 percent of law-firm jobs at firms of 501 or more lawyers, with a median salary of $225,000 in that band. The PEP average describes owners a decade-plus past that pipeline. Government is a feeder into the partner title. It is not a PEP payer.

06 The New York desk

What legal recruiters New York close against this number

Sartori & Partners has worked the New York partner market for more than 10 years. Over the trailing three years we closed 22 partner searches, at a 94 percent completion rate, on a typical 4 to 7 month timeline, with counter-offers in 39 percent of processes and a median 15 working days from offer to acceptance.

Of 22 closed New York partner searches over three years, 9 were company mandates to hire an equity partner into a general-counsel or deputy-GC seat and 13 were firm-to-firm laterals. The 9 company-side files ran to a median of seven months — the slow edge of the usual window — whenever the first offer tried to clone PEP as cash. In 8 of 13 firm-side closed laterals, the portable book that survived conflicts sat more than a quarter below the origination the candidate first tabled. That is the finding that does not flatter the method: we still close those files, but we close them on a verified book, not on the number that opened the conversation. Sartori cannot see inside an Am Law 100 K-1. The New York coverage layer does not reconstruct individual profit shares, which is why a ranking-table cell is the start of a search, not the offer.

Quarterly market surveys running since 2019, and a global mapping of nearly 1.5 million lawyer profiles, frame the same desk. They do not replace a mandate file. Telemetry below uses the 22 closed searches as its ceiling.

Ranking tableSigned offer

  1. Name the product Equity residual, nonequity fixed income, or a C-suite W-2. Same business card is not the same job.
  2. Price the conversion Base, bonus and a vest a board will actually fund. Not a cloned PEP cell, and not a guaranteed profit share.
  3. Run the clock Conflicts and book verification on the firm side; hat list and stock plan on the company side. The offer-to-signature window is the short part.

Three anonymized composites from the same book

A PE-backed healthcare platform. Deputy general counsel, reporting to a first-time chief legal officer, New York. The brief was an Am Law 20 investment-funds and M&A equity partner with sponsor-side fluency. Search opened on a cash number cloned from the candidate’s last K-1 draw. Book verification cut portable origination by more than a quarter; the company rebuilt the package as base, bonus and a four-year vest tied to the hold. Closed in five months. The complication was the conversion, not the shortlist.

A Fortune 100 industrial issuer. Chief legal officer and corporate secretary, named executive officer. The board wanted “an equity partner at PEP.” The first offer was a cash figure in the published-average neighborhood with a thin stock overlay. The candidate — an Am Law 10 private-equity owner — would not trade a residual for a cap. The file sat at seven months. It closed only after the stock award was sized as the majority of year-one total compensation and the cash was set to a quiet-year draw, not to the ranking cell. Counter-offer from the firm arrived inside the 39 percent incidence we see on this line; the stock vest, not the cash, is what held.

A public-company general counsel who posted “partner-level.” The inbound slate was nonequity. ALM’s working definition would have flagged it: more than half of pay as fixed income, no capital account. The company had budgeted as if the title carried the PEP residual. We rebuilt the brief around a deputy-GC seat with a securities-and-investigations mandate and a W-2 band the compensation committee would sign. Closed in four months. The wasted first six weeks were a title error, not a talent shortage.

For the in-house construction itself, the adjacent benchmark is our general counsel and CLO salary read for 2026. For firm-level PEP as open financial proxy, see partner pay at the Am Law 50. Companies building the function from nothing rather than converting an owner should start with hiring a first general counsel and the in-house team build. The associate lockstep that sits underneath the partnership is a different instrument entirely: the 2026 BigLaw associate salary scale.

Common questions about the 2026 published average

What is the published equity partner salary in 2026?

The American Lawyer’s 2026 Am Law 100 profits-per-equity-partner average is $3.59 million, covering fiscal 2025. That is an arithmetic average of K-1 residuals at 100 firms, not a W-2 wage. A general counsel matching the title has to name the band — Am Law 100 equity, Second Hundred equity, or nonequity — because those are different markets.

How many US lawyers does the 2026 PEP average actually describe?

Am Law 100 firms employed 128,868 lawyers in 2025, per the 2026 ranking coverage. The American Bar Association counted 1.37 million resident active US lawyers in its 2025 National Lawyer Population Survey. NALP’s 2025 diversity census found 55.7 percent of 20,036 partners at reporting multi-tier firms were equity — about 11,160 people in that respondent pool, not a national equity census and not ALM’s PEP denominator.

What does a company have to match to hire an equity partner in-house?

A W-2 base, bonus and multi-year stock award, not a K-1 residual. Corporate Counsel’s 2026 GC Pay Report ranks 551 Fortune 1000 legal chiefs from FY2025 proxies; cash at the open top of that ranking ran from $5.00 million at Apple to $9.96 million at Goldman Sachs Group, with total packages heavier once stock is counted. IRS Publication 541 treats a partner’s distributive share as pass-through income, not wages.

Is profits per partner the same as partner compensation?

No. PEP divides net profit by equity partners only. ALM’s Average Compensation–All Partners rose 11.6 percent in 2025 and blends equity distributions with nonequity fixed pay. Use PEP to read the ownership tier; use CAP to read the partner class as a whole. The 2025 CAP dollar average was not in the open ranking text.

How long does it take to hire an equity partner into a general-counsel seat?

Sartori’s New York partner desk works to a typical 4 to 7 month timeline. The company-side files inside our 22 closed New York partner searches over three years sat at the long end of that window when the first offer tried to clone PEP as cash. Median offer-to-acceptance was 15 working days once the package was a real W-2-plus-stock construction.

Should we hire the equity partner in-house or keep paying the invoice?

ACC’s 2026 Chief Legal Officers Survey found 63 percent of CLOs expect legal headcount to stay flat, while 48 percent increased outside-counsel use. Hire the owner when you need a scarce C-suite seat with corporate-secretary and board hats; keep the invoice when the work is hours. Thomson Reuters Institute reported in January 2026 that 90 percent of legal dollars still run hourly.

PEP, CAP, RPL and ranking headcount are firm-level Am Law arithmetic, not individual pay. NALP's 20,036-partner pool is a voluntary respondent census, not ALM's PEP denominator. The 2025 CAP dollar average was not in the open ranking text and is omitted. MesaFive's $40 million individual figure is a consultancy ceiling, not a survey mean. Capital-call incidence is second-hand of a Law.com survey as reported on 24 July 2026. GC cash figures are roles and issuers only. Sartori interview, telemetry and mapping figures are internal and reviewed by the owner.

Our own numbers — the New York interview cohort, the mandate telemetry, the counter-offer incidence and the offer-to-acceptance window — come from the continuous research program described on our research page, which sets out the cohorts, the survey waves and the mapping coverage behind every Sartori figure quoted above. Partner-line search on this desk is partner recruiting; company-side conversion sits on in-house counsel recruiting.

A quiet conversation

Matching an equity partner onto the payroll?

We map the New York ownership tier and the general-counsel seats that actually copy it onto a W-2. Confidential, no obligation — and we will say when the ranking cell is the wrong brief.
