General Counsel Salary in Australia 2026

Four audited FY25 cells, AUD and USD in every one, priced by the 2026-27 resident tax scale and a Superannuation Guarantee rate that is already 12 percent — not by last year's US general counsel band.

The 2026 cash table, not last year's US band.

Sydney is the densest corporate legal market in the country, and the 2026 cash table below is the one that prices a general counsel seat there: AUD 400,000 total fixed remuneration (USD 286,880) at an ASX mid-cap industrials issuer for the year ended 30 June 2025. Sartori maps approximately 6,500 lawyers in Sydney.

Cell 01 · Industrials TFR, FY25 AUD 400,000 · USD 286,880

An ASX mid-cap industrials issuer disclosed total fixed remuneration of AUD 400,000 for its combined company-secretary and general-counsel seat for the year ended 30 June 2025, in an audited remuneration report dated 26 September 2025. USD at the Reserve Bank of Australia 11 September 2026 rate of 0.7172. TFR, not take-home.

Companies searching for general counsel salary Australia usually call once the board has seen a US band, a NSW solicitor average, or last year’s TFR and treated it as this year’s offer. None of those three numbers prices the 2026 seat. The tax-free threshold, the 45 percent top rate above AUD 190,000, the 2 percent Medicare levy, and a Superannuation Guarantee already at 12 percent do. So does Payday Super from 1 July 2026, which moves compulsory contributions onto every payday. The cash table on this page is four audited listed-company cells plus the statutory cage around them. A candidate reading an offer, and a chief legal officer or head of HR writing one, need the same arithmetic.

02 The public cells

Four audited seats, AUD and USD in every cell.

Section 300A of the Corporations Act puts combined company-secretary and general-counsel packages on the public record at mid-cap issuers. ASX 20 general counsel are typically not KMP; their cash is not in this table.

  1. Cash salary Base and benefits. The number a candidate spends. Already above the Superannuation Guarantee cap on these seats.
  2. Statutory super Compulsory SG, pinned at the concessional ceiling on three of the four seats. Not a 12 percent add-on to the whole cash cell.
  3. STI, then equity accounting Cash bonus actually paid, then share-based amounts the report records. Statutory total is not take-home.

An ASX mid-cap industrials issuer’s remuneration report, authorized 26 September 2025 for the year ended 30 June 2025, is the only one of the four that prints a total-fixed-remuneration cell: AUD 400,000 in FY25 and AUD 410,000 from 1 July 2025. FY25 salary on that seat was AUD 372,368 (USD 267,062); short-term incentive AUD 150,000 (USD 107,580); superannuation AUD 30,000 (USD 21,516); statutory total AUD 645,832 (USD 463,191), of which 37 percent was performance-related. That is one person-year at one issuer. It is the cleanest TFR print in the 2026 Australian GC file.

An ASX logistics issuer paid its combined general counsel and company secretary AUD 307,331 (USD 220,418) in salary and benefits for the year ended 30 June 2025, with a cash STI of AUD 39,200 (USD 28,114) and superannuation again at AUD 30,000. Statutory total AUD 458,424 (USD 328,782), 25 percent at-risk on the table’s mix. An ASX pastoral issuer, year ended 31 March 2025 rather than 30 June, paid salary and fees of AUD 363,839 (USD 260,945), STI cash of AUD 172,731 (USD 123,883), and superannuation of AUD 29,299 (USD 21,013) — AUD 701 under the AUD 30,000 2025-26 cap. Statutory total AUD 632,944 (USD 454,147). STI entitlement on that seat was AUD 259,097, of which 86 percent was awarded and 14 percent forfeited.

An ASX iron-ore producer is the high cell: salary and fees AUD 400,900 (USD 287,525); cash STI AUD 122,900 (USD 88,144); superannuation AUD 46,104 (USD 33,066); statutory total AUD 711,832 (USD 510,526), 35 percent performance-related. Superannuation here exceeds the AUD 30,000 concessional cap. The report does not split compulsory Superannuation Guarantee from additional employer or salary-sacrifice amounts, so the excess is reported as published, not relabeled.

TFR was published only for the industrials seat. Do not average the four statutory totals into a national GC package. A listed plaintiff-law group disclosed a chief legal officer STI opportunity of AUD 129,000 (USD 92,519) that paid zero in FY25; that CLO is a law-firm executive, and the report did not print an extractable cash-salary cell, so none is reverse-engineered here.

03 The 2026 rules

The tax year and the Superannuation Guarantee, not the headline.

A GC whose cash already clears AUD 190,000 sits in the 45 percent band either side of 1 July 2026. The rate that moved is the Superannuation Guarantee, and it moved last year.

2025-26 quarterly SG2026-27 Payday Super

  1. Rate already 12 percent The charge percentage stepped up from 1 July 2025. 2026 does not change it. Awards or contracts may require more.
  2. Cap follows the concessional ceiling Compulsory SG stops at the maximum contribution base. Cash above that line does not draw another 12 percent.
  3. Payday Super, 1 July 2026 Pay each payday so the fund receives it within seven business days. Timing and earnings base, not a new rate.

The Australian Taxation Office resident scale for the 2026-27 income year (1 July 2026 to 30 June 2027), last updated 13 August 2026, is: nil to AUD 18,200; 15 cents per dollar from AUD 18,201 to AUD 45,000; AUD 4,020 plus 30 cents from AUD 45,001 to AUD 135,000; AUD 31,020 plus 37 cents from AUD 135,001 to AUD 190,000; AUD 51,370 plus 45 cents from AUD 190,001. Those rates exclude the Medicare levy. ASIC Moneysmart, last updated 17 July 2026, puts the levy at 2 percent of taxable income for most people. The 2025-26 scale differs only in the second bracket (16 cents, not 15) and the stacked amounts AUD 4,288 / AUD 31,288 / AUD 51,638. The 45 percent top rate above AUD 190,000 does not move on 1 July 2026.

On a AUD 400,000 taxable-cash cell, 2026-27 income tax is AUD 51,370 plus 0.45 times AUD 210,000, or AUD 145,870; plus Medicare levy AUD 8,000; income-tax-plus-levy AUD 153,870 (USD 110,356). The same cell in 2025-26 is AUD 154,138 (USD 110,548). The year-on-year cash-tax difference is AUD 268, entirely in the AUD 18,201-45,000 bracket. That arithmetic uses ATO rates and assumes no deductions, no HELP, and no Medicare levy surcharge. It is not a net-pay guarantee.

Inside the Sydney interview cohort, 81 sitting general counsel, group general counsel and heads of legal at corporates over a 24-month window: 47 said their cash ordinary-time earnings already exceeded the Superannuation Guarantee maximum contribution base. The ATO Super guarantee page, last updated 17 April 2026, sets the 2025-26 maximum contribution base at AUD 62,500 per quarter, so maximum compulsory SG is AUD 7,500 per quarter, or AUD 30,000 a year. For 2026-27 the base is annual: AUD 270,830, and 12 percent of that is AUD 32,499.60. The concessional contributions cap, last updated by the ATO on 11 September 2026, is AUD 30,000 through 30 June 2026 and AUD 32,500 in 2026-27. Compulsory SG on an above-cap GC seat is the concessional ceiling, not 12 percent of the cash cell.

Payday Super, described by the ATO on 10 August 2026, is the 2026 change that is not the rate. From 1 July 2026 the employer must pay Superannuation Guarantee each payday so the fund receives it within 7 business days. The base becomes qualifying earnings — ordinary-time earnings plus commissions, salary-sacrifice contributions and other amounts previously in salary or wages for SG. The Superannuation Guarantee charge becomes ATO-assessed, with general-interest-charge compounding daily, and the charge is tax-deductible (it was not under the quarterly regime). A GC whose cash already sits above the maximum contribution base does not draw more compulsory super when cash rises. That extra dollar is 12 percent cheaper to the employer than a dollar below the cap.

Division 293, last updated by the ATO on 7 August 2026, adds 15 percent on concessional contributions once income plus contributions exceed AUD 250,000. The threshold has sat there since 2017-18 and is not indexed. On a GC whose Division 293 income already clears AUD 250,000, the extra bill at the 2026-27 cap is 15 percent of AUD 32,500, or AUD 4,875 (USD 3,496), if the full cap is used; at the 2025-26 cap, 15 percent of AUD 30,000 is AUD 4,500 (USD 3,227). The candidate pays that. The employer still funds the SG.

What the ATO takes off a AUD 400,000 taxable-cash cell in 2026-27, assuming no deductions. Medicare levy, Division 293 on a full concessional cap, income tax, and tax-plus-levy. Arithmetic on ATO rates published 13 August 2026 (tax) and 7 August 2026 (Division 293).

04 The buyers

Who writes the check, and why the dual hat sticks.

The 2026 Australian general counsel seat is an in-house job on a corporate or government practicing certificate. Mid-cap listed companies dual-hat it as company secretary. Government seats sit inside a published TRP cage.

Listed dual-hatPublic-office apex

  1. ASX mid-cap CoSec / GC One officer, board-accountable as secretary, KMP-disclosed. The public cash table lives here.
  2. Unlisted corporate and trustee Foreign subsidiaries, APRA-regulated financial services and superannuation. Same corporate certificate; cash is private.
  3. Government legal apex State SES bands and Commonwealth full-time public offices. A different cage, a different ticket.

The Law Society of NSW, writing for the Conference of Law Societies in the 2024 National Profile of Solicitors published 13 June 2025, counted 97,500 practicing solicitors at the October 2024 census, of whom 16,451 sat in the corporate sector (17 percent). Private practice held 64 percent. The GC cash table is paid by the corporate and government slice, not by the partnership. The Australian Financial Review Law Partnership Survey, published 25 June 2026, recorded 299 new partners at surveyed firms in the six months to July: that is the private-practice well that later feeds in-house, and it is not this seat.

ASX Recommendation 1.4 of the Corporate Governance Principles and Recommendations (4th edition, 27 February 2019, still in force) says the company secretary of a listed entity should be accountable directly to the board, through the chair, on all matters to do with the proper functioning of the board. Appointment or removal is a board decision. The four FY25 KMP tables in the cash section all disclose a combined “Company Secretary and General Counsel.” A general counsel at an ASX mid-cap industrials issuer told Sartori the board would not split the secretary hat from the legal seat: the chair wanted one officer accountable under Recommendation 1.4. ASX opened consultation on a draft 5th edition on 21 July 2026, with submissions due 14 September 2026; the draft restates the same secretary-to-board line.

The Victorian Legal Services Board + Commissioner, in Corporate Lawyers: Core Expectations last updated 28 May 2026, tells a general counsel or most-senior lawyer they should have direct access to the CEO and the board; a non-lawyer senior executive should not approve the actual legal advice delivered to those two; silence or delay is not an option once Corporations Act officer duties attach. Corporate certificate holders may advise only the organization and related entities, not directors or employees in a personal capacity. That is regulator guidance the Board would consider in a misconduct assessment, not a statute forcing the dual hat. In practice, at mid-cap, the two jobs are one KMP line.

The credential is not optional. Uniform Law jurisdictions (NSW, Victoria, Western Australia) require a corporate legal practitioner certificate to engage in legal practice as in-house counsel; unqualified legal practice carries 250 penalty units or two years’ imprisonment or both, per the Legal Services Council corporate-lawyers sheet of July 2022. Victorian corporate-practitioner fees for 2026-27, last updated 3 September 2026, are AUD 283 for a certificate commencing 1 July to 30 September 2026. Supervised legal practice under Uniform Law s 49 lasts 24 months after a practical legal training course, or 18 months after articles; the condition is not auto-removed, and a lawyer still on it cannot sit unsupervised as the most senior lawyer. Queensland is not Uniform Law: in-house counsel still need an employee certificate conditioned to the named employer and related bodies corporate. Melbourne’s listed-issuer mix is a separate desk; this page does not price it. The hire is briefed on in-house legal recruiters in Melbourne.

Financial-services and superannuation buyers sit under ASIC and APRA as well as listing rules. ASIC 26-162MR recorded AUD 830 million (USD 595 million) in court-ordered civil penalties for 2025-26, more than 250 investigations launched, and AUD 643.5-644 million being returned to customers and investors in connection with ASIC’s work. ASX, in its 16 July 2026 listings release, cited an approximately AUD 4.4 trillion (USD 3.16 trillion) superannuation system as part of the investor base. Those trustees employ in-house general counsel and chief legal officers; the enforcement load is the demand signal, not a headcount. The ACCC, on 9 April 2026, reported 50 merger notifications and 108 notification-waiver applications from 1 January to 31 March 2026 under the new compulsory regime, with average Phase 1 decisions in 18 business days. From 28 March 2026, many Competition and Consumer Act maxima are the greater of AUD 100 million (USD 71.72 million), three times the reasonably attributable benefit, or 30 percent of adjusted turnover during the breach period.

ASX listed 100 new entities in the year ended 30 June 2026 and quoted AUD 37.8 billion (USD 27.11 billion) of follow-on capital, up 20 percent on FY25, per the 16 July 2026 release. Companies that search for in house counsel recruiters in this market are usually filling one of those listed dual-hats, a foreign-subsidiary first GC, or an APRA-regulated legal seat — not a partnership. A brief to legal recruiters Sydney that treats the general counsel as a lateral partner with a portable book is reading the wrong ticket.

At mid-cap, the general counsel is usually also the company secretary, and the package is KMP.

  • Board-accountable secretary. Recommendation 1.4 puts the secretary through the chair; the four FY25 reports combine the jobs on one KMP line.
  • Corporate practicing certificate. Uniform Law corporate legal practitioner; Victorian 2026-27 fee AUD 283; no trust money, no fidelity-fund contribution.
  • Related-body perimeter. The certificate covers the employer and related bodies corporate under Corporations Act s 50. A 50/50 joint venture is often outside it.

A state department GC sits inside a published SES band; the Solicitor-General is a Tribunal office, not a company package.

  • Victorian SES TRP from 1 July 2026. SES-1 AUD 240,938-310,385 (USD 172,801-222,528); SES-2 AUD 310,386-447,266 (USD 222,529-320,779); SES-3 AUD 447,267-594,844 (USD 320,780-426,622), per the Victorian Independent Remuneration Tribunal page updated 25 June 2026.
  • Commonwealth legal apex. Remuneration Tribunal Determination 2026, made 18 June 2026: Solicitor-General total remuneration AUD 878,760 (USD 630,247); Director of Public Prosecutions AUD 753,240 (USD 540,224).
  • Directions cage. Legal Services Directions 2025 commenced 2 March 2026. Australian Government Solicitor operates as the central Commonwealth in-house provider alongside agency desks and the Whole of Australian Government panel.
05 The census

What general counsel salary Australia is not.

The Law Society census is the best public count of in-house solicitors in the country. It is not a GC pay band, and it is one tax year behind the seat.

The 2025 Annual Profile of Solicitors in NSW, prepared July 2026 with a census date of 30 June 2025, counted 43,619 NSW solicitors, of whom 8,742 sat in the corporate legal sector (20 percent), 4,969 in government (11 percent) and 29,818 in private practice (69 percent). Corporate headcount is up 58 percent from October 2015 to June 2025. Of 3,409 corporate survey respondents who stated a role: group general counsel 203 (6 percent); head of legal team 347 (10 percent); general counsel 373 (11 percent); senior lawyer / senior legal counsel 1,253 (37 percent); lawyer / legal counsel 916 (27 percent); graduate 69 (2 percent). Those role counts are survey counts. They do not scale to the 8,742. 1,089 of the 8,742 were not practicing as solicitors at the census date.

Average income in the corporate legal sector was AUD 235,439 (USD 168,857) for FY 2023-24, against AUD 194,987 (USD 139,845) in private practice and AUD 152,978 (USD 109,716) in government, with all respondents at AUD 184,980 (USD 132,668). The 2025-26 practicing-certificate survey asked for FY 2023-24 gross income. Among 3,205 corporate respondents who answered the income question, 14 percent reported AUD 300,001-500,000; 5 percent over AUD 500,000; 10 percent AUD 250,001-300,000; 15 percent preferred not to say. 61 percent of corporate respondents reported more than AUD 150,000; 45 percent more than AUD 200,000. One in eight of all NSW solicitor respondents earned over AUD 300,000 (13 percent). A board that reads AUD 235,439 as the 2026 GC offer is reading a mixed, lagged, all-in-house average.

Full-time share 83 percent. Corporate full-time solicitors reported an average 46 hours a week; 44 percent of corporate full-time respondents reported 50 or more hours, versus 47 percent in private practice and 18 percent in government. Nationally, the corporate solicitor stock grew from 14,977 in 2022 to 16,451 in 2024 (plus 10 percent) and from 7,325 in 2011 (plus 125 percent). NSW held 42 percent of national solicitors, Victoria 25 percent, Queensland 16 percent.

06 The Sydney desk

How a Sydney in-house GC search actually prices.

We have worked the Sydney in-house market for five years, for listed issuers, unlisted corporates and APRA-regulated trustees. Over the trailing three years we closed 15 in-house searches with a 93 percent completion rate and a typical timeline of 4 to 7 months.

Of those 15 closed Sydney in-house searches over three years, 8 were general-counsel, group-general-counsel or head-of-legal seats, 4 were deputy or senior counsel, and 3 were specialist in-house seats (competition, employment). Five of the eight most-senior seats carried a company-secretary overlay. Sartori’s Sydney in-house mandate telemetry records a 26 percent counter-offer incidence across the 15, and a median of 12 working days from offer to signature. Quarterly surveys of this market have run since 2019; the global research program maps nearly 1.5 million lawyer profiles.

Three of the 15 closed files ran past the seven-month end of our typical window. All three were combined company-secretary and general-counsel seats at companies that had never housed the secretary inside the legal function. The credential was not the delay. The board-accountable secretary overlay was. A chief people officer at an APRA-regulated superannuation trustee told us they would not convert a US GC band at spot; they priced the cash cell off the concessional cap so the extra dollar did not create an SG leak. That is the more precise buyer. The slower files are the ones that still treat the NSW corporate average as a GC number.

Replacement dual-hat, ASX mid-cap industrials. A listed building-products issuer needed a combined company secretary and general counsel after a planned retirement. Scope was board papers, continuous disclosure, and a commercial stack that matched the NSW corporate survey: commercial, corporate, employment. Brief to offer ran five months, inside the 4-to-7-month window. The incumbent counter-offered; the 26 percent city rate showed up as a retention conversation, not as a matching TFR. Signature in 12 working days. Outcome: accepted, dual hat intact, cash in the industrials TFR neighborhood.

First GC, unlisted foreign subsidiary. A PE-backed healthcare platform with an Australian operating company tried to price its first general counsel off the NSW corporate-solicitor average. The shortlist was real; the cash was not. The file paused, was repriced against the listed KMP cash band rather than the mixed census, and closed at seven months. The candidate still held a corporate practicing certificate and had finished supervised legal practice. The delay was the brief, not the market.

Chief legal officer, APRA-regulated trustee. An industry superannuation trustee needed a CLO who could sit under ASIC enforcement load and instruct a panel, not replace it. Superannuation on the seat was already at the cap; the negotiation was STI shape against Division 293, not another 12 percent on cash. Four months, no dual hat, government-adjacent independence expectations in the position description. Outcome: accepted. The overflow stayed on the law-practice panel.

07 Both readers

How to read the 2026 offer — and how to write it.

The same cells serve the lawyer who will earn the figure and the company that will pay it. Statutory total is not take-home. TFR is not cash. Super at the cap is not 12 percent of salary.

A candidate comparing an Australian general counsel offer to a US band, or to a BigLaw lockstep, is comparing different instruments. The 2026-27 resident scale, the 2 percent Medicare levy, Division 293, and a Superannuation Guarantee already at 12 percent and already capped are the Australian instruments. Cash above the maximum contribution base is the cheaper dollar for the employer and the uncapped dollar for the candidate. STI that is printed as an opportunity is not STI paid: the listed legal-services CLO cell paid zero of AUD 129,000 in FY25. Equity accounting in a statutory total is not a transfer to the lawyer’s account. A sign-on paid as cash lands in the 45 percent band above AUD 190,000 in the same income year; a sign-on paid as employer super hits the concessional cap and then Division 293.

A company writing the offer should put three numbers on one page: cash salary, compulsory SG (AUD 32,499.60 at the 2026-27 cap, not 12 percent of cash), and target STI in dollars, not only as a mix. Then say whether the seat is dual-hatted as company secretary, whether the lawyer must hold a current corporate practicing certificate with supervised-legal-practice removed, and whether related-body-corporate work is in scope. Ten CPD points a year are a given. In-house counsel recruiting for this seat is a credential-and-hat problem before it is a market-rate problem. The first general counsel at an unlisted company is a different brief from a listed dual-hat replacement; hiring your first general counsel and how to run a general counsel search are the process pages. The US counterpart sits on our general counsel salary 2026 benchmark and does not price this tax year.

Companies that want legal recruiters Sydney coverage for an in-house seat should brief the dual hat, the certificate, and the cap before they brief a number. Candidates who want the same number should ask which of the four public cells the board used, and whether it used the NSW average by mistake. The profession-wide solicitor picture is a neighboring article; this page is the GC cell.

General counsel salary in Australia: common questions

What is a typical general counsel salary Australia figure for 2026?

Four audited FY25 mid-cap KMP cells show cash salary of AUD 307,331 to AUD 400,900. USD 220,418 to USD 287,525 at the Reserve Bank of Australia 11 September 2026 rate of 0.7172. An ASX mid-cap industrials issuer published total fixed remuneration of AUD 400,000 for the year ended 30 June 2025 and AUD 410,000 from 1 July 2025. Statutory totals, which fold in incentives and equity accounting, run from AUD 458,424 to AUD 711,832. Those are four listed dual-hat seats, not a national median, and ASX 20 general counsel are typically outside s 300A tables.

How much super must an employer pay on an Australian GC seat in 2026-27?

Compulsory Superannuation Guarantee on a 2026-27 GC seat is capped at AUD 32,499.60 a year. That ceiling applies once qualifying earnings reach AUD 270,830, per the ATO Super guarantee tables last updated 17 April 2026. The charge percentage is already 12.00 percent from 1 July 2025; Payday Super from 1 July 2026 changes payment timing, not the rate. Cash above the maximum contribution base does not attract further compulsory super, so the extra dollar of salary is 12 percent cheaper to the employer than a dollar below the cap.

Why is the NSW corporate-solicitor average not a general counsel number?

The Law Society of NSW recorded an AUD 235,439 corporate-solicitor average for FY 2023-24, mixing graduates through group general counsel, in its 2025 Annual Profile of Solicitors published July 2026. Among 3,409 corporate respondents who stated a role, general counsel were 373 (11 percent), heads of legal 347 (10 percent) and group general counsel 203 (6 percent). Income is lagged one tax year behind the 2026 seat. A company that prices a GC offer off that average is pricing a different job.

How long does a Sydney in-house general counsel search take?

Sartori’s Sydney in-house desk typically fills in 4 to 7 months. Median offer-to-acceptance is 12 working days across 15 closed searches over three years, at a 93 percent completion rate. Combined company-secretary and general-counsel seats run long when the company has never housed the secretary inside the legal function. Counter-offer incidence on that Sydney in-house book is 26 percent.

Is chief legal officer salary in Australia the same ticket as a corporate GC?

A listed legal-services CLO STI opportunity of AUD 129,000 paid zero in FY25. That CLO is a law-firm executive, not a corporate general counsel; the EBITDA gateway was missed. On the corporate side the titles overlap: group general counsel, head of legal and general counsel are the three labels NSW corporate respondents actually use. A CLO title at an APRA-regulated trustee is still an in-house seat on a corporate practicing certificate.

What should a company check before it prices general counsel salary Sydney?

Confirm the 12 percent Superannuation Guarantee, the AUD 270,830 maximum contribution base for 2026-27, and whether the seat is dual-hatted as company secretary. Then read the 2026-27 resident tax scale (45 percent above AUD 190,000 plus a 2 percent Medicare levy) and whether Division 293 will add 15 percent on concessional contributions once income plus contributions exceed AUD 250,000. A converted US GC band does not survive that arithmetic.
