General Counsel Salary in Sydney 2026: how many seats A$1 million funds.
There is no Sydney-only general-counsel census. The measurable cash is a disclosed Australian dual-hat cell, or a NSW corporate average that mixes every in-house title. AUD 1 million is divided by each of those cells.
What a general counsel salary Sydney figure actually funds.
The Sydney mapping file records admission and employer type. It does not record cash. A company asking what AUD 1 million buys in this city is asking how many disclosed general-counsel seats that cash funds, and which of those seats is even a New South Wales number.
Industrials combined company-secretary and general-counsel total fixed remuneration, year ended 30 June 2025: AUD 400,000 (USD 286,880 at 0.7172). One million Australian dollars funds 2.50 seats at that TFR. The issuer is not a Sydney census. FY25 remuneration report ↗

AUD 1 million, divided by the cell a Sydney board is tempted to copy.
Each row is one published instrument. Seat count is AUD 1,000,000 divided by that instrument. A Sydney payroll does not become a Sydney median because a board in Barangaroo reads the row.
The Reserve Bank of Australia published a United States dollar rate of 0.7172 per Australian dollar at 4pm on 11 September 2026. AUD 400,000 at that rate is USD 286,880. AUD 235,439 is USD 168,857. AUD 1 million is USD 717,200. The Bank’s figure is a 4pm reference rate. It is the only conversion used.
The industrials total fixed remuneration of AUD 400,000 for the year ended 30 June 2025, and AUD 410,000 from 1 July 2025, comes from one audited remuneration report dated 26 September 2025. Cash salary on that seat for the same year was AUD 372,368. Dividing AUD 1 million by the TFR funds 2.50 seats. Dividing it by the cash salary funds 2.69 seats. Those are not two offers. They are two lines in one person’s report. The logistics cash line of AUD 307,331 funds 3.25 seats. The pastoral cash line of AUD 363,839, for the year ended 31 March 2025, funds 2.75 seats. The iron-ore cash line of AUD 400,900 funds 2.49 seats. None of those four issuers is a Sydney head-office sample.

The iron-ore statutory total of AUD 711,832 (USD 510,526) for the year ended 30 June 2025 is left off this table because it folds in incentives and equity accounting. Dividing AUD 1 million by that 30 June 2025 total of AUD 711,832 produces 1.40, and 1.40 is not a salary.

A 2026 Sydney general-counsel cash figure is a seat count before it is a paycheck.
The buyer is a Sydney company with a corporate certificate, not a law firm.
Law firms in the CBD are the other side of the panel. They do not employ the general counsel. The employer is a listed issuer, a bank, a trustee, or a foreign subsidiary that needs Australian-law advice.
Cash is a surveyCash is one person’s report
- NSW corporate average The NSW corporate average is the right state and the wrong job. Graduates and group general counsel sit in one prior-year average. A Sydney board that stops here has not priced a general counsel.
- Disclosed dual-hat A remuneration report prints a combined company secretary and general counsel when that person is key management personnel. The print is that seat at that issuer. Copy the instrument, not the postcode.
- Sydney payroll, unpublished Most CBD general counsel are not key management personnel. Their cash is not in a remuneration report. The absence is not a median waiting to be inferred.
As at 30 June 2026 the Law Society of NSW counted 21,872 solicitors with Sydney City as principal place of practice, and 9,042 corporate legal practitioner certificates statewide. The 2025 Annual Profile, census 30 June 2025, counted 8,742 NSW corporate solicitors, including 3,848 in the Sydney CBD (44 percent), 3,370 in suburban Sydney (39 percent), and 366 in regional or rural New South Wales. Interstate and overseas registrations make up the rest. That CBD stock is who a Sydney general counsel is hired from. It is still not a count of the title.
Among 3,409 NSW corporate respondents who stated a role in that profile, general counsel were 373, heads of legal 347, and group general counsel 203. The senior-counsel and counsel rows are the rest of the department, and they belong on the Sydney in-house counsel salary page. The national cash table, including the full four-issuer breakdown, is the Australia general counsel salary page. This page only divides a million dollars by the cells a Sydney offer letter actually uses.
Recommendation 1.4 of the ASX Corporate Governance Principles and Recommendations, 4th edition, 27 February 2019, makes the company secretary accountable to the board through the chair. That is why so many disclosed packages are a combined hat. A Sydney issuer can split the hat. When it does, the salary line and the secretary line stop being one KMP row, and the seat count no longer describes the package. The credential does not move with the hat. Australian-law advice still needs a current corporate practicing certificate, and a sole in-house counsel needs Condition 2 removed before anyone else on the desk is supervised.
Of 91 general counsel, head of legal, and group general counsel in a Sydney interview cohort of 250, 58 said the board’s first number was the NSW corporate average, over a 24-month window at Sydney CBD employers. The dual-hat TFR was the second draft, after the average failed to clear a sitting counsel.
Your budget of AUD 1 million is 2.50 industrials-TFR seats, or 4.25 average-sized seats, and the second figure is the wrong job.
- Name the denominator. TFR, cash salary, and statutory total are three numbers. Only the first two are salaries. The statutory total of AUD 711,832 is not.
- Add super at the cap. On cash of AUD 372,368 the 2026-27 compulsory amount is AUD 32,499.60. Writing 12.00 percent of salary adds AUD 12,184.56 that the fund will not take as compulsory SG.
- Decide the company-secretary question first. A combined hat is one KMP row. A split hat is two jobs and, often, two searches.
- State the certificate in the brief. A corporate practicing certificate with Condition 2 lifted is the gate. A principal certificate is a different search.
- The fee is retained. It is 25 to 30 percent of the hire’s total first-year compensation. The retainer is 30 percent of that fee, paid at engagement. A 12-month replacement guarantee applies on a retained general-counsel search.
The number you earn will not be the NSW average, and it will not be in next year’s remuneration report unless you are key management personnel.
- Ask which line you are being shown. Cash of AUD 372,368 and TFR of AUD 400,000 can describe one year of one seat. Treating them as a range is a misread.
- Super above the cap is not 12.00 percent of salary. Once earnings pass AUD 270,830, compulsory SG stops at AUD 32,499.60 for 2026-27, on ATO tables last updated 17 April 2026. Extra employer super is a different promise, and it hits the concessional contributions cap.
- The certificate is yours to hold. A corporate certificate does not let you work as an employee of a law practice. If Condition 2 is still on the certificate, you cannot be the sole supervisor.
- A US band does not travel. USD 286,880 is the industrials TFR at the 11 September 2026 rate. It is not a New York chief-legal-officer package, and it is not take-home after resident tax.
The NSW corporate average is the right state and the wrong job.
The NSW average funds 4.25 seats. It does not fund a general counsel.
FY2023-24 corporate income of AUD 235,439 is the figure a board finds first. It is an average of people who answered a practicing-certificate survey, one tax year behind the seat.
The 2025 Annual Profile of Solicitors in NSW, prepared with a census date of 30 June 2025, recorded average corporate-sector income of AUD 235,439 for FY2023-24. On that same Law Society profile, FY2023-24 private-practice income averaged AUD 194,987 and government income averaged AUD 152,978. The corporate figure is higher because the in-house stock is senior-heavy, not because the Law Society priced a general counsel. General counsel were 373 of 3,409 respondents who stated a role in the 2025 Annual Profile, about 11 percent of the people inside the average.
Dividing AUD 1 million by AUD 235,439 produces 4.25 seats. Dividing it by AUD 400,000 produces 2.50. The gap is the whole point of the page. A company that thinks it can hire four Sydney general counsel for the price of two disclosed dual-hats has used the census as a payroll. The census is a stock count with a lagged income question attached.
Above the cap, the extra salary dollar does not buy more compulsory super.
A Sydney general counsel whose cash already clears the maximum contribution base costs the employer 12.00 percent only up to that base. The rest of the salary is cheaper than the board’s spreadsheet says.
Salary under the baseSalary over the base
- The rate covers the salary Ordinary-time earnings still sit under the maximum contribution base. Compulsory super is the charge percentage applied to the whole salary.
- The cap stops the rate Once earnings clear the base, further salary does not buy more compulsory super. The spreadsheet that keeps multiplying is wrong.
- Extra super is a promise Employer contributions above the compulsory amount are a separate line. They are not the charge percentage, and they meet the concessional cap on their own.
The Australian Taxation Office, last updated 17 April 2026, sets the Superannuation Guarantee charge percentage at 12.00 percent from 1 July 2025, including through 2026-27. The 2026-27 maximum contribution base is AUD 270,830 a year. 12.00 percent of that base is AUD 32,499.60. Earnings above the base do not attract more compulsory SG.
Apply that to the industrials cash salary of AUD 372,368, held flat into 2026-27. 12.00 percent of 372,368 is AUD 44,684.16. The cap is AUD 32,499.60. The spreadsheet that adds 12.00 percent of salary overstates compulsory super by AUD 12,184.56. Cash plus the capped amount is AUD 404,867.60, which is USD 290,371 at the 11 September 2026 rate, and which funds 2.47 seats per AUD 1 million. That 2.47 is the employer-cost seat count. The 2.69 count, from cash alone, leaves super off the page.
Payday Super, from 1 July 2026, requires the fund to receive the contribution within 7 business days of payday. The ATO page describing that rule was last updated 10 August 2026. The charge percentage stays 12.00 percent. The cap stays AUD 32,499.60. A Sydney payroll that goes live in FY2026-27 is buying a timing change on a rate that has already reached its statutory endpoint. The resident tax scale, the Medicare levy, and Division 293 are the rest of the take-home arithmetic, and they are worked on the Australia general counsel salary page rather than repeated here.
The iron-ore seat paid super of AUD 46,104 in FY25, above that year’s concessional cap. The report does not split compulsory SG from extra employer contributions. A Sydney board that copies AUD 46,104 as “the super number” is copying one issuer’s mix, not the 2026-27 cap.
The Sydney in-house line prices the offer, then keeps a clock.
The Sydney in-house desk works for listed issuers, bank and trustee legal teams, and foreign subsidiaries. The cash conversation is the short part. The hat and the certificate are the long part.
BriefSignature
- Name the hat A combined company secretary and general counsel is a single package. A split hat is a different brief.
- Name the cell A survey average, a cash line, and total fixed remuneration are different instruments. The offer names one of them before anyone sees a range.
- Clear the certificate Australian-law advice needs a current corporate practicing certificate. A sole in-house counsel needs the supervision condition removed.
The desk has worked this market for 5 years. Over the trailing three years the Sydney in-house desk closed 15 searches, at a 93 percent completion rate, on a typical timeline of 4 to 7 months. Median time from offer to signature was 12 working days. Counter-offer incidence was 26 percent. Of those 15, 8 were general-counsel, group-general-counsel, or head-of-legal seats, 4 were deputy or senior counsel, and 3 were specialist seats. 5 of those 8 senior seats carried a company-secretary overlay.
3 of the 15 ran past seven months. All three were combined company-secretary and general-counsel seats at companies that had not housed the secretary inside the legal function. The shortlist was not the delay. The hat was. Quarterly surveys of this market have run since 2019. The research program maps 1,480,000+ lawyers. That global figure is coverage. It is not a Sydney salary.
Standalone general counsel, ASX-listed payments. A payments issuer headquartered in Sydney separated the general counsel from the company secretary after a board review. The first draft used the NSW corporate average of AUD 235,439. The second draft used the industrials cash line of AUD 372,368 and added super at the 2026-27 cap rather than at 12.00 percent of salary. The search reached an accepted offer in 18 weeks, inside the 4 to 7 month window. Signature took 12 working days. The incumbent’s counter-offer was a retention conversation at the current employer, consistent with the 26 percent incidence, and it did not reset the TFR.
The chief people officer at that ASX-listed payments company in Sydney said: The first number on the paper was the Law Society average. It would have hired a different job. Once the draft used a salary line and the super cap, the offer was readable.
A chief financial officer at an ASX-listed industrial in Sydney, on one of the combined company-secretary and general-counsel files that ran past seven months, said: We treated the secretary and the counsel as one advertisement. The delay was the hat, not the shortlist.
The lawyer who wants the same arithmetic should ask which cell the board divided into. The company that wants the seat filled should brief the hat, the certificate, and the cap before it briefs a range. How the search itself runs is on in-house counsel recruiting and hiring your first general counsel. The CBD market around the certificate, rather than the salary, is the Sydney legal market page.
General counsel salary in Sydney: common questions
What is a general counsel salary Sydney figure in 2026?
One million Australian dollars funds 2.50 seats at an AUD 400,000 total fixed remuneration an ASX industrials issuer printed for the year ended 30 June 2025. The same million funds 4.25 seats at the Law Society of NSW corporate average of AUD 235,439 for FY2023-24. There is no Sydney-only general-counsel census. USD figures use the Reserve Bank rate of 0.7172 on 11 September 2026, so AUD 400,000 is USD 286,880 and AUD 235,439 is USD 168,857.
Why is the NSW corporate average the wrong Sydney GC number?
General counsel were 373 of 3,409 NSW corporate respondents who stated a role in the 2025 Annual Profile, about 11 percent. The AUD 235,439 average mixes graduates through group general counsel and is FY2023-24 income, surveyed a year later. A Sydney board that posts that average is posting a different job.
How much superannuation sits on a 2026-27 Sydney GC salary?
Compulsory Superannuation Guarantee is capped at AUD 32,499.60 once ordinary-time earnings reach AUD 270,830 in 2026-27, on ATO tables last updated 17 April 2026. 12.00 percent of the industrials FY25 cash salary of AUD 372,368 is AUD 44,684.16, which overstates that cap by AUD 12,184.56. Payday Super from 1 July 2026 changes when the fund must receive the contribution, not the 12.00 percent rate.
How long does a Sydney general counsel search take to close?
Typical files on Sartori’s Sydney in-house line close in 4 to 7 months. Median time from offer to signature is 12 working days across 15 closed searches over three years, at a 93 percent completion rate. Counter-offer incidence on that line is 26 percent. The desk has worked this market for 5 years.
Does a Sydney general counsel need a corporate practicing certificate?
As at 30 June 2026 the Law Society of NSW had issued 9,042 corporate legal practitioner certificates, and a Sydney seat giving Australian-law advice needs one. That count is statewide, not a Sydney CBD census. A corporate certificate does not authorize work as an employee of a law practice, and a sole in-house counsel still needs Condition 2 lifted before supervising others.
What does the company pay to run a retained Sydney GC search?
The fee is 25 to 30 percent of the hire’s total first-year compensation, and the search is retained only. The retainer is 30 percent of that fee. A 12-month replacement guarantee applies on a retained general-counsel search. The fee is not a percentage of the AUD 1 million used in the seat count.
Law Society counts, ATO caps, and single-issuer remuneration reports.
The seat count uses those three records and one exchange rate. A Sydney-only general-counsel payroll extract is not among them.
