The 2026 PEP Residual: $3.59 Million
The first number a general counsel still asks is the 2026 Am Law 100 PEP cell. This page dates that table, then what the residual does not price as take-home for the equity partner who sits under it, or as an invoice for the chief legal officer who funds it.
The first number a general counsel still asks.
The first number a general counsel still asks is 2026 profits per partner. Across 1,675 structured interviews with New York partners and counsel, that cell is still the one a head of legal pulls when a panel firm moves a rate.

The 2026 profits per partner table
The American Lawyer published the 2026 Am Law 100 on 14 April 2026. The PEP column is fiscal 2025. It is a cohort average, not a draw.
We have worked the New York partner market for more than 10 years, for general counsel who buy from Am Law firms and for equity partners who sit under the same cells. Over the trailing three years we closed 22 partner searches on that line, at a 93 percent completion rate, on a typical 4-to-7-month clock. The first number those files still open on is the ranking below.
The ABA Journal, on 9 December 2025, put the US lawyer population at about 1.37 million, with New York the largest state count at 190,015. The 128,868 Am Law 100 attorneys in Original Jurisdiction’s 30 April 2026 recap are a different census: average FTE inside the ranking, not licenses. Sartori maps some 67,000 lawyers in New York as coverage for this desk. The column is what a general counsel still misreads.
Original Jurisdiction, on 30 April 2026, put Am Law 100 revenue per lawyer at $1.39 million, up 8.7 percent. The American Lawyer hub, on 14 April 2026, recorded RPL gains at 92 of 100 firms. Above the Law, reprinting the 2026 ranking on 15 April 2026, recorded PEP growth of at least 10 percent at 70 of 100 firms, and PEP declines at only two. Ninety-four firms posted revenue gains. Kirkland’s $10.556 billion gross, up 19.93 percent, sat alone above $10 billion; Latham followed at $8.300 billion, up 18.57 percent; then a drop to DLA Piper at $4.583 billion. Wachtell led revenue per lawyer at $5.085 million on 272 lawyers. Kirkland’s RPL was $2.547 million on 4,145 lawyers. Those are adjacent columns. They are not the PEP cell.
The Second Hundred is a different market on the same ranking family. Above the Law, on 5 May 2026, put Second Hundred average PEP at $1,207,826, up 9.5 percent, on $29,439,024,512 of gross revenue (up 6 percent) and $895,000 average RPL. Original Jurisdiction, on 23 June 2026, put Second Hundred headcount at 32,903, up 0.7 percent, and noted that Kirkland’s $10.556 billion alone equaled 35.9 percent of that entire cohort’s revenue. A boutique equity partner can out-earn the Am Law 100 mean without appearing in the table below.

| Column | Numerator | Denominator | What it is not |
|---|---|---|---|
| PEP | Net income | Equity partners | A W-2, a K-1 check, or an invoice line |
| RPL | Revenue | Total lawyers | Profit, or what any lawyer is paid |
| PPL | Net income | Total lawyers | The equity residual; Wachtell led at $3,525,000 |
| CAP | Equity residual plus nonequity fixed-income pay | Equity plus nonequity partners | PEP; the 2026 dollar table is paywalled |
ALM’s nonequity test, on that same methodology page, counts partners who receive more than half their compensation on a fixed-income basis. Retired partners and of counsel are not in the partner count, and payments to them are not in net income. Temps and contract attorneys are excluded from the lawyer count. The ranking is a fiscal-year average FTE. It is not a payroll file.
The general counsel still asks for the $3.59 million cell. It is a residual, not a paycheck.
What profits per equity partner does not pay as take-home
The equity partner who 'earns' the cell receives a pass-through residual. Capital is a cash outflow against it. The nonequity partner at the same firm is not in the denominator.
Gross revenueEquity residual
- Revenue and cost Hours billed, rates collected, associate lockstep, nonequity salary and overhead sit above the line. They never appear in the PEP cell.
- Net income What remains after those costs. ALM puts this in the numerator. It is still a firm figure, not a person’s draw.
- Divide by equity Only equity partners sit in the denominator. A nonequity partner with the same title is a cost in the waterfall, not a share of the residual.
The Internal Revenue Service, reviewing Form 1065 on 20 July 2026, is plain: a partnership files an information return and does not pay tax on its income; profits pass through to partners, who report them on Schedule K-1. NALP’s equity test uses that K-1. A PPP law firm table that is sold as a paycheck is counting on the reader not to open the form.
Above the Law, on 11 July 2025, citing an Am Law survey, put the typical new-equity capital contribution at 25 to 35 percent of compensation. Nonequity partners typically do not make that contribution. Citi’s 2026 Client Advisory, posted 11 December 2025, noted that partner paid-in capital has risen for years as firms de-risked after 2008–10, and that capital growth has not kept pace with net income. The published cell is a residual. The capital call is cash out the door.
An equity partner at an Am Law 50 New York office told us his last K-1 residual sat “a third below the magazine number” after the capital call posted. That is not a table cell. It is why the table is not take-home.
Above the Law, on 30 April 2026, citing ALM, put 52.1 percent of partners across the Am Law 100 in the nonequity tier, and 92.4 percent at one unnamed firm. Original Jurisdiction, on 30 April 2026, recorded nonequity-partner ranks up almost 7 percent in 2025, equity partners up 2 percent, and overall attorney headcount up about 4 percent. Because headcount grew faster than the equity denominator, leverage rose, which mechanically lifts PEP. Bloomberg Law, on 10 June 2026, in a firm-questionnaire cut, found equity shareholder counts roughly flat while nonequity partners grew 5 percent.
Citi’s 2026 advisory is the uncomfortable operating read under that mix. Large firms added income partners at 6.4 percent a year on average during 2019–24, against 0.7 percent average annual equity-partner growth. In 2024 contribution data, income partners were the least productive lawyers and the lowest contributors to firm profitability; the average counsel contributed almost twice as much to overall firm profitability as the average income partner. Seventy-two percent of large firms still plan to invest in more income partners over the next two years. The title on the door and the PEP cell do not describe the same economics.
Kirkland is the scale illustration, not a payroll file. Bloomberg Law, on 18 March 2026, reported the firm as first past $10 billion, with equity partners up nearly 4 percent to 595 and the salaried-lawyer tier up 11 percent to 1,228. The PEP column moves when the denominator is protected. It does not tell a general counsel what any one of those 595 people took home.

Above the Law, 5 May 2026 ↗What the residual does not price as an invoice
The buyer of the hours that fund the residual is a general counsel or chief legal officer. The cell is not their rate card.
Of 428 respondents in that New York cohort sitting as general counsel, chief legal officers or heads of legal at companies over a 24-month window, 261 — 61 percent — told Sartori the first firm-economics number they still pull when a panel firm quotes a rate increase is the published PEP cell, not the worked-rate schedule. The Association of Corporate Counsel 2026 Chief Legal Officers Survey, fielded September through November 2025 among 1,049 participants, is the public pair to that read: 63 percent of CLOs expect headcount to remain stable, and use of outside counsel jumped to 48 percent.
A general counsel at a New York-headquartered industrial company told us the PEP cell is still the first figure she pulls when a panel firm walks in with a double-digit rate increase, before anyone opens the worked-rate schedule. Thomson Reuters Institute’s 2026 Report on the State of the US Legal Market, dated 7 January 2026, is why that habit misprices the invoice: average Am Law 100 lawyer standard rates were “cracking the $1,000 barrier in 2025” while everyone else averaged around $600. General counsel shifted routine and even moderately complex work to firms charging, in many cases, 40 percent less. Clients spent less per hour on the average legal service in 2025 than in 2024 even though average worked rates rose 7.3 percent.
Society for Corporate Governance, restating the same ACC survey on 26 February 2026, put the General Counsel title at 55 percent and the Chief Legal Officer title at 34 percent, with 87 percent of US top legal officers reporting to the CEO. Operational efficiency was the top strategic initiative at 53 percent. Budget and resource constraints were the top barrier at 35 percent. ACC’s own key findings put 84 percent of chief legal officers reporting to the CEO worldwide, 79 percent almost always in the boardroom, and 74 percent giving proactive strategic counsel. Trade and tariffs (30 percent) and AI regulation (24 percent) were the fastest-rising priorities. That buyer is increasingly dual-hatted: 56 percent also hold or assume the corporate secretary role.
Thomson Reuters Institute’s corporate-department report, dated 24 March 2026, recorded the perception gap that sits on that desk: 86 percent of general counsel say their department is a significant contributor to business success; only 17 percent of other C-suite executives agree. As of Q4 2025, 36 percent of GCs expected to increase overall outside-counsel spend over the next year; 20 percent planned to decrease. CLOC and Harbor, on 2 March 2026, in a 135-department cut with median revenue of $13 billion, found only 37 percent of legal departments expect outside-counsel spend increases, down from 58 percent the prior year, and only 32 percent expect attorney headcount increases. The PEP cell rose. The buyer is not volunteering to fund the next one at the same slope.
The Thomson Reuters in-house recap of 11 February 2026 put Q3 2025 Net Spend Anticipation at 13 percent of departments anticipating spending increases versus 22 percent anticipating decreases, and recorded nearly two-thirds of general counsel bringing more work in-house. The same recap restates the post-GFC warning: collection realization dropped from 95 percent in 2007 to 88 percent by 2015. Residuals fall when invoices are not collected. The 2026 table does not price that risk as a line item.
Thomson Reuters Institute’s Law Firm Rates Report 2026, dated 20 October 2025, put worked-rate growth at 7.4 percent against 2.8 percent inflation. Over the past decade, the same report says, firms have pushed rates at twice or more the inflation rate. ACC membership, in its April 2026 brochure, sat at about 49,000 in-house counsel. The Association of Corporate Counsel is the buyer’s trade body. It is not a PEP publisher. A head of legal who treats the Am Law residual as an invoice is reading the wrong column.
The buyer of the hours that fund the residual is trying not to grow the invoice.
Who sits under the cell, and who writes the check
Two readers share this page: the equity partner whose economics sit under the 2026 cell, and the general counsel who buys the hours that fund it.
Same title, fixed payThe buyer of the hours
- Nonequity partner Mostly fixed compensation. Not in the PEP denominator. A salaried cost in the waterfall, with the same word on the door.
- Equity partner Schedule K-1, capital contribution, a share of the residual. The published cell is an average of this group, not a personal floor.
- General counsel Chief legal officer, head of legal, panel manager. Buys the hours. Rarely is the 2026 PEP figure. Closes this page.
The opening question is the buyer’s: what does this residual not tell me about the invoice I am being asked to pay?
- Read the rate card, not the ranking. The rate card is the invoice. PEP is the residual those invoices leave behind.
- Staff the inside seat when the valve is stuck. Most chief legal officers are holding in-house headcount flat and using outside counsel as the valve. A deputy general counsel or head of legal who can take moderately complex work off an elite panel is the hire that freeze actually prices.
- Do not treat a panel PEP as the candidate’s ask. When a company hires from an Am Law partnership into an in-house chair, the published cell is a firm average. The general counsel salary benchmark for 2026 is the company-side counterpart; this page is the residual the candidate is leaving.
The equity partner who sits under the cell should ask which average, which tier, and which capital call, not whether the magazine number is “the market.”
- Name the tax form. NALP’s 2025 Diversity Report, released 24 March 2026, counted 20,036 partners at multi-tier firms that reported equity status: 11,154 equity (55.7 percent) and 8,882 nonequity. Equity, in that definition, files a Schedule K-1 and receives no more than half of compensation on a fixed-income basis. That is not the Am Law 100 partnership. It is the credential gate.
- Name the capital. Equity typically requires a cash contribution against the residual; nonequity generally does not. Citi, in December 2025, found promoted income partners beat laterals on break-even (66 percent versus 56 percent) and still lagged counsel economics. The title is not the cell.
- Name where the title actually moved. Firm Prospects, via PR Newswire on 26 January 2026, counted 3,009 Am Law 200 partner laterals in 2025, a five-year high, with 606 in New York. Litigation led at 26 percent, corporate 16 percent. That is where firms added the title. It is not a PEP dollar.
Sartori’s quarterly survey has run since 2019. Nearly 1.5 million lawyer profiles are mapped globally. Of 22 closed New York partner searches over three years, 15 were equity laterals and 7 were income-partner or nonequity seats. Of those 15 equity files, 9 opened with the candidate quoting the firm’s published PEP as a personal floor. Six of those 9 had to be rewritten once capital and nonequity mix were on the table. That is the number that does not flatter us: we ran the first weeks of those six searches against the magazine cell, and only later pushed the K-1, the capital call and the invoice the general counsel was actually paying.
Counter-offer incidence on the New York partner line is 39 percent. Median offer-to-acceptance is 15 working days. Typical time-to-fill is 4 to 7 months. Completion sits at 93 percent.
Two composite mandates, same New York book
A PE-backed healthcare platform asked us to recruit a deputy general counsel from an Am Law 100 M&A seat. The board had printed the firm’s published PEP as if it were the candidate’s ask. We rewrote the brief around the rate card the company was already paying and the scope of the inside chair. The seat filled in five months, inside the 4-to-7-month band. The accepted offer was signed in 15 working days. The company kept its elite panel for the mega-deal work. It did not staff the deputy chair as if the deputy earned the firm’s average residual.
An Am Law 50 finance equity lateral into a New York office opened at the published PEP as a personal floor. We let the first six weeks run on that brief. The rewrite put portable collections and the capital contribution on the table. The file closed at seven months, the top of the band. A stay-put counter-offer arrived inside the 39 percent line incidence; the candidate signed on day 15.
The in-house desk that hires off that partnership, and the firm-side desk that moves inside it, are in-house counsel recruiting and partner recruiting. Neither search starts with the magazine cell as a salary. For the associate lockstep that sits as a cost against the residual, see the 2026 BigLaw associate salary scale. The top-50 distribution under the cell is a different page: what partners actually make at the Am Law top 50.
The 2026 promotion classes show where the earning title was actually put, without naming anyone. Cravath, on 20 November 2025, elected five new partners effective 1 January 2026 — three corporate (two M&A, one intellectual property) and two litigation — plus six of counsel. Latham, on 29 October 2025, named 40 associates to partner, with 12 in M&A and private equity, and on 20 February 2026 elected 22 counsel to partner. Paul Weiss, on 5 December 2025, announced 28 new partners effective 1 January 2026, including eight in finance, five in M&A, four in investment funds and three in antitrust. Gibson Dunn, in a 17 December 2025 Law360 reprint the firm hosted, named 42 promotions in 17 offices, 40 percent outside the United States. Those are seats. They are not the 2026 PEP cell.
The year that wrote the 2026 cell
The PEP law firm residual for fiscal 2025 was written in a year that pulled demand in opposite directions. The table already includes that year. It is not a 2026 full-year forecast.
Hours that funded PEPHours that moved sideways
- Deal engine Large-cap and middle-market M&A, private equity, finance and merger-control partners produced the hours that lifted the residual.
- Investigations pause The FCPA pause cut classic volume. It did not repeal the investigations partner title, and it did not collapse ALM revenue at the targeted firms.
- Trade docket Tariff, customs and CIT-refund work replaced part of the paused book. The equity antitrust partner on a mega-deal stayed scarce after the HSR form reverted.
Reuters, on 7 January 2026, citing LSEG, put global announced M&A at $4.6 trillion in 2025, up 49 percent, with 68 deals of $10 billion or more, the most since LSEG records began in 1980. That is the capital-markets engine under elite PEP. Thomson Reuters Institute, in the same January 2026 market report, recorded an atypical simultaneous rise in M&A and litigation hours, weekday-adjusted demand averaging 2.5 percent and hitting 4.4 percent in July, and 1.9 percent demand growth for the average firm for the year. Am Law 100 firms “couldn’t crack 2 percent” on demand; midsize firms ran nearly 5 percent in the latter half of 2025. The residual rose on rates and leverage as much as on hours.
Citi’s 2026 Client Advisory, posted 11 December 2025, is the operating engine under that residual, not a second PEP average. Through the first nine months of 2025, against the same period in 2024, the flash survey recorded industry revenue up 11.3 percent, demand (billable hours) up 1.9 percent, rates up 9.6 percent, inventory up 12.7 percent, headcount up 2.9 percent, equity-partner headcount down 0.5 percent, income-partner growth of 6 percent, and leverage up 4.3 percent. Productivity was down 0.6 percent. Compensation expenses rose 9.8 percent. The Am Law 1–50 cut showed demand up 1.8 percent and revenue up 12.1 percent, with equity headcount flat and all of the headcount growth on the salaried side. That is how the published residual rose on demand that never cracked 2 percent at the Am Law 100.
Executive Order 14209, dated 10 February 2025, paused new FCPA investigations for 180 days. The White House fact sheet the same day cited 26 FCPA-related DOJ and SEC actions in 2024 against a decade average of about 36 a year. WilmerHale, in a 28 January 2026 year-in-review, described FCPA enforcement as almost non-existent in the first three quarters of 2025. The Deputy Attorney General’s 9 June 2025 guidelines did not repeal the statute; they narrowed it toward cartel, infrastructure and identifiable US-company injury. Classic volume fell. The investigations partner who can staff sanctions, tariff evasion and national-security bribery did not leave the table.
The Eastern District of Texas vacated the February 2025 HSR mega-form; the Fifth Circuit’s stay ended on 19 March 2026, and the FTC Premerger Notification Office now accepts the pre-10 February 2025 form. The FTC and DOJ FY2025 HSR Annual Report, issued 2 July 2026, counted 2,006 notified transactions, about 31.8 percent valued at more than $1 billion, and 18 merger enforcement actions. Associate and counsel prep hours inflated, then fell. Equity antitrust partners on mega-deals stayed scarce.
The Supreme Court, on 20 February 2026, held 6–3 that IEEPA does not authorize tariffs (Steptoe, current as of 4 March 2026). Holland & Knight, on 27 July 2026, counted more than 3,700 IEEPA refund suits pending at the Court of International Trade. Goodwin, on 1 September 2026, recorded the Department of Justice standing up a permanent Global Trade & Commerce Enforcement Section on 14 July 2026, with $1 billion in civil and criminal recoveries, penalties, forfeitures and publicly charged losses since the fraud focus announced in January 2026. That is a 2026 book for trade, customs and False Claims Act partners. It is not a cell on the 2026 PEP table.
ALM’s 14 April 2026 hub recorded 2025 revenue growth at nearly all of the 13 firms hit with an executive order or that struck a deal to resolve or head one off. Reuters, on 2–3 May 2025, reported that Judge Beryl Howell of the District of Columbia struck down the Perkins Coie order, and that nine rival firms pledged a combined total of nearly $1 billion in free legal services. The PEP cell did not collapse. ABA Model Rule 5.4 still keeps large-firm PEP inside a lawyer-owned partnership. Sidley, on 25 November 2025, counted 136 Arizona ABS entities as of 30 April 2025; those seats sit mostly outside the Am Law 100 table. Illinois HB 5487, as restated by Holland & Knight on 1 June 2026, exempts firms making more than $300 million annually. The 2026 residual is still a lawyer-owned, hourly-funded pass-through. Ninety percent of legal dollars were still hourly in 2025, Thomson Reuters Institute reported in January 2026.
2026 PEP: the questions both desks ask
What is profits per partner on the 2026 Am Law 100?
It is $3.59 million, the fiscal-2025 Am Law 100 average residual, published 14 April 2026. Original Jurisdiction, citing the 2026 Am Law 100 on 30 April 2026, put cohort PEP at $3.59 million, up 14.0 percent, on $178.95 billion of gross revenue and 128,868 attorneys. The figure is net income divided by equity-partner headcount. It is not a W-2, not a K-1 check, and not the hourly line on a client invoice.
Does an equity partner take home the published PEP cell?
No. PEP is net income divided by equity-partner headcount, not a W-2 wage. The Internal Revenue Service, reviewing Form 1065 on 20 July 2026, treats partnership profit as a pass-through reported on Schedule K-1. Above the Law, on 11 July 2025, citing an Am Law survey, put the typical new-equity capital contribution at 25 to 35 percent of compensation. Average Compensation–All Partners rose 11.6 percent in 2025, ALM reported on 14 April 2026; that mix includes nonequity salary and is not the PEP cell.
What does a general counsel actually pay toward that residual?
Am Law 100 standard rates cracked $1,000 an hour in 2025, Thomson Reuters Institute reported in January 2026. Other firms averaged around $600. The Association of Corporate Counsel 2026 Chief Legal Officers Survey (1,049 participants, fielded September–November 2025) found 63 percent of CLOs expect in-house headcount to stay stable and 48 percent are using outside counsel as the pressure valve. The residual is funded by the invoice the general counsel is trying not to grow.
How does Second Hundred PEP compare with the Am Law 100 cell?
Second Hundred average PEP was $1,207,826 in the 2026 Am Law 200 ranking, up 9.5 percent. Above the Law, on 5 May 2026, put Second Hundred gross revenue at $29,439,024,512 and average RPL at $895,000. Cole Scott led that cohort at $6,350,000 PEP — a boutique equity partner can out-earn the Am Law 100 average without sitting in the Am Law 100.
Did the 2025 enforcement pause collapse the 2026 PEP table?
No. Am Law 100 PEP rose 14.0 percent in 2025, ALM reported on 14 April 2026. Executive Order 14209 paused new FCPA investigations on 10 February 2025. ALM’s 14 April 2026 hub recorded 2025 revenue growth at nearly all of the 13 firms that were targeted by an executive order or that struck a deal to head one off. The table already prices that year. It is not a 2026 full-year forecast.
What is the difference between PEP, RPL, PPL and CAP on a PEP law firm ranking?
ALM’s 14 April 2026 methodology defines four different averages. PEP is net income divided by equity partners. RPL is revenue divided by total lawyers — $1.39 million for the Am Law 100 in 2025. PPL is net income divided by total lawyers; Wachtell led that column at $3,525,000. CAP adds nonequity fixed-income compensation to the equity residual and divides by all partners; ALM reported an 11.6 percent rise and did not publish a public dollar average in the table.

PEP, RPL and PPL are ALM cohort averages for fiscal 2025, published April and May 2026. CAP is cited only as a growth rate. Buyer figures are ACC, Thomson Reuters Institute and CLOC surveys fielded 2025 and 2026.
Compensation figures are general information, not financial, tax or career advice. The 2026 Am Law 100 measures fiscal 2025. Individual draws, K-1 residuals and client invoices vary by tier, capital, origination and collection. For the associate lockstep that sits as a cost against the residual, see the 2026 BigLaw associate salary scale.
