Associate — Corporate (M&A / Private Equity) — New York

Top-tier global law firm is seeking an Associate to join its New York corporate team supporting domestic and cross-border M&A and private equity matters. The role offers hands-on transactional work across buy- and sell-side deals, joint ventures and infrastructure-related transactions.

Day-to-day responsibilities include drafting transactional documents, coordinating signings and closings, conducting due diligence on corporate, commercial, litigation and credit documents, and working with local counsel across multiple jurisdictions.

The team looks for candidates comfortable on complex, cross-border transactions who can manage deal execution and client-facing closing processes.

• JD, LLM or foreign equivalent
• Approximately 2 years' post-qualification transactional experience (PQE ~2 years)
• Admission to the New York bar
• Experience conducting legal due diligence and drafting stock/asset purchase agreements, merger agreements and related corporate documents (charters, bylaws, LLC agreements, resolutions)
• Track record executing M&A and private equity deal closings and coordinating with local counsel on cross-border matters
