Apply in confidence →We are seeking an associate to join a leading international trade and sanctions team in Washington, DC with a primary focus on CFIUS and national‑security related clearance work. The role will support cross‑border M&A, private equity, technology, energy, infrastructure and financial‑institution clients on transaction‑related national security issues.
The successful candidate will manage jurisdictional assessments, mandatory and voluntary filing analysis, prepare CFIUS notices and declarations, support clients through reviews and investigations, and advise on mitigation and deal structure. The role involves working closely with transactional teams and multidisciplinary, cross‑border colleagues.
This is a hands‑on role for a proactive, responsive lawyer with strong drafting, analytical and communication skills and a practical, client‑focused approach.
- J.D. from an accredited law school.
- Active membership in good standing with the DC Bar, or eligibility to waive into the DC Bar.
- Minimum of 3 years' law firm experience advising on CFIUS and related national security matters.
- Thorough knowledge of FIRRMA and current CFIUS practice, including mandatory filing rules, mitigation, and non‑notified risk.
- Strong legal research, drafting, analytical skills and ability to manage multiple matters and deadlines.
- Experience working with cross‑border teams and transactional lawyers; commercial judgment and client focus.
