Senior associate role in a national private equity–focused compensation & benefits group. The team advises sponsors and portfolio companies on executive compensation, employee benefits, and transactional issues across buyouts, carve-outs and growth investments.

Work will include counseling private equity sponsors and portfolio companies on grants of profit interests and LLC incentive arrangements, management holdco structures, rollover equity, employment and severance arrangements, and M&A-related compensation issues. Strong experience with IRC Sections 280G and 409A is required.

5+ years post-qualification experience advising on executive compensation and employee benefits, with significant private equity sponsor/portfolio company work
Practical experience with profit interests/LLC incentive awards, management holdco/rollover equity and employment/severance matters
Solid M&A-related benefits experience and technical knowledge of IRC Sections 280G and 409A
Excellent academic credentials and strong writing, oral communication and analytical skills
