An international law firm seeks a junior to mid-level associate to join its Global Equity Services/Compensation practice. The role is available in multiple U.S. offices, including San Francisco, Palo Alto, Los Angeles, Chicago, or New York.

The Compensation Practice provides comprehensive, one-stop counsel on all aspects of share-based and other incentive programs, executive and director compensation arrangements, employee benefits, pensions and global mobility programs. The team advises on tax and regulatory issues for compensation arrangements offered domestically in the United States and/or globally to employees, consultants or other service providers. With over 40 practitioners in North America dedicated exclusively to this practice, it is among the leading practices in the world.

The ideal candidate will assist clients in designing, implementing and maintaining global incentive and compensation arrangements (particularly share-based plans), draft correspondence, memoranda, legal opinions and other client documents, and advise on legal, regulatory and tax matters associated with global compensation arrangements in cross-border M&As, spin-offs, divestitures, IPOs and redomestications.

2–5 years of experience advising on global incentive and compensation arrangements, particularly share-based plans
Experience drafting legal memoranda, opinions and client documents
Knowledge of legal, regulatory and tax issues in cross-border transactions (M&A, spin-offs, IPOs, etc.)
Strong academic credentials and excellent communication and writing skills
Admitted and a member in good standing of the Bar in the state of employment
Major law firm experience is a plus
Candidates with U.S. domestic executive compensation experience or a strong global tax/employment law background will also be considered
