We are seeking an Associate-level Compensation & Benefits attorney to join a national practice supporting private equity sponsors and their portfolio companies. The role focuses on executive compensation and employee benefits matters arising in acquisitions, divestitures and ongoing portfolio company operations.

Typical matters include grants of profits interests and LLC incentive awards, management holdco/rollover equity arrangements, employment and severance agreements, and related transactional work. The team values technical strength on IRC Sections 280G and 409A and the ability to translate tax and ERISA concepts into practical client advice.

The position is open across multiple U.S. offices and includes a comprehensive benefits package and paid time-off. Compensation will be location- and experience-dependent (expected base for this role starts at approximately $365,000+).

Minimum 5 years of post-qualifying experience advising on executive compensation and employee benefits matters
Substantial experience representing private equity sponsors and/or advising portfolio companies on incentive arrangements (profits interests, LLC awards, rollover equity, management holdcos)
Strong transactional experience with M&A and familiarity with IRC Sections 280G and 409A
Excellent drafting, oral communication and analytical skills; strong academic credentials
