National law firm is seeking a securities associate to join its Capital Markets team. The role is open across multiple U.S. offices, with particular hiring needs in Minneapolis and Chicago; exceptional candidates in other markets will be considered. The team advises issuers, underwriters, investors and other market participants on debt, equity and structured transactions, as well as related regulatory and compliance matters.

Successful candidates will work on public offerings, private placements (including PIPEs), registration statements and offering documents, lead due diligence efforts and support public company reporting and corporate governance matters. The firm supports a hybrid in-office model with a requirement to be in the office part of the week to preserve collaboration and client service.

2–3 years of securities / capital markets experience at a large law firm
Experience with public securities offerings, private placements/PIPEs and drafting registration statements
Familiarity with public company reporting and corporate governance obligations
Strong drafting and transactional project-management skills; able to lead due diligence teams and manage multiple assignments with minimal supervision
