Apply in confidence →Top-tier U.S. law firm is seeking a corporate attorney to join its fund formation and investment management practice. The role will sit on a transactional team advising private equity, private real estate, venture capital, hedge fund managers and family offices on fund formation, private placements and related securities regulatory matters.
Ideal candidates will have a strong track record handling fund structuring, fund documentation, investor negotiations and day-to-day fund operations, and will be comfortable counseling clients on the Securities Act of 1933, the Investment Advisers Act and the Investment Company Act. Positions are open in multiple U.S. offices, including New York and Philadelphia.
- Approximately 7 years' post-qualification experience in fund formation and investment management transactions
- Experience with private placements and securities regulation (Securities Act of 1933, Investment Advisers Act, Investment Company Act)
- Experience representing private equity, real estate, venture capital, hedge fund managers or family offices
- Strong drafting and negotiation skills on fund terms and investor documentation; experience with fund operations
- Excellent academic credentials and admission to the relevant state bar
