Leading global law practice is seeking a Capital Markets associate to join its West Palm Beach corporate team. The role offers exposure to public and private equity transactions, SEC filings and ongoing public-company reporting, working on matters for a range of issuer and underwriter clients.

The successful candidate will work on IPOs, follow-on offerings, S-4 and proxy disclosures related to business combinations, and will assist with corporate governance and day-to-day counseling of public companies. There is also opportunity to work on SPAC-related matters and cross-border securities transactions.

2-3 years' securities / capital markets experience (public and private equity offerings)
Experience with IPOs, follow-on offerings, S-4s, proxy statements and SEC/’34 Act reporting (10-K, 10-Q, 8-K)
Experience representing issuers and/or underwriters; SPAC and de-SPAC experience is a plus
Strong drafting, negotiation and client-management skills; excellent academic record
Admitted to the Florida Bar or eligible for admission
