Apply in confidence →Leading U.S. practice is seeking an associate to join a busy Emerging Companies & Venture Capital (ECVC) team. The role supports startups, founders and venture investors across the company lifecycle and can be based in multiple U.S. offices; the team works collaboratively across locations.
Responsibilities include counseling on entity formation and governance, equity incentive plans, and negotiating venture financings and associated documents (preferred stock financings, investors' rights, voting agreements, ROFR/ROFO/co-sale arrangements), as well as advising on convertible note/SAFE transactions and general corporate matters through growth and pre-IPO stages.
The position offers opportunities to work closely with related practices (equity compensation, M&A, capital markets, life sciences and technology) and includes firm benefits and participation in the annual bonus program.
- 3–5 years' experience representing startups, emerging-growth technology companies and/or venture capital investors.
- Substantive venture financing and emerging company transactional experience at a nationally recognized law firm or equivalent practice.
- Familiarity with market-standard VC documentation (NVCA templates preferred) and Delaware corporate law.
- Strong academic credentials and bar admission (or eligibility to obtain admission promptly) in the home office jurisdiction.
