Seeking a 4th–5th year associate to join a nationally recognized leveraged finance and private equity finance team. The role is open across multiple U.S. offices (including New York, Washington, D.C., and Chicago), with flexibility for exceptional candidates to be considered in other locations.

The team advises private equity sponsors, portfolio companies, corporate borrowers, and debt providers on acquisition financings, dividend recapitalizations, refinancings and exit financings. Day-to-day work includes drafting and negotiating loan documents, managing transaction workstreams, and collaborating with M&A and other practice groups.

Juris Doctor (JD) from an accredited law school
4–5 years of leveraged finance or acquisition finance experience
Experience drafting, negotiating, and structuring loan documentation (credit agreements, intercreditor agreements, guarantees, security documents, etc.)
Experience representing private equity sponsors, portfolio companies, borrowers or lenders on acquisition and sponsor-driven financings
Strong drafting, negotiation, analytical and written communication skills; admission and good standing in the applicable state bar
