A nationally recognized Leveraged Finance and Private Equity Finance team is seeking a 4th–5th year associate to join its Finance Practice Group. The role is open to candidates in New York, Washington, D.C., or Chicago, with consideration for exceptional candidates in other locations.

The team represents private equity sponsors, their portfolio companies, corporate borrowers, and debt providers across the full private equity investment lifecycle — including acquisition financings, growth financings, dividend recapitalizations, refinancings, and exits. The group is known for efficient execution, deep market knowledge, and practical, business-oriented counsel.

The associate will draft, negotiate, and structure definitive loan documents, independently manage transaction workstreams, coordinate closings, and serve as a day-to-day contact for clients and deal teams. The role involves close collaboration with Corporate/M&A and other practice groups on acquisition financing transactions.

JD from an accredited law school
4–5 years of relevant leveraged finance or acquisition finance experience
Experience representing private equity sponsors and portfolio companies in borrower-side debt financing, including acquisition financings and dividend recapitalizations
Familiarity with acquisition financing deal terms, documentation conventions, and market segments (bilateral, club, bank loans, direct lending, broadly syndicated loans)
Strong drafting, negotiation, analytical, and written communication skills
Strong academic credentials
Admitted and in good standing in the bar of the office jurisdiction
