Apply in confidence →Mid-level associate opportunity in a national investment funds practice focused on private equity fund formation and related matters. The role involves drafting and negotiating fund documents, advising fund managers on governing arrangements, and reviewing fund documentation on behalf of institutional investors.
Ideal candidates will have solid experience with private placement memoranda, partnership agreements and ancillary fund documents, and a working knowledge of relevant securities laws, including the Investment Advisers Act. Experience with private equity secondaries or GP-led restructurings is a plus.
Positions are being considered for multiple U.S. offices (including Chicago, Charlotte and New York); candidates for other offices will also be considered. All applicants must be admitted to the bar in the office jurisdiction.
- 4-6 years' post-qualification experience in private equity fund formation at a major law firm or equivalent in-house role
- Experience preparing and negotiating PPMs, limited partnership agreements and related ancillary documents
- Familiarity with securities rules and the Investment Advisers Act
- Experience reviewing fund documentation for institutional investors and negotiating terms; private equity secondaries/GP-led experience beneficial
- Admission to the state bar where the candidate will be based
