Apply in confidence →A leading global law firm is seeking an experienced Knowledge Attorney to take primary substantive ownership of its M&A and Private Equity forms and related drafting resources. Based in any U.S. office (New York preferred), the role focuses on keeping these materials current with legal and regulatory developments, market practice, and firm precedent, while developing new forms and guidance where needed.
The successful candidate will independently assess proposed changes, coordinate focused review with M&A, Private Equity, and specialist practice lawyers, and maintain consistency across a substantial collection of interrelated documents. The role also involves leveraging AI and other technology to compare firm forms against internal precedent and public filings, identify inconsistencies or outdated provisions, and track drafting and market developments.
Additional responsibilities include related knowledge work such as precedent curation, analysis of deal terms and drafting trends, and development of checklists and guidance materials. The role reports to the Senior Director & Counsel of Knowledge & AI and offers the opportunity to shape the firm's transactional know-how in a collaborative, technology-forward environment.
- J.D., Bachelor of Laws, or equivalent with strong academic credentials; admitted to practice and in good standing in the state of hire.
- At least seven years of significant M&A and/or Private Equity experience, including substantial drafting and negotiating of transaction documents.
- Strong interest in legal drafting and precedent, with independent judgment on drafting issues and the ability to distinguish material from immaterial differences.
- Excellent legal research, writing, and analytical skills, with exceptional attention to detail.
- Eagerness to use AI and other emerging legal technology as a core part of substantive legal work.
- Experience across public M&A, private M&A, and Private Equity transactions strongly preferred.
- Prior experience with AI-assisted legal analysis, knowledge systems, or document automation strongly preferred.
- Prior knowledge management experience helpful but not required.
