Mergers & Acquisitions Resource Attorney

We are a leading global law firm with offices across the US, Europe, and Asia, serving clients from entrepreneurs to Fortune 50 companies on transformative deals, complex IP and regulatory matters, and high-stakes litigation. We are seeking a licensed attorney with at least 4 years of US M&A corporate/transactional experience to join our M&A practice group as a Resource Attorney. This non-billable role supports our transactional attorneys by managing knowledge resources and enhancing practice efficiency.

Responsibilities include:

• Transaction database management: Inputting deal terms from executed matters into our transaction database and coordinating with the knowledge management team to audit and maintain it.
• Form and precedent drafting: Preparing and revising template documents, and curating the M&A group’s forms, precedents, and know-how.
• Legal updates: Monitoring legal and regulatory developments relevant to M&A practice, preparing summaries and alerts, and ensuring new requirements are reflected in practice resources.
• Legal education: Collaborating with our legal education team to develop content for associate and firmwide trainings on M&A topics.
• Marketing and business development: Partnering with our M&A marketing team to support promotional content, including blog posts, pitches, and teach-ins.
• Assisting with attorney requests: Fielding day-to-day requests for precedents, templates, and other resources.
• New initiatives: Contributing to resource, knowledge management, and practice innovation projects.
• Other duties: Supporting additional projects as assigned.

The ideal candidate will have a solid grasp of public and private M&A, corporate governance, fiduciary duties, and market trends, with strong drafting and organizational skills. Success in this role requires attention to detail, flexibility, and the ability to collaborate as a team player.

Qualifications:

• Licensed attorney with at least 4 years of experience in a US M&A corporate/transactional practice.
• Familiarity with public and private M&A, corporate governance, board fiduciary duties, and market trends.
• Strong drafting and organizational skills.
• Excellent attention to detail and the ability to manage multiple projects.
• Flexibility to support evolving initiatives and new projects.
• Collaborative team player, able to work closely with senior resource attorneys and other stakeholders.
